RE: APPROVE TEMPORARY CONSTRUCTION EASEMENT FOR IMPROVEMENTS TO
COUNTY ROAD 49 AND AUTHORIZE CHAIR TO SIGN ALL NECESSARY
DOCUMENTS - HEARTLAND BIOGAS, LLC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Temporary Construction Easement for
Improvements to County Road 49, between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of
Public Works and Heartland Biogas, LLC, 15445 Innovation Drive, San Diego, California 92128,
commencing May 10, 2016, and ending upon on the completion of said project or, on May 10,
2019, whichever is earlier, with further terms and conditions being as stated in said easement,
and
WHEREAS, after review, the Board deems it advisable to approve said easement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Temporary Construction Easement for Improvements to County
Road 49, between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Works, and Heartland
Biogas, LLC, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said easement.

TEMPORARY CONSTRUCTION EASEMENT
This Temporary Construction Easement ("Temporary Construction Easement") is made
and entered into Onckl tO 2IDflp ("Effective Date") by and between HEARTLAND
BIOGAS, LLC, A DELAWARE LIMITED LIABILITY COMPANY ("Grantor") and the
County of Weld, a body corporate and politic of the State of Colorado, by and through its Board
of County Commissioners, whose address is 1150 "O" Street Greeley, Colorado 80631,
("Grantee").
Grantor hereby grants to Grantee, its contractors, agents and all others deemed necessary
by Grantee, a temporary easement over a portion of Grantor's property, more particularly
described in Exhibit A attached hereto and incorporated herein by this reference ("Property"),
which is required for construction of Weld County Road 49, hereinafter "WCR 49" and which
will improve the alignment and construction of the roadway in and to, over, under and across the
following described land more particularly described in Exhibit B attached hereto and
incorporated herein by this reference ("Easement Area").
Together with all rights and privileges as are necessary or incidental to the reasonable and proper
use of this Temporary Construction Easement. The parties agree that this Temporary
Construction Easement is subject to the following conditions and covenants:
1. This Temporary Construction Easement shall commence on nCtu `tO , 2016, and
shall expire and be of no further force or effect on IYi Q 1 t O , 2019, or at the end of
the construction, whichever is earlier ("Term").
2. During the Term, Grantor shall not erect or construct, or allow to be erected or
constructed, any building or other structures which may interfere with Grantee's full
enjoyment of the rights hereunder.
3. As a condition of the granting of this Temporary Construction Easement, the Grantee
covenants and agrees to restore said lands to a level comparable to their original
condition.
4. As consideration for this Temporary Construction Easement, Grantee shall pay to Grantor
the sum of Four Hundred Twenty Dollars ($420.00).
5. GRANTEE'S REPRESENTATIONS, WARRANTIES AND COVENANTS.
Grantee hereby represents and covenants to Grantor that:
a) Insurance. At all times during which Grantee is conducting any activities on the
Property, and at all times during the term of this Temporary Construction Easement,
Grantee shall, at its own cost and expense, obtain and maintain in effect (I) Commercial

General Liability insurance, including bodily injury and property damage coverage with
minimum limits of One Million Dollars ($1,000,000) per occurrence and Two Million
Dollars ($2,000,000) aggregate and (2) Umbrella Liability Insurance with minimum
limits of Five Million Dollars ($5,000,000) per occurrence and Five Million Dollars
($5,000,000) aggregate and naming Grantor as an additional insured. Grantee shall upon
reasonable written request provide to Grantor a certificate evidencing such coverage. In
the event Grantee is a regulated utility or governmental entity, any or all insurance
required by Grantee by this provision may be provided by self-insurance or through a
program of self-insurance.
b) Protection of the Property. Grantee shall use commercially reasonable efforts to
restore the soil surface to a condition reasonably similar to its original condition as to any
portion of the Property disturbed during construction. Grantee shall obtain Grantor's
written approval before installing gates or fences on Property, such approval not to be
unreasonably withheld, conditioned or delayed.
6. Notices. All notices or other communications required or permitted by this Temporary
Construction Easement including payments to Grantor, shall be in writing and shall be
deemed given when personally delivered to Grantor, or in lieu of such personal service,
five (5) days after deposit in the United States mail, first class, postage prepaid, certified;
or the next business day if sent by reputable overnight courier, provided receipt is
obtained and charges prepaid by the delivering party. Any notice shall be addressed as

Any party may change its address for purposes of this paragraph by giving written notice
of such change to the other parties in the manner provided in this paragraph.
7. Entire Agreement; Amendments. This Temporary Construction Easement constitutes the
entire agreement between Grantor and Grantee respecting its subject matter. This
Temporary Construction Easement shall not be modified or amended except in a writing
signed by both parties.

8. Successors and Assigns. This Temporary Construction Easement and the Easement
granted to Grantee hereunder shall burden the Property and shall run with the Property
and be binding upon Grantor and Grantee and any assignee, and their respective heirs,
transferees, successors and assigns, and all persons claiming under them.
Governing Law. This Temporary Construction Easement shall be governed by and
interpreted in accordance with the laws of the State of Colorado.
10. Partial Invalidity. Should any provision of this Temporary Construction Easement be
held, in a final and unappealable decision by a court of competent jurisdiction, to be
either invalid, void or unenforceable, the remaining provisions hereof shall remain in full
force and effect unimpaired by the holding.
11. Counterparts. This Temporary Construction Easement may be executed in one or more
counterparts, each of which when executed and delivered shall be an original, and all of
which when executed shall constitute one and the same instrument.
