FOR VALUE RECEIVED,the City of Greeley,("Seller")with an address of 1000 10'x'Street,
Greeley,CO 80631 hereby sells, assigns, transfers and delivers to Weld County, a Colorado
governmental organization and its heirs, successors and assigns ("Buyer") all of Seller's right, title
and interest in and to the multi-modal cable which is located on Xcel towers identified by Auto
Permit 480.
Seller makes the following representations to Buyer, each of which is true and correct as of
the date this Bill of Sales is fully executed by Seller: Seller has full legal power and authority to enter
into this Bill of Sale and this Bill of Sale constitutes a valid and binding obligation of Seller,
enforceable in accordance with the terms.
EXCEPT AS OTHERWISE PROVIDED HEREIN, NO WARRANTY IS PROVIDED AND
THE EQUIPMENT CONVEYED IS ON AN "AS IS" AND "AS AVAILABLE" BASIS AND
BUYER'S USE OF THE EQUIPMENT IS AT ITS OWN RISK. SELLER DOES NOT MAKE,
AND HEREBY DISCLAIMS, AND ALL EXPRESSED AND IMPLIED WARRANTIES,
INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT AND TITLE AND ANY
WARRANTIES ARISING FROM A COURSE OF DEALING,USAGE OR TRADE PRACTICE.
The Bill of Sale shall be governed by and construed under the laws of the State of Colorado
without reference to conflict of law principles. All attached exhibits are incorporated into this Bill of
Sale by this reference. Faxed or electronically reproduced signatures will be relied upon as original
signatures in all respects.

Esther, we received this bill of sale from the City of Greeley for a cable that will become part of our IT cable network
around the county. There is no money involved, and the only reason we are transferring it is because Xcel won't let us
lash to it as is. Basically,they are giving it to us now, although they should have transferred it when dispatch came over.
All that said,what we would need to do is just put this bill of sale on the agenda as communications, see email attached
if needed. Let me know if that makes sense. Thanks.
