RE: APPROVE AGREEMENT FOR SOFTWARE DEVELOPMENT AND PROOF OF
CONCEPT AND AUTHORIZE CHAIR TO SIGN -SUNGARD PUBLIC SECTOR, LLC/ID
NETWORKS, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for Software Development
and Proof of Concept between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Department of Public Safety
Communications, and Sungard Public Sector, and ID Networks, Inc., commencing upon full
execution of signatures and with further terms and conditions being as stated in said agreements,
and
WHEREAS, after review, the Board deems it advisable to approve said agreement, copies
of which are attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Agreement for Software Development and Proof of Concept between
the County of Weld, State of Colorado, by and through the Board of County Commissioners of
Weld County, on behalf of the Department of Public Safety Communications, and Sungard Public
Sector, LLC/ID Networks, Inc., be and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreements.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 16th day of May, A.D., 2016.

SOFTWARE DEVELOPMENT AGREEMENT
THIS SOFTWARE DfVELO ENT COOPERATION AGREEMENT ("Agreement") is made
and entered into on this /69/ day of ,O20/6, by and between Weld County,Colorado,a body
corporate and politic of the State of Colo o, by and through its Board of County Commissioners,
(hereinafter referred to as the "County) located at 1551 N 17th Ave, Greeley, CO 80631 and SunGard
Public Sector LLC, a Florida Limited Liability Company (hereinafter referred to as the "SunGard Public
Sector")with offices at 1000 Business Center Drive, Lake Mary,FL 32746.
RECITALS
County wishes to have a software program("Software Program")developed by SunGard Public Sector
described as"Proof of Concept Interface with ID Networks".
SunGard Public Sector wishes to develop the Software Program and County wishes to assist SunGard
Public Sector pursuant to the terms and conditions set forth in this Agreement.
Weld County (WC), Colorado has received RFP responses from various Public Safety vendors and has
chosen to move forward with a more detailed Proof of Concept(POC) with regard to data interfaces and
exchanges for the software integration expectations from both of the Vendors, known as SunGard (SG),
and ID Networks,Inc.(IDN).

The role of SG will be to provide Law Enforcement Management Records Systems (LEMRS) and Jail
Management System (JMS). The role of IDN will be to provide a Computerized Dispatch System (CAD)
and a Mobile CAD System (MCAD). WC would like to contract both Vendors to provide working Data
Interfaces (DI) in order to insure that a future deliverable software solution for WC would be fully
integrated in Cooperation with SG and IDN.
Objective: This POC may become a work in progress for WC in cooperation with both Vendors, as
described in Attachment A. The overall goal is to achieve a level of comfort that by having both Vendors
work together an integrated system that exchange data and interfaces the various systems that were selected
will be demonstrated in cooperation by both vendors to WC. The pre-requisite POC is to be completed so
that a confidence that both vendors and systems will work together as expected for WC will be proven via
demonstrations at WC. Any agreements among all three parties will, at this point, exist as two-party
agreements with WC and each of the Vendors individually.
NOW THEREFORE,the parties hereto, intending to be legally bound by the terms hereof,herby enter into
the following agreements:
ARTICLE
AGREEMENT TO PROVIDE SERVICES
1.1 Development Fee;Commencement of Development. The development fee for the Software Program is
Thirty Thousand Dollars and XX Cents($30,000.00). SunGard Public Sector shall commence
development work on the Software Program upon payment to SunGard Public Sector by County the
amount of$15,000. The balance of$15,000 shall be paid upon completion of development of the interface.
This price is exclusive of any tax which may be applicable. There are no travel and living expenses
associated with this Agreement. Pricing herein is valid until May 30,2016 if this Agreement is not fully
executed before such date. Such Software Program shall be created substantially in conformance with the
Specifications attached hereto as Exhibit"A."

1.2 Information for Development of Software Program. County shall provide, or make available to
SunGard Public Sector, free of charge, information as provided in Exhibit "A" (the "County Materials")
required for the development and testing of the Software Program. SunGard Public Sector will maintain
the confidentiality of the County Materials in accordance with the provisions of Section 4.3 below.
1.3 Changes To Specifications. Requests for changes to the Specification after commencement of
development shall not be effective without the written consent of both parties. Prior to acceptance of any
change requests, the parties shall cooperate to equitably determine the impact on pricing, time
commitments, scheduling and deadlines and other project factors and reflect these changes in the change
order.
ARTICLE H
DEVELOPMENT COORDINATION
2.1 Appointment of Development Coordinators. Each party shall appoint a single individual from its
respective organization, which shall be reasonably acceptable to the other party, to act as Development
Coordinator to represent the interests of the party in connection with the Development process. The
Development Coordinators of the parties shall communicate with each other on a regular periodic basis to
assure the smooth administration of the Development process,to communicate with each other of a regular
periodic basis regarding technical issues,and to coordinate activities between the parties.
ARTICLE III
COMPLETION
3.1 Completion. Upon completion of the Software Program, SunGard Public Sector shall notify the
Development Coordinator for County. SunGard Public Sector shall then arrange the logistics of making
the Software Program available to County for demonstration.
ARTICLE IV
PROPRIETARY RIGHTS
4.1 Reservation of Proprietary Rights In SunGard Public Sector. County acknowledges and agrees that the
Development fee applicable to this project was negotiated based upon the SunGard Public Sector retaining
the copyright and all other proprietary rights in and to the Software Program created hereunder and that the
development fee would have been substantially greater had the SunGard Public Sector not retained the
copyright in and to such items. Therefore, County represents, acknowledges and agrees that the Software
Program is a valuable trade secret and proprietary property of SunGard Public Sector. County further
acknowledges and agrees that SunGard Public Sector retains all copyrights and proprietary rights in and to
the Software Program. County agrees to refrain from any copying, distribution, or other infringements on
the exclusive rights of the SunGard Public Sector as the copyright owner of the Software Program. County
agrees to maintain the confidentiality of the Software Program and to protect the same as trade secrets of
the SunGard Public Sector. County further agrees to immediately notify the SunGard Public Sector of any
third party infringement on the SunGard Public Sector's rights of which the County may become aware.
4.2 SunGard Public Sector Confidential Information. County shall not, at any time, disclose or
disseminate the trade secrets embodied in the Software Program or any supporting program documentation
to any other person, firm, organization, or employee who does not need to obtain access thereto consistent
with County's obligations under this Agreement. Under no circumstances may County modify, reverse
compile, or reverse assemble the object code contained within the Software Program. Under no
circumstances may County disclose or disseminate such trade secrets to any competitor of SunGard Public
Sector. County shall devote County's best efforts to ensure that all persons afforded access to the Software
Program and all supporting program documentation will protect SunGard Public Sector's trade secrets
against unauthorized use, dissemination, or disclosure. Confidential information of SunGard should be
transmitted separately clearly denoting in red at the top the word, "CONFIDENTIAL." However, Contract

Professional is advised that as a public entity, Weld County must comply with the provisions of C.R.S. 24-
72-201,et seq.,with regard to public records,and cannot guarantee the confidentiality of all documents.
4.3 County Confidential Information. SunGard Public Sector shall not,at any time,disclose or disseminate
the trade secrets embodied in the County Materials to any other person, firm, organization, or employee
who does not need to obtain access thereto consistent with SunGard Public Sector's obligations under this
Agreement. SunGard Public Sector shall devote SunGard Public Sector's best efforts to ensure that all
persons afforded access to the County Materials will protect County's trade secrets against unauthorized
use,dissemination,or disclosure.
ARTICLE V
MISCELLANEOUS PROVISIONS
5.1 Limitation of Liability. In the event either party is or becomes liable to the other for any matter arising
under or relating to this Agreement, the amount recoverable by the other party for all events, acts, or
omissions will not exceed, in the aggregate, an amount equal to all payments made or owing under this
Agreement. Without limiting the foregoing, in no event shall the measure of damages for any such liability
include, nor shall either party be liable for, amounts for indirect, consequential, special, or punitive
damages,or damages for lost profits,lost income,or lost savings.
5.2 No Assignment.The services to be performed by SunGard Public Sector hereunder are personal in
nature, and County has engaged SunGard Public Sector as a result of SunGard Public Sector's unique
expertise relating to such services. Neither this Agreement nor any right, interest, duty or obligation
hereunder may be assigned,transferred or delegated by SunGard Public Sector without the express written
consent of County which consent may be withheld in the discretion of the County.
5.3 Independent Contractor Status.The parties agree that SunGard Public Sector shall be an independent
Contractor and not an agent,employee or representative of County.County shall have no right to direct or
control the details of the SunGard Public Sector's work.
5.4 Merger Clause.This Agreement contains the entire agreement and understanding of the parties with
respect to the subject matter hereof and supersedes and replaces all prior discussions, agreements,
proposals, understandings, whether orally or in writing, between the parties related to the subject matter of
this Agreement. This Agreement may be changed, modified or amended only in a written agreement that is
duly executed by authorized representatives of the parties. If any provisions hereof are deemed to be illegal
or unenforceable by a court of competent jurisdiction, the enforceability of effectiveness of the remainder
of the Agreement shall not be effected and this Agreement shall be enforceable without reference to the
unenforceable provision. No party's waiver of any breach or accommodation to the other party shall be
deemed to be a waiver of any subsequent breach.
5.5 County has the right to terminate this Agreement,with or without cause on thirty(30)days written
notice. Furthermore, this Agreement may be terminated at any time without notice upon a material breach
of the terms of the Agreement. If this Agreement is terminated by County, Contractor shall be
compensated for, and such compensation shall be limited to, (1) the sum of the amounts contained in
invoices which it has submitted and which have been approved by the County; (2) the value of the hours
expended by SunGard Public Sector on the project (at the rate of$200 per hour) prior to the date of the
termination notice, but which had not yet been approved for payment; and (3)the cost of any work which
the County approves in writing which it determines is needed to accomplish an orderly termination of the
work.
Upon termination, County shall take possession of all materials, equipment, tools and facilities owned by
County which Contractor is using,by whatever method it deems expedient.

5.6 Board of County Commissioners of Weld County Approval. This Agreement shall not be valid
until it has been approved by the Board of County Commissioners of Weld County, Colorado or its
designee.
5.7 Financial obligations of the County payable after the current fiscal year are contingent upon funds for
that purpose being appropriated, budgeted and otherwise made available. Execution of this Agreement by
County does not create an obligation on the part of County to expend funds not otherwise appropriated in
each succeeding year. County believes that sufficient funds can be obtained to pay all amounts due
SunGard Public Sector throughout the term of this Agreement and hereby covenants and agrees that it will
make appropriate requests for budget appropriations for the fiscal years in amounts as specified herein.
County further agrees that said funds, once appropriated, will be maintained and expended for the
expressed purpose of acquiring from SunGard Public Sector the services set forth herein.
In the event sufficient funds are not appropriated, not budgeted or not otherwise legally available, County
shall immediately notify SunGard Public Sector of such occurrence and SunGard Public Sector will
respond with a proclamation that the Agreement, or the appropriate executory portions thereof, is
terminated. Should there be any premature termination of this Agreement, County shall be responsible to
pay SunGard Public Sector amounts due as provided in Section 5.5 above.
5.8 Weld County may accept any element of the service in whole, part, or not at all from either of the
companies without penalty. Weld County is under no obligation to purchase a product and the POC is
being conducted to determine what, in the County's sole discretion,will best meet the needs of the County.
For the avoidance of doubt, the foregoing does not alter the County's payment obligations contained in
Section 1.1 above with respect to the development fee.
5.9 Extension or Modification. Any amendments or modifications to this agreement shall be in writing
signed by both parties. No additional services or work performed by Contractor shall be the basis for
additional compensation unless and until Contractor has obtained written authorization and
acknowledgement by County for such additional services.
5.10 Reserved
5.11 Choice of Law/Jurisdiction. Colorado law, and rules and regulations established pursuant thereto,
shall be applied in the interpretation,execution,and enforcement of this Agreement.
IN WITNESS WHEREOF,the parties hereto have duly entered and executed this Agreement as of the day
and year first above written and represent and warrant that the party executing this Agreement on their
behalf is duly authorized.

lookup records that are sent from CAD to the RMS Calls for Service module.
6) Will closet unit response still be available? ID Networks will provide this
functionality.
7) How and where will case numbers be generated? Case numbers will always be
generated from either the CAD or Mobile CAD clients.ID Networks will demonstrate both
of these items during the proof of concept.
8) Will CCIC hyperlinks open within the interface?Can CBI responses can be attached to
calls or within reports?CCIC query returns will populate persons in the MFR Name
Bank which can be used to populate reports.
9) Will the log in screen appear the same for SunGard customers(WC and GPD)vs.
municipal agencies using dispatch services? Users who login to the Mobile CAD client
will be able to launch the Field Based Reporting client without receiving a second
security prompt for those credentials.
10) GIS located within SunGard or ID Networks? ID Networks and Sun Gard will illustrate how
each system uses its own copy and form of the GIS data in the products which have been

11) Will SunGard users be able to view calls for service?Recall location per incident?CAD
history and Unit history? Users of the RMS system will be able to search for and view CFS
records that are pushed from the CAD system.Calls can be searched and displayed by
location incident.ID Networks will demonstrate how this same call history as well as unit
history is accessible from both of the ID Networks systems. Unit history is a part of the
CAD system and will not be in the RMS CFS system.
12) Will CJIS warrants populate with the interface?SunGard will demonstrate the ability to
perform a state Add Warrant transaction and populate the input mask from RMS data.
This will be demonstrated using another state's transaction mask. SunGard is not
developing all of the state add/mod/delete transactions as part of this proof of concept.
Notes:
1) The interface will be developed,tested and ready for demonstration by June 30th,2016.
2) SunGard is developing the proof of concept functionality required to demonstrate the above items that involve the SunGard applications. ID
Networks is responsible for developing any items that involve their applications and they will be providing a separate quote for that effort(not
included in this quote). The cost for development of these items are solely for the purpose of demonstrating this functionality and these
interfaces will not be licensed,installed,or provided to the customer unless the customer contracts with SunGard for the RMS and MFR
applications.

1. INTRODUCTION
Weld County (WC), Colorado has received RFP responses from various Public Safety

2. OBJECTIVE
This POC may become a work in progress for WC in cooperation with both Vendors, as
described in Attachment A. The overall goal is to achieve a level of comfort that by having

various systems that were selected will be demonstrated in cooperation by both vendors to
WC. The pre-requisite POC is to be completed so that a confidence that both vendors and

with WC and each of the Vendors individually.
3. SCOPE
The scope of this agreement shall follow the IDN stipulations and assumptions as provided
in Attachment B, known as IDN Quotation to WC, dated 04-22-2016.
Generally, the scope of services required will include: all requirements gathering,
definitions of workflow, costs, travel expenses, timeframes, demonstrations, and project
management.
4. REQUIREMENTS AND TASKS
This is a work in progress to cross reference the external RFP expectations in cooperation
with WC and its two Vendors.
5. PERSONNEL
IDN and WC are both responsible to provide the continuing personnel required during the
period of POC. In addition, timely and interactive access with the engaged personnel will
be critical to the success of the POC.
IDN shall also be accountable to work with SG in a timely manner to insure that progress
reports are produced in a fashion that is well understood to WC.

Both IDN and WC personnel shall not only be available, but also qualified to coordinate and
interact with each other and SG.
6. GENERAL ACCEPTANCE CRITERIA
Acceptance of the POC will be at the discretion of WC and its personnel.
7. WC EQUIPMENT AND SYSTEMS ACCESS
IDN shall have full access to WC facilities in order to perform its demonstrations which will
take place approximately two(2)to three (3) months from the time of acceptance.
8. PLACE OF PERFORMANCE
The majority of the work performed will be completed at ID Networks. It will culminate at
WC facilities with the demonstration of the POC.
9. PERIOD OF PERFORMANCE
The expected period of performance is targeted to be within two (2)to three (3) months
from the time of mutual acceptance of a final POC agreement.
10. CONFIDENTIALITY
It is assumed that all POC discussions will focus on the external RFP from WC and will
support the expectations of that document. If appropriate, a mutual non-disclosure could
be put in place as an attachment to this POC document. Confidential information of
SunGuard should be transmitted separately clearly denoting in red at the top the word,
"CONFIDENTIAL." However, Contract Professional is advised that as a public entity,
Weld County must comply with the provisions of C.R.S. 24-72-201, et seq., with regard to
public records, and cannot guarantee the confidentiality of all documents.
11. GOVERNING LAW
Colorado law, and rules and regulations established pursuant thereto, shall be applied in the
interpretation, execution, and enforcement of this Agreement.
12. ASSIGNMENT
IDN will not assign this Agreement or any of its rights or obligations hereunder without the
prior written consent of the WC, which consent shall be given or withheld at the direction of
WC.
13. ENTIRE AGREEMENT
It is understood and agreed that the entire Agreement of the parties is contained herein and
that this Agreement supersedes all oral Agreements and negotiations between the parties
relating to the subject matter hereof as well as any previous Agreements presently in effect
between the parties relating to the subject matter hereof. Any modifications, alterations,
amendments(change orders), addendums, deletions, or waivers of the provisions of this
Agreement shall be valid only when expressed in writing and duly signed by the parties.

14. EFFECTIVE DATE
This agreement shall be signed last by WC, which will be the Effective Date.
15. TERMINATION
County has the right to terminate this Agreement, with or without cause on thirty (30) days
written notice. Furthermore, this Agreement may be terminated at any time without notice
upon a material breach of the terms of the Agreement. If this Agreement is terminated by
County, Contractor shall be compensated for, and such compensation shall be limited to,
(1)the sum of the amounts contained in invoices which it has submitted and which have
been approved by the County; (2) the reasonable value to County of the materials which
Contractor provided prior to the date of the termination notice, but which had not yet been
approved for payment; and (3) the cost of any work which the County approves in writing
which it determines is needed to accomplish an orderly termination of the work. County
shall be entitled to the use of all material generated pursuant to this Agreement upon
termination. Upon termination, County shall take possession of all materials, equipment,
tools and facilities owned by County which Contractor is using, by whatever method it
deems expedient; and, Contractor shall deliver to County all drawings, drafts or other
documents it has completed or partially completed under this Agreement, together with all
other items, materials and documents which have been paid for by County, and these
items, materials and documents shall be the property of County. Copies of work product
incomplete at the time of termination shall be marked "DRAFT-INCOMPLETE."
16. SIGNATURE BY BOARD OF COUNTY COMMISSIONERS REQUIRED
This Agreement shall not be valid until it has been approved by the Board of County
Commissioners of Weld County, Colorado or its designee.
17. FUND AVAILABILITY
Financial obligations of the County payable after the current fiscal year are contingent
upon funds for that purpose being appropriated, budgeted and otherwise made available.
Execution of this Agreement by County does not create an obligation on the part of
County to expend funds not otherwise appropriated in each succeeding year."
18. DISCRETION OF COUNTY

21. The parties agree that IDN shall be an independent contractor and not an agent,
employee or representative of County. County shall have no right to direct or control the
details of the IDN's work.
22. NON-ASSIGNMENT
Contractor may not assign or transfer this Agreement or any interest therein or claim
thereunder, without the prior written approval of County.
23. COMPENSATION
County agrees to pay an amount no greater than $ 49,000, for this project. IDN
3Hage
acknowledges no payment in excess of that amount will be made by County unless a
"change order" authorizing such additional payment has been specifically approved.
Payment shall be made in two installments. The first installment totaling half of the cost
will be paid up front, the remaining half of the cost shall be paid upon completion of the
development of the interface.

1. Will interface work on tablets and(phones?
a. Vendor Clarification Reauest: ID Networks and SunGard are planning to demonstrate our applications coexisting on
a Windows platform and Windows based tablet. Given that neither company demonstrated the products that Weld
County selected(ID Networks Mobile CAD or SunGard's RMS)on iPhones,both vendors would like to confirm that it
is not Weld County's expectation that we must develop and deliver for the proof of concept products that were not
demonstrated on iPhones?
2. Pre-Book still an option for both Sungard users and agencies dispatched by Weld County?
a. Vendor Response: It is SunGard's expectation that they will demonstrate during the proof of concept that records
that are started in RMS from CAD data can and will still allow for a Pre-Book to be completed.
3. Field Base reporting still available? Will the interface autopopulate data?
a. Vendor Response: It is our plan to demonstrate that the ID Networks Mobile CAD and SunGard's Field Based
Reporting will exchange information via a CAD to MFR interface that will be triggered by the user when they launch
the MFR system from the Mobile CAD client.
4. Will users be able to see photos?
a. Vendor Response: It is our plan to demonstrate that the ID Networks systems(CAD and Mobile CAD)will be able to
retrieve photos from the SunGard RMS and JMS databases,whenever a name is run as part of a CCIC query.
5. Will users be able to view all calls?
a. Vendor Resoonse: ID Networks will demonstrate during the proof of concept that we can in fact display from the
Mobile CAD client all calls that are in progress or closed from the Mobile CAD client. SunGard will demonstrate that it
can lookup records that are sent from CAD to the RMS CFS module.
6. Will closet unit response still be available?
a. Vendor Response: Provided that units are providing AVL information to the CAD,the system will be able perform
closest unit recommendations. ID Networks will demonstrate this during the proof of concept demonstration by
displaying a unit recommendation that turns out when units have certain X/Y coordinates,and then differently when
the same unit recommendation is refreshed after their coordinates have changed so that Weld County can see that
the unit recommendation will change based on proximity.
7. How and where will case numbers be generated?
a. Vendor Response: Case numbers will always be generated from either the CAD or Mobile CAD clients. ID Networks
will demonstrate both of these items during the proof of concept.
8. Will CCIC hyperlinks open within the interface?Can CBI reponses can be attached to calls or within reports?
a. Vendor Response: ID Networks and SunGard will demonstrate how CCIC query returns populate people in a CFS
record that is pushed to the SunGard CFS module and to the name bank feature which can be used to populate
reports.
9. Will the log in screen appear the same for SunGard customers(WC and GPD)vs.municipal agencies using dispatch
services?
a. Vendor Response: ID Networks and SunGard will demonstrate how users who login to the Mobile CAD client will be
able to launch the Field Based Reporting client without receiving a second security prompt for those credentials as we
will store them within each user's the Mobile CAD client's profile.
10.GIS located within SunGard or ID Networks?
a. Vendor Response: ID Networks and SunGard will illustrate how each system uses its own copy and form of the GIS
data in the products which have been selected.
11.Will SunGard users be able to view calls for service?Recall location per incident?CAD history and Unit history?
a. Vendor Response: SunGard will demonstrate during the proof of concept that users of the RMS system will be able
to search for and view CFS records that are pushed over from the CAD system. They will also demonstrate how calls
can be searched and displayed by location incident. And ID Networks will demonstrate how this same call history as
well as unit history is accessible from both of the ID Networks systems.
12.Will CJIS warrants populate with the interface?
a. Vendor Clarification Reauest: ID Networks and SunGard kindly ask that Weld County clarity the specific
functionality that is being requested.
