APPLICATION
On April 7, 2016, Bayswater Exploration & Production, LLC (Operator No. 10261)
("Bayswater or "Applicant") filed a verified application pursuant to §34-60-116, C.R.S., for an
order to:

1) Pool all interests in five approximate 560-acre and two approximate 280-acre
wellbore spacing units ("WSU") established for the Application Lands, for the development and
operation of the Niobrara Formation;
2) Pool all interests in four approximate 560-acre WSUs established for the
Application Lands, for the development and operation of the Codell Formation; and
3) Subject any nonconsenting interests to the cost recovery provisions of §34-60-
116(7), C.R.S., effective as of the earlier of the date of the Application, or the date that any of
the costs specified in §34-60-116(7)(b), C.R.S.,were first incurred for the drilling of the following
wells:

Area Special Well Location, Spacing and Unit Designation Rule.
NOTICE IS HEREBY GIVEN, pursuant to §§ 34-60-101 to -130, C.R.S. and the
Commission's Rules of Practice and Procedure, 2 CCR 404-1, that the Commission has
scheduled this matter for hearing on:

At hearing, the Commission will consider the Application and enter an order pursuant to
its authority under the statute. Any interested party desiring to protest or Intervene should
file with the Commission a written protest or intervention in accordance with Rule 509.,
no later than May 23, 2016. Such interested party shall, at the same time, serve a copy of the
protest or intervention to the person filing the application. One electronic
(cogcc.hearings_unit@state.co.us), one original and two copies shall be filed with the
Commission. Anyone who files a protest or intervention must be able to participate in a
prehearing conference during the week of May 23, 2016. Pursuant to Rule 511., if the
matter is uncontested, it may be approved without a hearing.

APPLICATION
Bayswater Exploration & Production, LLC ("Bayswater" or "Applicant"), Operator No.
10261, by and through its attorneys, Welborn Sullivan Meck & Tooley, P.C., respectfully submits
this Application to the Oil and Gas Conservation Commission of the State of Colorado
("Commission" or "COGCC") for an order pooling all interests in (1) two approximate 560-acre
wellbore spacing units ("WSU") covering the S'/:SE'/, SE'/4SW'/< of Section 9, S'IAS'% of Section
10, N'%N% of Section 15, and N'/:NE'/, NE'ANW'% of Section 16; (2) two approximate 280-acre
WSUs covering the N'/ZN'% of Section 15 and the N'/ZNE%, NE'/4NW'% of Section 16; (3) four
approximate 560-acre WSUs covering the N'/: of Section 15 and the NE'A, E'/ZNW'% of Section 16;
and (4) three approximate 560-acre WSUs covering the S'/ZN'%, N'%S'/ of Section 15 and the
S'/ZNE'/4, SE'/4NW%4, N'/ZSE'/4, NE'ASW'% of Section 16, all in Township 5 North, Range 65 West,
6th P.M., Weld County, Colorado for development and production from the Niobrara (WSU Nos. 1,
3, 4, 6, 7, 9, and 11) and Codell (WSU Nos. 2, 5, 8, and 10) Formations. In support thereof, the
Applicant states as follows:

1. Applicant is a limited liability company duly authorized to conduct business in
the State of Colorado.
2. Applicant owns a leasehold interest in the WSUs comprised of the following
lands ("Application Lands"):

Reference maps of the Application Lands are attached hereto.
3. Rule 318A.a.(4)D. provides, in relevant part, that where a drilling and spacing
unit does not exist for a horizontal well, the horizontal wellbore spacing unit shall be comprised of
the governmental quarter-quarter sections in which the wellbore lateral penetrates the productive
formation as well as any governmental quarter-quarter sections that are located less than four
hundred sixty (460) feet from the portion of the wellbore lateral that penetrates the productive zone
regardless of section or quarter section lines. Rule 318A.a.(4)D. further provides that a horizontal
wellbore spacing unit may overlap portions of another horizontal wellbore spacing unit or other
wellbore spacing unit designated in accordance with subsection a.(4)C.
4. Applicant drilled the following wells in the Application Lands, each of which is
located in a separate WSU established pursuant to Rule 318A.
(a) WSU No. 1: Carlson A-15-16HN well (API# 05-123-41720), spud on or about
July 9, 2015. The above-described horizontal well is designed to test and produce
gas and associated hydrocarbons from the Niobrara Formation underlying the
Application Lands.
(b) WSU No. 2: Carlson B-15-16HC well (API# 05-123-41710), spud on or about
July 9, 2015. The above-described horizontal well is designed to test and produce •
gas and associated hydrocarbons from the Codell Formation underlying the
Application Lands.
(c) WSU No. 3: Carlson C-15-16HN well (API# 05-123-41711), spud on or about
July 10, 2015. The above-described horizontal well is designed to test and produce

gas and associated hydrocarbons from the Niobrara Formation underlying the
Application Lands.
(d) WSU No. 4: Carlson D-15-16HN well (API# 05-123-41714), spud on or about
July 11, 2015. The above-described horizontal well is designed to test and produce
gas and associated hydrocarbons from the Niobrara Formation underlying the
Application Lands.
(e) WSU No. 5: Carlson E-15-16HC well (API# 05-123-41713), spud on or about
July 15, 2015. The above-described horizontal well is designed to test and produce
gas and associated hydrocarbons from the Codell Formation underlying the
Application Lands.
(f) WSU No. 6: Carlson F-15-16HN well (API# 05-123-41716), spud on or about
July 15, 2015. The above-described horizontal well is designed to test and produce
gas and associated hydrocarbons from the Niobrara Formation underlying the
Application Lands.
(g) WSU No. 7: Carlson G-15-16HN well (API# 05-123-41718), spud on or about
July 16, 2015. The above-described horizontal well is designed to test and produce
gas and associated hydrocarbons from the Niobrara Formation underlying the
Application Lands.
(h) WSU No. 8: Carlson H-15-16HC well (API# 05-123-41717), spud on or about
July 17, 2015. The above-described horizontal well is designed to test and produce
gas and associated hydrocarbons from the Codell Formation underlying the
Application Lands.
(i) WSU No. 9: Carlson J-15-161-IN well (API# 05-123-41709), spud on or about
October 7, 2015. The above-described horizontal well is designed to test and
produce gas and associated hydrocarbons from the Niobrara Formation underlying
the Application Lands.
0) WSU No. 10: Carlson K-15-16HC well (API# 05-123-41712), spud on or about
October 7, 2015. The above-described horizontal well is designed to test and
produce gas and associated hydrocarbons from the Codell Formation underlying
the Application Lands.
(k) WSU No. 11: Carlson L-15-16HN well (API# 05-123-41715), spud on or about
October 8, 2015. The above-described horizontal well is designed to test and
produce gas and associated hydrocarbons from the Niobrara Formation underlying
the Application Lands.
(collectively, the "Carlson Wells").
5. Pursuant to the relevant provisions of Section 34-60-116(6) & (7), C.R.S., and
COGCC Rule 530, Applicant seeks an order pooling all interests in the Application Lands for the

development and operation of the Niobrara Formation in WSU Nos. 1, 3, 4, 6, 7, 9, and 11 and for
the development and operation of the Codell Formation in WSU Nos. 2, 5, 8, and 10.
6. Applicant certifies that, at least thirty-five (35) days prior to the date of the
scheduled protest deadline for this Application, each owner which Applicant was able to locate, not
already leased or voluntarily pooled, will be provided with the well proposal and information
required by Rule 530 and tendered a reasonable offer to lease (if an unleased mineral owner), or
participate and bear costs associated with the drilling and completion of the Carlson Wells.
7. Applicant requests that a pooling order be entered as a result of this
Application and that it be made effective as of the earlier of the date of this Application, or the date
costs specified in Section 34-60-116(7)(b)(II), C.R.S., are first incurred for the drilling of each of the
Carlson Wells, in or with respect to each separate WSU.
8. The granting of this Application would be in accord with the Oil and Gas
Conservation Act, found at Section 34-60-101, et seq., C.R.S., and Commission rules.
9. The names of the interested parties (persons who own an interest in the
mineral estate of the tracts to be pooled, except owners of overriding royalty interest) are attached
hereto and marked Exhibit A. Applicant certifies that copies of this Application will be served on all
locatable interested parties within seven (7) days of the date hereof, as required by Commission
Rule 507.b(2), and that at least thirty-five (35) days prior to the date of the scheduled protest
deadline for this Application, each such owner not already leased or voluntarily pooled will be
offered the opportunity to lease, or to participate in the drilling of the respective wells, and will be
provided with the information required by Rule 530.
WHEREFORE, Applicant respectfully requests that this matter be set for hearing, that
notice be given as required by law and that upon such hearing this Commission enter its order
A. Pooling all interests in the Application Lands for the development and
operation of the Niobrara Formation in WSU Nos. 1, 3, 4, 6, 7, 9, and 11 and the Codell Formation
in WSU Nos. 2, 5, 8, and 10.
B. Providing that the pooling order is made effective as of the date of this
Application, or the date that the costs specified in Section 34-60-116(7)(b)(II), C.R.S., are first
incurred for the drilling of the following wells in the following units:

D. For such other findings and orders as the Commission may deem proper or
advisable in the Application Lands.

What is this?
The Colorado Oil and Gas Conservation Commission(COGCC) requires specific "spacing"requirements
of any Oil and Gas well to Promote Conservation of Minerals and Protect Correlative Rights of offset
mineral owners.The attached application is simply an application to pool the minerals interests under the
spacing unit of the well by and through a hearing of the COGCC pursuant to Colorado Revised Statute
Section 34-60-116 to create a pooled unit under the COGCC spacing requirements.
Why am I receiving it?
The statute provides that Bayswater must send this Application to all"interested parties", defined as
working interest,unleased mineral owners, and royalty owners,in the spacing unit. You are receiving this
letter because you are an interested party, and therefore Bayswater is required by regulation to send this
Application to you as a part of its request for statutory pooling from the COGCC.
Whv are you doing this?
There are various reasons to statutorily pool a wellbore spacing unit.The most basic reason is when
parties owning interests in the COGCC designated spacing unit do not voluntarily agree to pool their
interests in the spacing unit.
How will this hearing impact me?
• If you are listed under the"Royalty owners"portions of this application this hearing will have no
impact on you or your interests in the well(s).The pooling provision of your Oil and Gas lease
typically allow for voluntary pooling per state requirements.Any division orders signed are still valid
and applicable and you will continue to receive the same proportionate share of revenues in the well
should they be currently producing.
• If you are listed in the"Unleased Oil and Gas Interests" or"Non-Consenting WI" Owners list of the
application,please contact me at your earliest convenience to discuss your options as this has
significant implications on your interests that need to be specifically discussed.
What do I need to do?
If you are a mineral owner and listed in the"Unleased Oil and Gas Interests"list or if you are a Working
Interest Owner and listed in the "Non-Consenting WI" Owners list of the application, please contact me
to discuss your options. Otherwise for all other parties the purpose of this letter is to provide you with
basic information concerning the hearing for your records and give you notice of the application per state
regulations.

As suspected, it's just a confusion of the layout. You are listed as royalty owner on the application. Lease is
recorded at Reception 3723160 covering lands in the NE4 of Sec.15 -5N-65W
There are two Weld county School District leases as well but as I understand,those are not the same and
handled/managed by the school board. Correct?
