Cerner Corporation won the bid for our On-Site Clinic Medical Services with Bid
#B1500202.
We are asking for approval of the contract with Cerner Corporation for Clinic Services
for a period of 3 years beginning on June 15, 2016. The contract may be extended for
one year periods as allowed in the agreement.
Based on the above information, I recommend the board sign the contract for On-Site
Clinic Medical Services to Cerner Corporation.

CERNER HEALTH CONNECTIONS MEDICAL SERVICES AGREEMENT
This Cerner Health Connections Medical Services Agreement (the 'Agreement') is made on June 13, 2016 (`Effective Date'),
between

CERNER HEALTH CONNECTIONS MEDICAL SERVICES AGREEMENT
BASIC TERMS AND CONDITIONS
1. Facility. Employer shall provide a health center facility at the location specified in Exhibit A(the"Facility"or"Health Center")
for use by Cerner in providing the services hereunder. Cerner will provide recommendations for layout, location and
equipment. The physical structure in which the Facility will be located, its construction specifications and available parking
and the date of its availability will be established by Employer.All occupancy permits, building permits and other regulatory
approvals necessary for the construction, occupancy and operation of the Facility shall be obtained by Employer.
Requirements for the Facility will be set forth in Exhibit A.
2. Scope of Services.
a_ The scope of services which will be provided by the on-site Cerner staff at the Facility is described in Exhibit B(the
°Services`).
b. Cerner will provide:
1) Establishment and maintenance of a computerized medical record keeping and tracking system
2) Management of the Health Center staff
3) Surveys to measure patient satisfaction
4) Service implementation oversight
5) Payroll and Benefits to Health Center staff
6) Recruitment and training to Health Center staff
7) Management Travel
8) Quality Assurance Audits
9) Written Medical Protocols
10) Standard Treatment Forms
11) Account Management,Standardized Dashboard Reporting,and strategic planning as outlined in
Exhibit H.
12) Brand Marketing. Cerner will provide recommendations for naming/branding, promoting, and
designating the Facility and through physical signage.At a minimum,Employer shall acknowledge
Cerner in printed or electronic materials that designate or promote the Facility. Such
acknowledgment will be noted and will be executed according to Cerner brand guidelines that will
be supplied to the Employer upon request. Cerner reserves the right to approve all materials
bearing the Cerner name or brand mark.
c. Eligible individuals, as defined in Exhibit B,shall be permitted to obtain Services at the Facility.Cerner will confirm
eligibility of an individual at the time of service by utilizing reports provided by Employer as described in Exhibit E.
d. Cerner agrees to collect payments, if in future scope, from Employer's health center patients for services rendered
via credit card.
3. Staffing of Facility.
a. Cerner will provide at the Facility the staff described in Exhibit C hereto.
b. The on-site staff at the Facility will not provide Services on Employer holidays as set forth in Exhibit C. Employer
shall have the ability to meet candidates for the Clinic Manager(Full-time mid-level practitioner)before being placed
at the Facility. Employer shall also have the ability to meet on-site staff for the Facility prior to commencement of the
Services.
c. The on-site staff provided by Cerner will be licensed by the jurisdiction in which the Facility is located (as such
licensing may be required by law). Cerner will perform criminal background checks and screen for health care
sanctions for all on-site staff as described in Exhibit C.

4. Equipment and Supplies in Facility.
a. The required Equipment is set forth in Exhibit D(the"Equipment"). The Equipment will be purchased or otherwise
provided by Cerner. Cerner will maintain service, repair, and calibrate all Equipment. Upon termination of this
agreement,title to the equipment will remain with Cerner.
b. Cerner will provide the usual and customary consumable medical supplies and non-prescription and prescription
medications set forth in Exhibit D.
5. Cerner is Exclusive Provider for the Services described in this Agreement. Cerner shall be the exclusive provider of the
medical services described herein to Employer. If Employer desires additional medical services as described herein to be
provided to its employees, Cerner may submit a bid to offer these services. These services would be outside the Facility
unless prior Cerner approval and BAA/HIPAA agreements are signed by both parties.
6. Employer Incentives. Employer,at its discretion,will provide incentives for Eligible Individuals to utilize the Facility. Employer
may provide such incentives through benefit plan design features,such as a reduction in co-pays,co-insurance,etc.Employer
agrees to fund its benefit plan in a manner that includes payment for Eligible Prescription Drugs dispensed at the Facility in
accordance with Employer's benefit plan and the fees under this Agreement. Employer agrees to make relevant parts of its
benefit plan available to Cerner for Cerner's review. Employer agrees to work in good faith with Cerner to discuss, and if
feasible,adopt Cemer's recommended changes.
7. Employer Marketing. Employer agrees to have the option to host one(1)site visit at the facility location per quarter to potential
clients of Cerner.
8. Term and Termination. This Agreement shall begin on June 15, 2016 and remain in effect for a period of 3 years unless
terminated in accordance with this Agreement.The Employer may extend this contract for two additional one(1)year terms
at its discretion. The Employer agrees to notify Cerner not sooner than ninety(90)days and not later than sixty(60)days of
the end of the initial term or a renewal term,if it wishes to continue the Agreement.
Upon termination of this agreement,for any reason, Cerner and Employer agree to the following:
a. It is in Employer's best interest for Cerner to retain clinical staffing through the final date of service. To the extent
feasible, Employer will notify Cerner of is intent not to renew as soon as practicable. In order to retain appropriate
staffing through the final date of service,it may become necessary for Cemer to provide retention bonuses to staff.
b. Employer acknowledges that Cerner experiences considerable expenses associated with the termination of this
agreement in a manner that ensures effective transition of patient relationships and records;and respects Employer's
desire to maintain strong relationships with its beneficiaries. Employer agrees complete data migration,at Employer's
discretion and cost,and Cerner agrees to cooperate and provide reasonable assistance with the data migration.
9. Payment Terms. Beginning on the earlier of the Commencement Date or June 15,2016 and continuing throughout the Initial
Term and any Renewal Terms (described herein), Employer shall pay to Cerner the management and staff fees in the
amounts set forth in Exhibit F hereof and the equipment fees and supply cost reimbursement set forth in Exhibit D hereof.
Cerner shall submit monthly invoices to Employer and Employer shall pay Cerner monthly the fees and costs payable due
hereunder. For any items which Cerner provides to Employer on a'cost plus"basis(hereinafter"Cost-plus Services"),Cemer
will provide a copy of the original invoice upon Employer's request. Employer will pay the invoices within thirty(30)days from
receipt thereof. If an invoice is not paid within thirty(30)days after the date the invoice is received,the amount owed Cerner
will bear interest from the date the invoice is received at the maximum rate allowed by law,unless error in billing.
The initial term of this monthly fee agreement shall be for a period of 3 years beginning on June 15,2016(the`Initial Terra').
The Commencement Date shall mean the day the Agreement is effective(the'Commencement Date°).The monthly fee will
automatically renew after the Initial Term of this monthly fee agreement, if the Employer opts to extend the contract for the
additional one(1)year periods allowed under Paragraph 7 of this Agreement.
10. Warranty. Cerner shall perform the services required of it under this Agreement with the standards of care,skill,and diligence
consistent with(i)recognized and sound medical practices,procedures and techniques;(ii)all applicable laws and regulations;
(iii)the specifications, documents, and procedures applicable to the services; and (iv) the degree of knowledge,skill, and
judgment normally exercised by professional firms in the community where in Facility is located with respect to services of a
similar nature.
11. Medical Practice. Notwithstanding any other provision of this Agreement, the standards and professional duties of Cerner
shall be determined by Cerner and its independent contractors, if applicable, alone in compliance with applicable scope of
practice laws.Employer shall not act or assert authority in any manner that would constitute the unlawful practice of medicine.
It is the intent of the parties to comply with all applicable limitations imposed by state laws limiting the ability of lay persons
and entities to practice medicine(commonly referred to as the'corporate practice of medicine prohibition°)(the°Prohibition°).
Employer shall not have or exercise control or direction over the methods by which Cerner or any Cerner personnel or
independent contractors perform professional services pursuant to this Agreement or with respect to medical decision-making
and, notwithstanding any other provision of this Agreement or otherwise, Employer shall cooperate with Cerner and Cemer
personnel and independent contractors to enable them to exert appropriate control over such methods and carry out such

decision-making.The sole interest of Employer with respect to medical services is to ensure that such services are performed
and rendered in a competent and cost-effective manner.
12. Independent Contractor. Cerner agrees to furnish services under this Agreement as an independent contractor and not as
an agent or partner of the Employer. Employer shall not retain control or direction over Cerner or its employees or the detail,
manner,or methods of performance of the Services provided hereunder by Cerner or its employees.
13. Confidentiality Agreement. Except as expressly permitted by this Agreement, Cerner and Employer will not disclose, use,
copy, distribute, sell, license, publish, reproduce or otherwise make available Confidential Information of the other party.
Cerner and Employer will each secure and protect the other party's Confidential Information by using the same or greater
level of care that it uses to protect its own confidential and proprietary information of like kind, but in no event less than a
reasonable degree of care.Confidential Information shall mean all technical,business,financial and other information that is
disclosed by either party to the other,whether orally or in writing, all individually-identifiable patient information, all Cerner
pricing information, and all non-publicly available information related to Cerner products, services and/or methodologies.
Confidential Information will not include any information(i)that is publicly available through no breach of this Agreement by
Employer or Cerner, (ii) that is independently developed or was previously known by Employer or Cerner, or(iii) that is
rightfully acquired by Employer or Cerner from a third party not under an obligation of confidentiality. Both Cerner and the
Employer shall return all Confidential Information immediately upon termination of this Agreement or any time prior thereto
upon the request of Cerner or the Employer.
14. Insurance. Cerner will maintain and have in force at all times during the Initial Term and any Renewal Term the types of
insurance and with maximum coverage amounts described in Exhibit G. Cerner will supply copies to Employer upon request.
15. Force Majeure. Performance of this Agreement by each party hereto shall be pursued with due diligence in all requirements
hereof. However,neither party shall be liable to the other for any loss or damage for delay or nonperformance due to causes
not reasonably within its control. In the event of any delay resulting from such causes,the time for the performance affected
and payment hereunder shall be extended for a period of time reasonably necessary to overcome the effect of such delays.
16. Documentation,Records and Reports.
a. Incidental to the rendering of services under the terms and conditions of this Agreement, Cerner shall generate
documentation, records, and reports which are necessary to the proper rendering of the services described in
Section 2(a). Cerner has the right to send copies of medical records to its corporate Medical Director for quality
assurance purposes. Cerner will maintain reasonable confidentiality procedures in connection therewith and comply
with all applicable state and federal privacy and security laws and regulations.
b. Cerner shall prepare complete,timely,and accurate medical records with respect to the Services provided by Cerner
(collectively, the°Medical Records'). Cerner shall maintain the Medical Records in compliance with all applicable
laws,rules and regulations concerning the maintenance and confidentiality of such records. Upon termination of this
Agreement,Cerner agrees to cooperate with Employer to provide to Employer's designated successor healthcare
provider certain medical information that may be contained in Cerner's computer files that may be of use to
Employer's designated healthcare provider relative to the operation of the Facility and the provision of the services,
subject to applicable requirements with respect to such disclosures of medical information under state and federal
medical privacy laws and regulations. Such information may be provided via a hard copy or electronic transfer,and
depending on the nature of the data and the technical requirements to produce electronic media, will require an
additional fee which will be based on Corner's current hourly rate. In the event of non-renewal of this Agreement,
Cerner does not grant to Employer a license for use of the applications software or continued use of the hardware
or peripherals, as they remain the property of Cerner.
c. All occupational health medical records of employees of Employer generated or maintained by Cerner as required
by the terms and conditions of this Agreement are the property of Employer. To the extent allowed by law,Employer
shall indemnify and hold harmless Cerner from any alleged breach of confidentiality which results from Employer's
ownership of such employee medical records and/or Employer's unauthorized or illegal publication of information
contained in the employee occupational medical records.
d. Prior to the Effective Date of this Agreement,Employer may have operated on-site health centers which generated
patient medical records(the°Pre-existing Medical Records°). Cerner agrees to maintain custody of the Pre-existing
Medical Records for Eligible Individuals during the term of this Agreement.
17. Assignment. Except as set forth below, neither party may assign this Agreement, nor may either party delegate his duties
with respect to it except in conjunction with a reorganization or merger,or in conjunction with the sale of substantially all its
assets to which this Agreement pertains.Any assignment of this Agreement must be made in its entirety,including all rights
and obligations. Employer maintains the option to terminate this Agreement without penalty in the event that Cerner sells
substantially all of its assets to which this Agreement pertains.
18. No Hire.Employer acknowledges that Cerner incurs great expense in recruiting and trainings its personnel and entering into
arrangements with third parties to provide Services at the Facility. Employer agrees not to solicit or employ any of the
employees of Cerner, for positions related to the Services provided under this Agreement,or personnel of any third parties

that Cerner contracts with to provide Services during the term of this Agreement,for the Initial Term,any subsequent renewal
term and for a period of two (2) years after termination of this Agreement without the express written consent of Cerner
Corporation.
19. Compliance with Laws. At all times during the term of this Agreement,each party shall comply with all federal,state and local
laws,rules and regulations applicable to its performance of duties and obligations under this Agreement.
20. Events of Default and Rights and Remedies.
a. The occurrence of any one or more of the following events shall constitute an Event of Default hereunder:
i) Default in the payment of any sum becoming due under this Agreement,which default continues ten
(10)business days after written notice thereof in accordance with Section 28 hereof.
ii) Default in the performance or observance of any of the non-monetary terms, agreements,covenants
or conditions of this Agreement which default continues for thirty(30)days after written notice thereof
in accordance with Section 28 hereof;provided that,if such default cannot reasonably be cured within
thirty (30) days, no Event of Default shall be deemed to occur so long as the defaulting party has
commenced and is diligently implementing a cure within the 30-day period and pursues such cure to a
timely conclusion no later than one hundred and twenty(120)days from written notice thereof.
b. If there is an Event of Default with respect to either party in accordance with this Section,then,upon the election of
the non-defaulting party,such non-defaulting party may suspend its performance under this Agreement, and may
exercise any other rights or remedies it may have at law or in equity.
21. Limitation of Liability. EXCEPT FOR INDEMNIFICATION OBLIGATIONS AND PAYMENT OF FEES DUE UNDER THIS
AGREEMENT, IN NO CASE SHALL CERNER BE LIABILE FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL
DAMANGES BASED UPON BREACH OF WARRANTY,BREACH OF CONTRACT,NEGLIGENCE,STRICT TORT,OR ANY
OTHER LEGAL THEORY. Notwithstanding any other provision herein, Cerners maximum liability for all claims whatsoever
arising under this Agreement shall be limited to the amount paid by Employer to Cerner for the services provided.
22. Indemnity. Cerner agrees to indemnify, defend and hold harmless Employer and the directors, officers, employees,
subcontractors, and agents of Employer from and against any and all claims, loss, liability and damages, of any nature
(including reasonable attorney's fees) arising out of, or in connection with, Cerners negligent performance of any of the
services provided hereunder or willful misconduct, except to the extent such claims, loss, liability or damage is due to the
negligence of Employer.
23. Access to Data.Subject to receipt of a signed Business Associate Agreement if applicable,Employer agrees that Cerner may
use and disclose the Data for purposes permitted by HIPAA, or as agreed upon in this Agreement. Employer agrees that
Cerner may use and disclose performance and usage data for any purpose permitted by law so long as the data does not
contain protected health information(as defined under HIPAA)or Employer specific identifiable information. Data means data
that is collected,stored,processed,or generated through the Services. Cerner may de-identify protected health information
in accordance with the standards set forth in 45 C.F.R. 164.514(b)and may use or disclose such data unless prohibited by
applicable law.Cerner may keep a copy of all such Data following termination of this Agreement for archival,certification and
enforcement purposes only.Cerner may de-identify protected health information in accordance with the standards set forth
in 45 C.F.R.164.514(b)and may use or disclose such data unless prohibited by applicable law. Cerner will work in good faith
to come up with a process to provide claims data to Client's third party health plan administrator,Cigna,for the sole purpose
of evaluating the performance of the Weld County Employee Health Plan which Health Plan funds the Services provided
hereunder.
24. Law,Forum and Venue. This Agreement shall be governed by the laws of the State of Colorado without regard to its conflicts
of law provisions. Weld County will comply with the terms of C.R.S.8-2-113.(See attached)
25. Complete Agreement. This Agreement,including its appendices,is intended as the complete and exclusive statement of the
terms of agreement between the parties hereto. This Agreement shall not be amended or modified, and no waiver of any
provision hereof shall be effective, unless set forth in a written instrument authorized and executed with the same formality
as this Agreement.
26. Counterpart Execution. Cemer and Employer may execute this Agreement in any number of separate counterparts,each of
which,when executed and delivered by the parties hereto,shall have the force and effect of an original. All such counterparts
shall be deemed to constitute one and the same instrument.
27. Conflicting Terms. In the event that the terms of this Agreement conflict with the terms of any form purchase order or invoice
of Employer or other Employer form,the terms of this Agreement shall control, Employer expressly waives any provision in
any form purchase order that purports to control over this Agreement.
28. Notice. All notices, demands, requests and other communications hereunder shall be in writing and shall be either: (a)
personally delivered (including by means of recognized air courier services utilizing receipts), in which case they shall be
effective when delivered(if delivered before 5:00 p.m.on the recipient's business day; if delivered after 5:00 p.m.,they shall
be effective the next business day); (b)sent by facsimile (so long as the original of such notice, demand, request or other

communication is thereafter forwarded to the other party in the normal course of business)in which case they shall be effective
when the sender has received facsimile transmission confirmation (if delivered before 5:00 p.m. on the recipient's business
day; if delivered after 5:00 p.m. they shall be effective the next business day); or(c)sent by prepaid certified mail, return
receipt requested, in which case they shall be effective upon actual receipt. The addresses and facsimile numbers of

29. Fund Availability. Financial obligations of the County payable after the current fiscal year are contingent upon funds for that
purpose being appropriated,budgeted and otherwise made available.Execution of this Agreement by County does not create
an obligation on the part of County to expend funds not otherwise appropriated in each succeeding year.
30. Employee Financial Interest/Conflict of Interest --C.R.S. §$24-18-201 et seq. and §24-50-507. The signatories to this
Agreement state that to their knowledge,no employee of Weld County has any personal or beneficial interest whatsoever in
the service or property which is the subject matter of this Agreement.
31. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable by a court of
competent jurisdiction, this Agreement shall be construed and enforced without such provision, to the extent that this
Agreement is then capable of execution within the original intent of the parties.
32. Governmental Immunity. No term or condition of this contract shall be construed or interpreted as a waiver, express or
implied,of any of the immunities,rights,benefits,protections or other provisions,of the Colorado Governmental Immunity Act
§§24-10-101 et seq.,as applicable now or hereafter amended.
33. No Third Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this
Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and
nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this
Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving
services or benefits under this Agreement shall be an incidental beneficiary only.
34. Board of County Commissioners of Weld County Approval. This Agreement shall not be valid until it has been approved by
the Board of County Commissioners of Weld County,Colorado or its designee.
35. Public Contracts for Services C.R.S. $8-17.5-101. Corner certifies, warrants,and agrees that it does not knowingly employ
or contract with an illegal alien who will perform work under this contract. Cerner will confirm the employment eligibility of all
employees who are newly hired for employment in the United States to perform work under this Agreement, through
participation in the E-Verify program or the State of Colorado program established pursuant to C.R.S_ §8-17.5-
102(5)(c). Corner shall not knowingly employ or contract with an illegal alien to perform work under this Agreement or enter
into a contract with a subcontractor that fails to certify with Cerner that the subcontractor shall not knowingly employ or contract
with an illegal alien to perform work under this Agreement.Cerner shall not use E-Verify Program or State of Colorado program
procedures to undertake pre-employment screening or job applicants while this Agreement is being performed. If Cerner
obtains actual knowledge that a subcontractor performing work under the public contract for services knowingly employs or
contracts with an illegal alien Cerner shall notify the subcontractor and Employer within three(3)days that Cerner has actual
knowledge that a subcontractor is employing or contracting with an illegal alien and shall terminate the subcontract if a
subcontractor does not stop employing or contracting with the illegal alien within three(3)days of receiving notice. Cerner
shall not terminate the contract if within three days the subcontractor provides information to establish that the subcontractor
has not knowingly employed or contracted with an illegal alien. Cerner shall comply with reasonable requests made in the
course of an investigation, undertaken pursuant to C.R.S. §8-17.5-102(5), by the Colorado Department of Labor and
Employment. If Cerner participates in the State of Colorado program, Cerner shall, within twenty days after hiring an new
employee to perform work under the contract, affirm that Cerner has examined the legal work status of such employee,
retained file copies of the documents, and not altered or falsified the identification documents for such employees. Cerner
shall deliver to Employer, a written notarized affirmation that it has examined the legal work status of such employee, and
shall comply with all of the other requirements of the State of Colorado program.If Cerner fails to comply with any requirement
of this provision or of C.R.S.§8-17.5-101 et seq., Employer,may terminate this Agreement for breach.
Except where exempted by federal law and except as provided in C.R.S.§24-76.5-103(3),if Cerner receives federal or state
funds under the contract,Cerner must confirm that any individual natural person eighteen(18)years of age or older is lawfully
present in the United States pursuant to C.R.S.§24-76.5-103(4),if such individual applies for public benefits provided under
the contract. If Cerner operates as a sole proprietor,it hereby swears or affirms under penalty of perjury that it:(a)is a citizen

• Employer shall provide and pay for water,heat,and air conditioning at the Facility and be responsible for paying all
real and personal property taxes imposed on the Facility.
• Employer shall be responsible for identifying hazardous conditions at Employer's premises, other than the Facility
that may affect Cerner, its employees,subcontractors or agents, and shall immediately notify Cerner of any such
conditions.
• Employer agrees that the sole purpose of the Facility is for Cerner and its agents to provide the Services described
herein. Employer shall not use the Facility for any other purpose without the written consent of Cemer.
• Employer shall maintain the Facility in good operation and repair.
• The Facility shall be in compliance with all applicable codes,laws,and municipal governmental agencies.
• Access to the facility by Cerner personnel shall be agreed upon by both parties and will be documented in Cemer's

SCOPE OF SERVICES
Cerner and Employer agree that the Services apply to Employers employees,their dependents(spouses and children 2 years
old and older),domestic partners, retirees,COBRA,as expressly agreed upon(the'Eligible Individuals').The Services which
can be provided by the on-site Cerner staff at the Facility shall consist of the following:

for the respective roles. Cerner will conduct background screening consisting of, but not limited to, drug screening,
education and prior employment, criminal history, and a review of the National Sex Offender registry and health care
sanctions.
Cerner shall provide Weld County an opportunity to meet and approve of the finalists for the Clinic manager(full-time mid-
level practitioner)prior to placement.Cerner shall provide Weld County with an opportunity to meet each on-site employee
at the Facility if Weld County desires. If Weld feels that the employee is not a good fit,or is not performing well, is rude to
our staff,etc.,Weld would like the opportunity to work with Cerner on replacing that individual.
If Weld County finds that the performance of any employee or independent contractor of Cerner in the rendering of services
hereunder is unsatisfactory,then Weld County shall notify the Cerner Corporate contact.
Cerner will ensure that the Facility on-site staff are in compliance with Employer's immunization protocol and meet the
OSHA standard for Hepatitis B.
Excluded or Debarred individuals or individuals with crimes against persons will not be used to staff the Facility.

STANDARD EMPLOYER TECHNOLOGY REQUIREMENTS
Employer Will Provide
• Telephones and telephone service to support the operations of the Health Center. Includes phone(local and long
distance),fax,and data lines.
• Network cabling as required to support operational requirements.
• Access for Employer's employees to on-line resources from Employer's intranet website or public website as
required. This includes content, documents and links to external web pages and applications as agreed upon by
both parties. This includes initial set-up and on-going maintenance required to promote Employer's health programs.
• Employer shall provide a demographic/eligibility data file identifying all individuals eligible to use the Facility. Cerner
shall provide a data file format specification for Employer to develop a data file extract. Employer shall provide the
demographic/eligibility data on a mutually agreed schedule in the format requested by Cerner, including an initial
data file feed,periodic updates and terminations of eligibility.
Cerner Will Provide
• Devices as required to support the agreed personnel staffing and Services(thin clients,laptops,tablet PCs, etc.)
• Peripherals as required to support the Services (e.g., monitors, keyboards, printers, scanners, all in one devices,
etc.)
• Access to all necessary software required to conduct Cerner business and provide care.
• LAN(Local Area Network)setup,including internet connection from ISP to the Health Center, routers,switches and
firewalls, as needed,to provide connectivity from center to Cerner,in accordance with operational requirements.
• Wireless network access within the Facility to Cerner in accordance with operational requirement.
• Access to utilization reporting (from Internet provider) for Facility Internet connection for performance evaluation
purposes.
Infrastructure Support Requirements
• All IT infrastructure provided by the Employer is owned and maintained by the Employer. All IT infrastructure provided
by Cerner is owned and maintained by Cerner.
• During the hours of the Health Center operation, issues with Employer owned infrastructure that directly affect the
operation of the Center, need to be assigned in accordance with the severity of the issue all issues will be routed via
the Employers Support Desk 970-400-4357 and assigned the appropriate severity based on customer impact.
• During the hours of Facility operation,issues with Cerner owned infrastructure that directly affect the operation of the
Facility,will be managed to resolution by Cerner.
Maintenance on Employer infrastructure used to support Facility operation needs to be coordinated to occur at times that will
not negatively affect the operation of the Health Center. This may require some maintenance activities to occur outside the
hours of Health Center operation. Maintenance that could potentially affect the operation of the Health Center may need to
be coordinated between Employer and Cerner.
Data Transfer Requirements
• Cerner shall work with Employer to determine high-level requirements for data exchange to support Facility
operations and Employer's data reporting requirements.
• Employer shall facilitate initial contact between Cerner and Employer's business partners.
• Cerner shall work with Employer's business partners to develop a mutually agreed specification(s)for an outbound
data extract for Cemer to send data to Employer's business partners. Such specification shall identify:
o Data elements to be transferred
o Format of data elements to be transferred
o Identification of a unique identifier to allow Employer's business partners to match and reconcile data
o Frequency and schedule of data transfer
o Method for secure transfer of data from Cerner to partner
• Cerner shall develop the data extract(s)based on the requirements identified in the mutually agreed specification(s).
Corner shall work with Employer's business partners to test the data transfer prior to production use.

Employer will pay ongoing Monthly Management Fees. These fees include, but are not limited to, Cerner staff salaries,
benefits,technology,reporting,hardware,and equipment maintenance. Employer will be charged additionally for any travel
expenses that Employer requires of Cerner staff assigned to the Health Center that are outside the scope of the Services
(ex. Employer requests staff participation in a Health Fair outside of normal hours of operation). All airfare will be at coach
rates within the contiguous 48 states and business class outside. Personal reimbursement for vehicle mileage will be at the
rate allowed by the IRS.

PERFORMANCE METRICS
Overview
Our core beliefs are Outstanding Experience,Empowering Insight, Individual Engagement,and Aligned Incentives.We take pride
in their influence and integrate them in our delivery approach. As such, they are directly correlated with our performance
guarantees,seen below.
The total amount of at risk fees associated with the performance guarantees shall not exceed$45,000 annually during Year 1 and
Year 2 of the Agreement and shall not exceed$50,000 annually during Year 3,Year 4 and Year 5 of the Agreement(not to exceed
$240,000 during the term of this Agreement)(the At Risk Amount").At risk fees for all performance guarantees shall exclude any
pass-through items.
Such At Risk Amount will be credited to Employer's next monthly invoice in the event Cerner fails to achieve the individual Risk
Metrics, as outlined in the below table. Each quarter, Cerner will provide performance status for each Risk Metric. In the event
any of these Risk Metrics do not meet the goal,Cerner will credit Employer's next monthly invoice by that Quarterly or Annual Fee

The remedies set forth herein shall constitute the Employer's sole and exclusive remedy and Cemer's sole and exclusive obligation
with respect to any failure to meet the performance guarantees provided herein. The terms herein shall not otherwise limit
