THAT WHEREAS, Grantoris the qualified Executrix under the Last Will
and Testament of the above -named decedent, which was admitted to probate on
the 25th day of June, 1973 in the Probate Court in the City and County of
Denver and State of Colorado, Estate No. P-65118; and
follows:

WHEREAS, Paragraph 4 of said Last Will and Testament provides as
"4.i. I expressly direct that my said executor
and trustee, in each capacity, shall have full and
unrestricted power and authority over all property
coming to its hands as executor or trustee hereunder,
without any court order whatsoever, or without any
application to any court for orders, directions or
instructions, as if it were done by myself, the full
and complete power to sell, transfer, assign, grant,
convey, lease, mortgage, pledge, or otherwise encumber

and for such purpose or purposes, and for such consi-
