RE: APPROVE SOFTWARE SUBSCRIPTION CONTRACT AGREEMENT AMENDMENT
AND CHANGE ORDER ADDENDUM NO. 2 AND AUTHORIZE CHAIR TO SIGN -
CLIENTTRACK, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Software Subscription Contract
Agreement Amendment and Change Order Addendum No. 2 between the County of Weld, State
of Colorado, by and through the Department of Information Technology, on behalf of the
Department of Human Services, and ClientTrack, Inc., commencing upon execution of signature,
and ending January 31, 2017, with further terms and conditions being as stated in said agreement,
and
WHEREAS, after review, the Board deems it advisable to approve said amendment and
Change Order, copies of which are attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Software Subscription Contract Agreement Amendment and Change
Order Addendum No. 2 between the County of Weld, State of Colorado, by and through the
Department of Information Technology, on behalf of the Department of Human Services, and
ClientTrack, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment and Change Order.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 11th day of January, A.D., 2016.

SUBJECT: ClientTrack Contract Addendum for Continuous
Improvement Services
ClientTrack, Inc. provides licenses and associated services for the ClientTrack
software that is used by Weld County's Human Services department for managing
and tracking prevention services for child related cases. This agreement is to
increase the vendor support hours from 20 to 96 hours annually. This agreement is
in effect through 2/1/2017. The requested annual cost is $9,600.
We ask that the BOCC approve the contract agreement as submitted.

i WHEREAS the parties entered into an agreement(the"Original Agreement")identlfied by the Weld County Clerk to the
Board of County Commissioners as document No.2014-0386,approved on February 26,2014,and amended the agreement via
Change Order Addendum No.1,
WHEREAS the parties hereby agree to modify the Original Agreement and Change Order Addendum No.1 in accordance
� with the terms of the Original Agreement,to include the new Change Order Addendum No.2,attached as Exhibit A,which is
incorporated by reference herefn,as well as the terms provided hereln.
NOW THEREFORE,in consideration of the premises,the parties hereto covenant and agree as follows:
' • The Original Agreement will remain in effect without change except:

• The parties agree to include a new Change Order Addendum No.2,which is attached as Exhibit A
• To the extent that the First Amendment and the new Change Order Addendum No.2 are inconsistent,this new Change
Order Addendum No.2 wiU take precedence."
• The new Change Order Addendum No.2,together with the Original Agreement,constitute the entire understanding
between the parties_
• All other terms and conditions of the Original Agreement remain unchanged.

CHANGE ORDER ADDENDUM NO.2
TO
CllentTrackTM Software as a Service(Saa5)Subscription Agreement
This Change Order dated 12/18/2015,is an Addendum to the ClientTrack'""Software as a Service(Saa5)
Subscription Agreement(the"Agreement")with the original Effective Date of 2/1/2014,includes all
prior addenda and exhibits between ClientTrack,Inc.("C{ientTrack")and Weld County Department of
Human Services("Licensee"}.The following terms modify and are hereby incorporated as part of the
Agreement.

1. The Continuous Improvement Services for Year 3(Feb 2016 through Jan 2017)shafl be amended
from 1.6 hours per month to 8 hours per month.

Price
The Continuous Improvement Services will increase from the annual rate of two thousand($2,000.00)
dollars to an annual rate of nine thousand six hu�dred($9,600.00)dollars.The annual services wil{be
invoiced by ClientTrack uporrexecution of this agreement and will be paid by Licensee prior to the start
of the service on 2/1/16,
All terms,conditions,pricing and other provisions(including Exhibits)of the Agreement not modified by
this Addendum remain in full force and effect.

� The Client has recognized the need to have an external resource aid them in adding continual value to
� their ClientTrack Solution. As such,a certifled ClientTrack CIS specialist will provide an ongoing role to
� aid the Client with the task of continually enhancing the Client's system.

Descrfption
CIS specialists provide up to eight(8)hours of ClientTrack enhancements to Client each month.These
� continual improvement experts may plan,design,create,or implement new forms,workflows, business
rules,data analysis,or other functionality that enables an organizatlon the ability to meet the various
demands of their end users,program managers, leadership,and funders.CIS specialists work closely
with organization stakeholders as well as each organization's authorized representative(s)to properly
plan and execute routinely on value-added services.Examples of common value-added services may
lnclude: '
• Designing and implementing new forms or elements to properly collect new information about
clients,providers,users,funding sources,facilities,or any other concepts that are important to
your organization.
• Adding business rules that enforce data quallty or streamline user interaction.
• Providing additional information or visual cues to users.
• euilding or enhancing workflows,ellgibility rule-sets,workgroups,menu groups,system access ,
permissions,advanced dropdown lists,and entity information.
I • Performing ad-hoc data analysis.
' • Creating or enhancing Data Explorer clouds that serve as the basic building blocks for self-serve
ad-hoc analysis.
, • Adding email or task alerts for supervisors or other stakeholders based upon certain conditions
' or events.
CltentTrack Responsibility �
Each month ClientTrack will allocate eight(Sj hours of capacity in support of the services to be provided
under this Agreement. Unused hours cannot be rolled forward to future months. ClientTrack GS
Specialists will identify,scope,and complete requested work for Client on a per-request basis. Time
spent in support of this process will deduct hours from Client's monthly balance.
At ClientTrack's sole discretion,Client may utilize future tapacity by borrowing hours from Client's I
future months. Such requests will be evaluated based upon available capacity. Client must always i
rnaintain a ba{ance of at least four(4)hours{n each of the following two(2)months;thus Client may not '
borrow any more than eight(8)future hours at a point in time. �

Cliern Responsibility
Client shail identify no more than two(2)designated individuals,of whom,can request the use of
services. Designated individuals will request the usage of services and coordinate service pravision with
their certifled ClientTrack CIS Specialist.
Out of Scope Services
ClientTrack Continual Improvement Services cannot be utilized to provide training,Tier 2,or Tier 3
enhancements. Examples of Tier 2 enhancements include the execution of database procedures that
require direct access to Client's database outside of the ClientTrack application interface,or any reports
using Microsoft Report Builder.Examples of Tier 3 enhancements include modification of the ClientTrack
application code.
Any item not explicitly listed in this Agreement is considered out of scope unless otherwise agreed to by
each of the parties hereto in a separate writing.
