4215016 06/28/2016 02:50 PM Total Pages: 16 Rec Fee: $86.00 Carly Koppes - Clerk and Recorder, Weld County, CO ASSIGNMENT, BILL OF SALE AND CONVEYANCE This Assignment, Bill of Sale and Conveyance ("Assignment") is dated June 28, 2016 (the "Closing Date"), but effective for all purposes as of 7:00 a.m. Mountain Time on January 1, 2016 (the "Effective Time"), by and from Grizzly Petroleum Company, LLC, a Colorado limited liability company, and Great Western Operating Company, LLC, a Colorado limited liability company, both of whose address is 1801 Broadway, Suite 500, Denver, Colorado 80202 (collectively, "Assignor"), to Extraction Oil & Gas, LLC, a Colorado limited liability company, whose address is 371 17`h Street, Suite 5300, Denver, Colorado 80202 ("Assignee"). In consideration of the mutual promises contained herein, one hundred dollars ($100.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Assignor hereby sells, assigns, transfers, grants, bargains, and conveys to Assignee all of Assignor's right, title, and interest in and to the following real property, personal property and contractual interests (collectively, the "Assets"): A. The oil and gas leases described on Exhibit A-1 attached hereto and made a part hereof, but only as to the depths owned by Assignor in the specific lands shown on Exhibit A-1 ("Leases"), and the oil and gas wells, whether: (a) producing; (b) permitted; (c) in the process of being noticed, proposed and permitted; or (d) shut-in, described on Exhibit A-2 attached hereto and made a part hereof ("Wells"); B. The permits, licenses, approvals, unitization agreements, pooling agreements, operating agreements, production sales contracts or other contracts and agreements related to the properties, lands, rights and interests, described in clause A., above, and described on Exhibit A- 3, attached hereto and made a part hereof, in each case to the extent used or held for use in connection with the ownership, use or operation of the Leases and the Wells; C. The rights -of -way, easements, servitudes, surface use agreements and other surface rights related to the ownership, use or operation of the Leases and Wells as set forth on Exhibit A-4, attached hereto and made a part hereof, but in each case only to the extent required for operations on or attributable to the Leases and Wells; D. All tangible personal property, equipment, fixtures, facilities, and improvements located on the lands covered by the Leases or on lands pooled or unitized therewith and owned for the production, treating, storing, transportation, or marketing of oil, gas, and other Hydrocarbons (as defined below) from the Leases, including, without limitation, well heads, casing, tubing, tanks, pumps, compressors, boilers, separators, and other appurtenances; E. The oil, gas, natural gas, casinghead gas, drip gasoline, natural gasoline, natural gas liquids, condensate, crude oil, and other hydrocarbons, whether gaseous or liquid ("Hydrocarbons") produced or severed on or after the Effective Time under (or, in the case of a pooled unit, attributable to) the Leases; and 1 2016-3871 L5" 4215016 06/28/2016 02:50 PM Page 2 of 16 F. All files, records, information and data, whether written or electronically stored, primarily relating to the Assets in Assignor's possession including, but not limited to land and title records (including abstracts of title, title opinions and title curative documents); contracts and related documents; correspondence; and operations, environmental, production and accounting records, but excluding from the foregoing (i) files, records and other data subject to written unaffiliated third -party contractual restrictions on disclosure or transfer for which no consent to disclose or transfer has been received, or to the extent such disclosure or transfer is subjected to payment of a fee or other consideration that the receiving Party has not agreed to pay; (ii) all proprietary technology and improvements, proprietary or licensed computer software, seismic data and interpretations thereof, patents, trade secrets, copyrights, names, trademarks and logos; and (iii) all documents (other than title opinions) that may be protected by the attorney -client privilege, work product doctrine, or other applicable privilege. Notwithstanding anything to the contrary in Paragraphs (A) through (F) above or elsewhere herein, the Assets, Leases and Wells do not include the following: (i) Great Western's interest in and to the wellbores of the Tailholt FD 1 l-002HN, API No. 05-123-38616, and the Tailholt FD 11-039HN, API No. 05-123-38579 (collectively, the "Tailholt Wellbores"), both with surface locations in the NW/4NW/4 of Section 11, Township 6 North, Range 67 West, 6th P.M., together with all rights in and to any Great Western leasehold interests contributing to the Tailholt Wellbores' respective drilling and spacing units, as designated by the Colorado Oil and Gas Conservation Commission, but only to the extent that such leasehold interests contribute to operation and production from the Tailholt Wellbores; (ii) Great Western's interest in and to the wellbore of the Burr FD 23-219HC, API No. 05-123-40883 (the "Burr 219HC Wellbore"), with a surface location in the SE/4SE/4 of Section 24, Township 6 North, Range 67 West, 6th P.M., together with all rights in and to any Great Western leasehold interests contributing to the Burr 219HC Wellbore's drilling and spacing unit, as designated by the Colorado Oil and Gas Conservation Commission, but only to the extent that such leasehold interests contribute to operation and production from the Burr 219HC Wellbore; (iii) Great Western's interest in and to the wellbore of the Rubyana 13C -32W, API No. 05-123-38914 (the "Rubyana 13C -32W Wellbore"), with a surface location in the SE/4SE/4 of Section 13, Township 6 North, Range 67 West, 6th P.M., together with all rights in and to any Great Western leasehold interests contributing to the Rubyana 13C -32W Wellbore's drilling and spacing unit, as designated by the Colorado Oil and Gas Conservation Commission, but only to the extent that such leasehold interests contribute to operation and production from the Rubyana 13C -32W Wellbore; (iv) All of Great Western's leasehold interests within the S/2NW/4 of Section 24, Township 6 North, Range 67 West, but only to the extent necessary for the 2 4215016 06/28/2016 02:50 PM Page 3 of 16 operation and production of two future 318A horizontal wells, tentatively named the Burr FD 23-219HN and Burr FD 23-219AHN, located within the S/2 of Section 23 or the S/2 of Section 24, Township 6 North, Range 67 West, drilled under Colorado Oil and Gas Conservation Commission Rule 318A (the "318A Wellbores"); and even then, if and only if the drilling and spacing units for such 318A Wellbores include any portion of the S/2NW/4 of Section 24, Township 6 North, Range 67 West; (v) the 318A Wellbores; and (vi) Any tangible personal property, equipment, fixtures, facilities, and improvements located on the lands covered by the Leases or on lands pooled or unitized therewith and owned for the production, treating, storing, transportation, or marketing of oil, gas, and other Hydrocarbons from the wellbores or leasehold interests described in paragraphs (i) through (v), above, including, without limitation, well heads, casing, tubing, tanks, pumps, compressors, boilers, separators, and other appurtenances; all of which arc excepted and reserved to Assignor. TO HAVE AND TO HOLD forever all and singular the Assets together with all rights, titles, interests, estates, remedies, powers, and privileges thereunto appertaining unto Assignee and Assignee's successors and assigns, subject however to the terms and conditions of this Assignment. This Assignment is made subject to the following terms and conditions: 1. This Assignment is being made pursuant to the terms of that certain Exchange Agreement dated April 25, 2016 (the "Agreement"). All capitalized terms used but not defined herein shall have the meanings given to them in the Agreement. If there is a conflict between the terms of this Assignment and the terms of the Agreement, the terms of the Agreement shall control to the extent of the conflict. Assignor and Assignee intend that the terms of the Agreement remain separate and distinct from and do not merge into the terms of this Assignment. 2. ASSIGNOR WARRANTS TITLE TO THE ASSETS FROM AND AGAINST ALL PERSONS CLAIMING BY, THROUGH AND UNDER ASSIGNOR, BUT NOT OTHERWISE, AND EXCEPT FOR THAT WARRANTY EXPRESSLY MADE ABOVE AND EXCEPT FOR THE EXPRESS REPRESENTATIONS AND WARRANTIES OF ASSIGNOR CONTAINED IN THE AGREEMENT, ASSIGNOR EXPRESSLY DISCLAIMS AND NEGATES ANY REPRESENTATION, COVENANT OR WARRANTY, EXPRESS OR IMPLIED, AT COMMON LAW, BY STATUTE OR OTHERWISE, RELATING TO THE CONDITION OF THE ASSETS AND ANY PERSONAL PROPERTY, EQUIPMENT, FIXTURES AND ITEMS OF MOVABLE PROPERTY COMPRISING ANY PART OF THE ASSETS INCLUDING (i) ANY 3 4215016 06/28/2016 02:50 PM Page 4 of 16 IMPLIED OR EXPRESS WARRANTY OF FITNESS FOR ANY PARTICULAR PURPOSE OR WARRANTY OF MERCHANTABILITY; (ii) ANY IMPLIED OR EXPRESS WARRANTY OF CONFORMITY TO MODELS OR SAMPLES OF MATERIALS; (iii) ANY RIGHTS OF ASSIGNEE UNDER APPLICABLE STATUTES TO CLAIM DIMINUTION OF CONSIDERATION OR RETURN OF THE PURCHASE PRICE; (iv) ANY CLAIM BY ASSIGNEE FOR DAMAGES BECAUSE OF DEFECTS OR OTHER VICES, WHETHER KNOWN OR UNKNOWN; (v) ANY IMPLIED OR EXPRESS WARRANTY REGARDING ENVIRONMENTAL LAWS, THE RELEASE OF MATERIALS INTO THE ENVIRONMENT INCLUDING, WITHOUT LIMITATION, NORM OR ASBESTOS, OR PROTECTION OF THE ENVIRONMENT OR HEALTH; OR (vi) ANY IMPLIED OR EXPRESS WARRANTY REGARDING TITLE TO ANY OF THE ASSETS, EXCEPT FOR THE WARRANTY OF TITLE PROVIDED IN THIS ASSIGNMENT. IT IS THE EXPRESS INTENTION OF ASSIGNOR AND ASSIGNEE THAT, EXCEPT AS OTHERWISE SET FORTH IN THIS ASSIGNMENT, OR IN THE AGREEMENT, THE PERSONAL PROPERTY, EQUIPMENT, FIXTURES AND ITEMS AND THE CONDITION OF THE ASSETS ARE BEING CONVEYED TO ASSIGNEE "AS IS, WHERE IS," WITH ALL FAULTS, AND IN THEIR PRESENT CONDITION AND STATE OF REPAIR. 3. To the extent permitted by law, Assignee shall be subrogated to Assignor's rights in and to representations, warranties and covenants previously received by Assignor with respect to the Assets. Assignor hereby grants and transfers to Assignee, its successors and assigns, to the extent so transferable and permitted by law, the benefit of and the right to enforce the covenants, representations and warranties, if any, which Assignor is entitled to enforce with respect to the Assets, but only to the extent not enforced by Assignor. 4. Assignee assumes and agrees to pay, perform, fulfill and discharge its proportionate share of all claims, costs, expenses, liabilities and obligations accruing or relating to the owning, developing, exploring, operating or maintaining of the Assets after the Effective Time, and all obligations arising under agreements covering or relating to the Assets, all as more particularly set forth in the Agreement. Assignor and Assignee have apportioned other liabilities and obligations in the Agreement. 5. Assignor and Assignee may execute separate governmental form assignments of the Assets on officially approved forms, in sufficient counterparts to satisfy applicable statutory and regulatory requirements. Those assignments shall be deemed to contain all of the exceptions, reservations, warranties, rights, titles, power and privileges set forth herein as fully as though they were set forth in each such assignment. The interests conveyed by such separate assignments are the same, and not in addition to, the Assets conveyed herein. 6. Assignor and Assignee agree to take all such further reasonable actions to execute, acknowledge and deliver all such further documents that are reasonably necessary or useful in carrying out the purpose of this Assignment. 4 4215016 06/28/2016 02:50 PM Page 5 of 16 7. This Assignment binds and inures to the benefit of Assignor and Assignee and their respective successors and assigns. 8. This Assignment may be executed in any number of counterparts, each of which shall be deemed an original and all of which taken together shall constitute but one and the same instrument.
