application requires you to submit a permit modification and obtain approval from the Board or Office;
5. It is your responsibility to notify the Office of any changes in your address or phone number;
6. Upon permit issuance and prior to beginning on -site mining activity, you must post a sign at the entrance of
the mine site, which shall be clearly visible from the access road, with the following information (Rule 3.1.12):
a. the name of the operator;
a statement that a reclamation permit for the operation has been issued by the Colorado Mined Land
Reclamation Board; and,
c. the permit number.
7. The boundaries of the permit boundary area must be marked by monuments or other markers that are clearly
visible and adequate to delineate such boundaries prior to site disturbance.
8. It is a provision of this permit that the operations will be conducted in accordance with the terms and
conditions listed in your application, as well as with the provisions of the Act and the Construction Material Rules
and Regulations in effect at the time the permit is issued.
9. Annually, on the anniversary date ofpermit issuance, you must submit an annual fee as specified b y y Statute,

and an annual report which includes a map describing the acreage affected and the acreage reclaimed to date (if

there are changes from the previous year), any monitoring required by the Reclamation Plan to be submitted
annually on the anniversary date of the permit approval. Annual fees are for the previousyear a is held. permit For

June 30, 1995. Failure to submit your annual fee and report by the permit anniversary date may result in a civil

permittee, tocontinue to pay your annual fee to the Office until the Board releases you from your total reclamation
responsibility.

6.4.1 EXHIBIT A — LEGAL DESCRIPTION
The original Chavers Mining Resource site encompasses the NE 1/4 and the SE
,� of the SW 1f of Section 18, Township 1 North, Range 66 West, of the 6th PM.
The amendment area covers the SE 'A of the NW ' in the same section,
township and range. The amendment property is currently owned by the Michael
R. Bradley Living Trust with permission by Michael R. Bradley (Trustee) to obtain
permits for mining by Hunt Brothers Properties, Inc./Asphalt Specialties Co., Inc.,
as shown in Exhibit N.
The latitude and longitude of the proposed main entrance into the site is 40° 02'
39" North and 104° 48' 50" West. This is for the original Chavers Mining
Resource site for which access to the amended area will also be used.
The Weld County Parcel ID number is 147118000084 for the amendment
property. The site is located in the northwest corner of the intersection of Weld
County Road 8 and US Highway 85, approximately 2 miles south of Ft. Lupton,
Colorado, as shown on Exhibit B, the Index Map.

6.4.4 EXHIBIT D — MINING PLAN
Mining Description
The Mining Plan is described in this section and correlates with Exhibit C-2 -
Mine Plan Map. Mining is sequenced with designated mining Cells 1-6 as shown
on Exhibit C-2. Mining will be accomplished by the "dry -mining" method. Prior to
excavation below the water table on the amendment area, an amended
temporary substitute water supply plan ("TSSP") from the Colorado Division of
Water Resources will have been obtained for the expanded area of mining. The
amendment area will be utilized only for mining of the aggregates that are
contained within the area to be mined, backfilling of a portion of the mined area
with wash plant fines from processing the aggregates and an extension of the
reservoir proposed and approved for the original Chavers Mining Resource
DRMS permit (M-2015-030) as the reclaimed use of the land on the remainder of
the amendment area.
Mining will employ conventional aggregate mining techniques including the use
of scrapers and backhoes to excavate topsoil, overburden and sand and gravel
and haul trucks to move materials as either backfill or as sand and gravel to be
further processed at the gravel plant site. Sand and gravel processing will be
located onsite and finished materials will be trucked offsite. The Mine Plan Map
shows a fixed gravel plant location with stockpiles in the south-eastern area of
the site for the entire life of the project (Cell 6), other than for a short period
where this location will be mined (6 months). A concrete plant is also shown in
the south-eastern corner of the site (Cell 1) and will be located in this area for the
life of the mine. The concrete plant location is in the process of being backfilled
as mining has been completed in this Cell as approved by the current Chavers
Mining Resource DRMS permit. This location is out of the newly designated
DRAFT (as yet without final approval by FEMA) location of the Floodway of the
South Platte River in this area, but is still in the Floodplain. A Floodplain Use
Permit has been obtained from the designated Floodplain Administrator from the
City of Ft. Lupton for mining in this location. Ail river banks on the east side of the
South Platte River on this site and further onto the point bar at the western edge
of the site are heavily rip -rapped with large chunks of concrete. Flooding in this
area of the South Platte River in September 2013 and again in May 2015 did not
affect this property.
Earthwork
Earthwork will generally occur as indicated in Table 6.4.4-1. Sand and gravel
extraction will follow stripping of areas of each mining Cell. Reclamation will
occur concurrently wherever possible.

Water Diversions
Water diversions within the mining pit will include pumping groundwater from a
collection sump within each Cell/Cells before discharging to the South Platte
River to the west of the permit area. Dewatering trenches leading to the sump
will be cut into the claystone to drain the alluvial sand and gravel deposit to be
mined. Plant wash water (both concrete and aggregate) will be obtained from an
existing permitted alluvial well on the property owned by the applicant that is
outside of the perimeter of the mining pit. Wash plant water is recycled in a

continuous loop and will only need to be occasionally supplemented with the
alluvial groundwater from the well. The northern area of Cell 2, which is the Cell
to be amended into the Chavers Mining Resource as AM -1, will be used for fines
washed from sand and gravel washing and screening at the plant site. Fines will
be pumped to a series of sedimentation ponds near the gravel plant which will be
diked and allowed to "decant" sediment suspended in the wash water into the
next pond. Clarified wash plant water will be recycled back to the sand and
gravel wash plant to be re -used. Fines will be excavated and hauled to the final
backfill location for fines at the northern excavated amended pit area. All plant
wash fines can be containedibackfilied into this mined -out area as shown on the
Mine Plan Map, C-2.
Timetable and size of Mining Areas
The mining operation is expected to last for approximately 10-12 years, however,
this could vary depending upon market conditions. The approximate size of
areas to be worked at any one-time correlates to the size of the mining Cells
shown on Exhibit C-2. Table 6.4.4-2 shows the mining Cell size and the
approximate timetable for working each Cell.

Nature of the Deposit
The average overall total overburden thickness is approximately 3.5 to 4.0 ft. Of
that overburden, a large portion of the proposed permit area contains two types
of topsoil that vary from within 6" to 24" in depth. Much of this soil has been

overgrazed and compacted. Most this topsoil is in the range of 12" to 24" in
depth. This covers at least 60 acres of the site, except for the steeper area on the
very eastern/south-eastern edge of the permit area. This topsoil will be stripped
by scrapers and segregated from the underlying overburden and placed into
separate stockpiles as shown on the mine plan (C-2) prior to overburden removal
and stockpiling by the same method. All topsoil and overburden stockpiles will be
vegetated with a temporary cover crop/seed mix if remaining for more than one
year in an undisturbed state.
The sand and gravel deposit to be mined varies in thickness, with an average
thickness of approximately 28 ft. It varies from sandy lean clay in the upper
zones, to coarse clayey sand and sand with gravel nearer the bedrock. The
gravel typically found in this area has a history for being processed into high -
quality concrete aggregates and other aggregate construction materials.
The underlying strata on the property is a claystone bedrock.
Commodities
The primary commodity is sand and gravel to be used for the construction
industry. There are no incidental commodities.
Explosives
No explosives will be used for the mining operation.

6.4.5 Exhibit E — Reclamation Plan
Overall Description
All areas adjacent to oil and gas wells will be backfilled to a radial distance of 200
ft. A► Surface Use Agreement (SUA) has been signed and put into place with
Anadarko Petroleum for this permit area in October 2008 which outlines the
responsibilities with respect to land uses for both Anadarko and ASCI, including
backfilling. Major reclamation operations will backfill pit slopes from 1 H:1V with a
clay liner at 1.5H :1V and with final controlled overburden backfill at 3H:1V. The
pit will be reclaimed as a clay -lined water -storage reservoir with rip -rapped slope
protection placed on the reservoir slopes to 10 ft. below the normal pool
elevation. The northern portion of Cell 2 (the amendment area Cell) will be
backfilled with wash plant fines as described previously and shown on the
Reclamation Plan Map, Exhibit F. All affected areas above the normal pool
elevation of the reservoir will have overburden soil replacement, topsoil
replacement and be re -vegetated with native vegetation followed by a weed
control program. Exhibit F Sheet 1 - Reclamation Plan Map shows final grading
and soiled/ re -vegetation areas.
The largest overburden stockpiles to occur at any one time (not including finished
construction material) shall be approximately 70,000 yd3.
Reclamation Earthwork
Reclamation earthwork will occur concurrently with mining where possible. Oil &
gas operation areas are to be backfilled in a pre -determined time -frame as noted
above and as specified by the SUA. Reclamation earthwork and operations will
generally follow the sequence specified in Table 6.4.5-2, however variations to
the sequence may occur depending upon operational constraints. Overburden
removal and mining and stockpiling of the sand and gravel from Cell 1 (the
concrete plant location) will have been accomplished prior to actual start-up of
the major mining and processing of the sand and gravel on this site. This is so
the concrete plant will have a location for continuous operation for the life of
mining on the Chavers mine site. Most the site will follow a more standardized
sequence of dry mining and reclamation.

Clay Liner Construction
Clay liner construction will occur as indicated in Table 6.4.5-1 above.
Construction of the clay liners will occur around the perimeter of the pit following
all mining and concurrent reclamation activities for each lined Cell and prior to
final controlled backfill on top of the clay liner. Clay material will be moisture
conditioned, stripped from the pit floor and placed in lifts surrounding the
perimeter of the mined -out pit areas. Clay volumes are given in Table 6.4.5-2.
The clay liner geometry is shown on Exhibit F -Reclamation Plan Map, Sheet 2.
Clay material will be compacted in 9 in. lifts to 95% dry density and at or up to
2% greater than the optimum moisture content. Each lift shall be disked prior to
placement of the following lift to ensure proper bonding between lifts. This

compaction criteria will also be achieved for the clay liner keyway at a depth of 5
ft. below the reservoir bottom.

Topsoil Replacement
Stockpiled topsoil will be placed to a minimum depth of 1.0 ft. on all affected
areas above the normal pool elevation of the reservoir. The total area to undergo
overburden soil replacement is 28 acres and the total topsoil replacement volume
is approximately 28,000 yd3. This includes the edges of the reservoir and all oil
and gas operations areas where backfilling occurred. Topsoil replacement will
occur sequentially just after backfilled overburden placement wherever possible
to allow for mining under topsoil and overburden stockpiles.
Seeding and Fertilizing
Currently, the entire pit area is used for dryland pasture and is over -grazed. This
is also true of the amendment area.
The proposed seeding areas are shown on Exhibit F - Reclamation Plan Map.
The recommended seeding method is by drill and seeding rates assume this
method. The species composition of the seed mixture recommended for
reclamation is shown in Table 6.4.5-3 below.

Based on this seed mixture, an application rate of approximately 20.0 to 28.0
plslac will be used. Soil will be disked prior to seeding. It is recommended that
fertilizer be utilized in conjunction with seeding. A standard application of fertilizer
will be used and applied at a rate of 250 Ibslac. The total area to be seeded is
approximately 14 acres. The total area to be fertilized is approximately 14 acres.
Seeding and fertilizing will be completed as soon as possible after the
overburden soil is backfilled, smoothed to conform to the reclamation
topography, and topsoil is placed and finally disked. Optimal periods of seeding
are in the fall (after November 1st) or in the spring from late March up to April
30th. Mulching will not be completed, as the quality topsoils and availability of
water should facilitate the rapid establishment of perennial grasses.
Following revegetation, weed management strategies will be implemented to
facilitate and achieve native grassland. Years 1 thru 5 following revegetation will
include an aggressive mowing program to prevent the growth and establishment
of weeds, specifically, eight noxious weeds including: Canada thistle (Cirsium
arvense), Dalmation toadflax (Linaria dalmatica), diffuse knapweed (Centaurea
diffusa), leafy spurge (Euphorbia esula), musk thistle (Carduus nutans), Russian
knapweed (Centaurea repens), spoiled knapweed (Centaurea maculosa) and
Yellow toadflax (Linaria vulgraris) as mandated by Colorado State Law (35e
5.5CRB 1990, 1996). If needed, herbicide application will be applied to further
control these weeds. Herbicides will also be used to control saltcedar (Tamarix
spp.) if it becomes established in the reclaimed area. Table 6.x4.5-3 presents
recommended herbicides, application rate, and time of application for each of the
9 species. It may be necessary to replant treated areas.
Alternative Reclamation Plan
There is no alternative reclamation plan.

6.4.7 EXHIBIT G — WATER INFORMATION
Groundwater
The gravel layer to be mined is an alluvial aquifer with an average saturated
thickness of 23-25 ft. Natural groundwater occurs at an average depth of 7-9 ft.
below ground surface in the local area. The direction of groundwater flow is
generally from the south-southeast to the north- northwest but can more closely
parallel the flow of the river during high -flow periods in the spring and summer.
Groundwater discharges to theSouth Platte River.
The proposed mining project will utilize heavy equipment to remove and stockpile
topsoil and overburden into separate stockpiles prior to excavating into the sand
and gravel to mine and process that aggregate material. This activity will expose
alluvial groundwater which will be pumped from trenches and a sump to the
South Platte River prior to actual mining in order to mine the deposit by the "dry
mining" method. Relatively continuous pumping will be needed to keep the in -
place aggregate de -watered. All depletions to the river have been accounted for
in a Temporary Substitute Water Supply Plan (TSSP), which was filed with the
Colorado Office of the State Engineer (OSE) in April of 2016 and was approved
in August 2016. The TSSP will be amended to account for the increased acreage
of this amendment once approval is received from the DRMS.
Small amounts of process water required for a wash plant and concrete plant will
be obtained from an existing alluvial well located near the southeast corner of
Cell 6 (to the exterior of the mining pit) during most of the life of the mining
operation. This well has been re -permitted as a commercial well from an
agricultural well as part of the TSSP approval.
Dry mining within an open pit will cause localized drawdown of the alluvial aquifer
surrounding the mining excavation on the south and east sides of the permit
area. However, there are no alluvial wells on the properties in these locations
that would be negatively impacted by drawdown of the alluvial aquifer.
The reclaimed clay -lined reservoir will create an impediment of sorts to the
current unrestricted flow of groundwater to the South Platte River in the
immediate area. However, there are no alluvial wells or below -grade structures
nearby that would be negatively impacted by groundwater effects caused by the
clay liner. This would mean drying -up of an alluvial well in the groundwater
"shadow" of the clay liner or flooding of basements by "mounding" of groundwater
in the up -gradient area of the clay liner. The property to the south is vacant and
is owned by the City of Aurora for future expansion of large alluvial wells near to
the river as part of their Prairie Waters project. The land to the north and west
would not be impacted at all.
A► slope stability study was performed by Weiland, Inc. at the request of the
Colorado Dept. of Transportation (DOT) and submitted in February 2016 to
them to quantify the potential negative effects (slope failure) caused by extraction

6.4.7 EXHIBIT G —WATER INFORMATION
of the sand and gravel adjacent to US -Hwy. 85 on the east side of the permit
area. As part of the review by CDOT and responses to that review, and changes
to the original study in a revised study completed in April 2016, groundwater
monitoring wells have been installed for this operation, particularly due to the
post -mining reservoir construction with a clay liner. CDOT has approved of the
findings of the slope stability study and ASCI has agreed to the installation of the
monitoring wells due to potential groundwater "mounding" up -gradient of the clay
liner which could negatively impact the structural stability of US -85. The
agreement with CDOT (as evidenced by a signed structure agreement submitted
to the DRMS and on file with the Chavers Mining Resource permit) requires that
ASCI maintain a 50 ft. mining setback from the westerly CDOT ROW boundary
along US -85. This setback is shown on both Ex. C-2 and Ex. F -sheet 1 submitted
with this amendment application to the permit. The 50 ft. mining setback is
continued along the westerly CDOT ROW boundary along US -85 on the
amendment property.
Monitoring wells MW -1, MW -2 and MW -3 were successfully installed in
November 2016. Results of initial water level measurements on MW -2 and MW -3
show that the water table has been artificially lowered at these well sites due to
"shadowing" of the alluvial water table by the Martin -Marietta de -watering and
lining of the mine/reservoir property to the east. MW -2 is at a level of 20 ft. below
ground surface and MW -3 is at a level of 17 ft. below ground level surface. MW -
is adjacent to active de -watering by ASCI.
ASCI commits to establishing a "trigger" groundwater elevation of 3 ft above the
normal, pre -mine static water level (SWL) on this site of 8 ft., equating to a SWL
of 5 ft. below the undisturbed, pre -mine ground surface within the setback. At that
groundwater elevation, ASCI commits to relieving the groundwater mounding
caused by the clay liner by installing a French Drain at an as -yet determined
elevation located within the setback area to drain mounded groundwater to the
north to the South Platte River. This is the same commitment that was approved
by the DRMS for permit number M2015-080.
Surface Water
The nearest major watercourse is the adjacent South Platte River, which flows
from the south to the north. Initial dewatering effluent and any incidental build-up
of water interior to the site from precipitation will be discharged to the South
Platte River as shown on Exhibit C-2. Prior to any discharge activity to the South
Platte River from the amended area, the operator will amend the Colorado
Discharge Permit System (CPDS) discharge permit to account for any changes.

6.4.8 EXHIBIT H —WILDLIFE INFORMATION
Wildlife Habitat Characteristics
Wildlife habitat types in and near the amended area to be mined include only
pastureland and the South Platte River riparian corridor. The area to be mined is
currently vacant and unused but was most recently used for horse pasture and was
over -grazed. The grazing tended to keep the vegetation short minimizing cover for
wildlife and although weeds have increased, is still in that condition. The area is suitable
for species that prefer sparse cover, such as horned lark (Eremophila alpestris). The
riparian corridor is outside the area to be mined. There are many large cottonwood trees
within that zone as well as willows. These trees provide nesting habitat for species
such as American robin (Turdus migratorius) and mourning dove (Zenaida macroura).
Common Species in the Area
The riparian corridor is outside the area to be mined. Large cottonwood trees (Populus
deltoides) present in the riparian corridor site provide potential nesting habitat for
hawks, owls, tree nesting songbirds and fox squirrels (Sciurus niger). However, no
raptor nests have been observed in these trees during and since a late April 2008 site
visit. At the time of the 2008 visit, leaves were just starting to emerge and raptor nests
would have been easily observed, if present. The riparian corridor adjacent to the site
provides habitat for a variety of small and medium sized mammals including deer mice
(Peromyscus maniculatus), eastern cottontail (Sy/vllagus floridanus), raccoon (Procyon
lotor), and striped skunk (Mephitis mephitis).
Threatened and Endangered Wildlife Species
One species listed as threatened and one listed as endangered by the U.S. Fish and
Wildlife Service (USFWS), potentially use the proposed amended permit area. Preble's
meadow jumping mice (Zapus hudsonius preblei; PMJM) are listed as threatened. They
are associated with dense herbaceous riparian vegetation at the base of the Front
Range. They have also been shown to feed up to 330 ft from the stream (USFWS,
2004). Several surveys to determine PMJM occurrence have been performed on the
South Platte River between Brighton and Fort Lupton. No PMJM were found during
these surveys (Plage, 2008). Habitat on this site is not typical of habitat where PMJM
are found. Therefore, it is unlikely that PMJM use the site. Clearance was obtained for
mining the original Chavers Mining Resource permit area (M2015-030) from the
USFWS with regard to the lack for presence for PMJM and that clearance letter follows
this Exhibit H. The amendment area is assumed to be of the same status with regard to
the PMJM as the original Chavers mining area.

6.4.8 EXHIBIT H — WILDLIFE INFORMATION
Black -footed ferrets are obligate inhabitants of prairie dog towns (USFWS, 1989).
Black -footed ferrets use prairie dog burrows for dens and their diet consists almost
entirely of prairie dogs (Fagerstone, 1987). No prairie dogs were observed on the site.
The site is within a block clearance zone for black -footed ferrets (USFWS, 2007). A
block clearance zone is an area where the USFWS has determined that sufficient data
exist to determine that a species does not occur there. Therefore, black -footed ferrets
are unlikely to use the project site.
Potential Effects
After mining, the site will be converted to a water storage reservoir. Vegetation around
the reservoir is likely to consist of native grasses. There are no plans to plant trees
around the reservoir. However, it is anticipated that ample nesting opportunities will
continue to be present in the South Platte River riparian corridor adjacent to the site.
The project is unlikely to affect threatened and endangered species for the following
reasons.
• The area to be affected is low quality PMJi I habitat and no PMJM have been
found in the project vicinity.
• The area is within a black -footed ferret block clearance zone.

affect the federally threatened Preble's meadow jumping mouse, or Preble's (Zapus hudsonius
preble, We based our determination largely on the proposed project area's lack of suitable
riparian and upland Preble's habitats and the grazed, sparsely vegetated condition of the upland
habitats. Trappers also failed to capture Preble's along the South Platte River within 2.0 miles of
the proposed project area. Further, because the mining would remove several large cottonwood
trees (Populus dcliv ides), we also provided comments regarding potential impacts to migratory
birds.
Your email explained that the proposed project never started and our previous review of the
proposed osed project expired after one year and is no longer valid. You again . seek to mine the

property using the same proposed project plans and conservation measures as described in your
September 30, 2008, letter. You explained that potential habitats within the proposed project
area remain poor and provided updated site photographs on October 14, 2015. As a result, you
request the Service's concurrence with your determination that the proposed project is not likely
to adversely affect the Preble's.
In response to your request, we provide the following comments regarding:
1. Federally threatened and endangered species;

3. State species of special concern in Colorado.
We prepare these comments under the authority of the Endangered Species Act of 1973 (ESA),
as amended (16 J.S.C. 1531 et seq.) and the Migratory Bird Treaty Act of 1918 (MBTA), as
amended (16 U.S.C. 703 et seq.), and the Bald and Golden Eagle Protection Act of 1940
(BGEPA), as amended (16 U.S.C. 668 et Avg.). Additionally, we consider floodplains under
Executive Order 11988 (May 1, 1977), which requires Federal agencies to avoid to the extent
possible the long and short-term adverse impacts associated with the occupancy and modification
of floodplains, and to avoid direct and in4irect. support of floodplain development wherever there
is a practicable alternative.
1. Federally Threatened and Endangered Species:
As explained below, based on the information that you provided, we agree with your
determination that the proposed project is not likely to adversely affect the Preble's. Because
you only requested concurrence for the Preble's, this letter does not evaluate or provide
concurrence for other federally listed species, including species and critical habitats potentially
affected by water depletions that occur along the Platte River in Nebraska.
Determination for the _ Preble's:
Based on the information that you provided, the Service agrees with your determination that the
proposed project is not likely to adversely affect the Preble's. We base this determination largely
on the following:

Due to the lack of Preble's riparian or upland habitats within the proposed project area,
the lack of Preble's captures within 2.0 miles, and the proposed project's avoidance of
potentially suitable Preble's habitats along the South Platte River, potential effects to the
Preble's are extremely unlikely to occur, or are discountable.
Should project plans change, or if the distribution of federally listed species changes, the Service
may reconsider this determination. Please contact the Service if new information suggests that
the proposed project may impact listed or proposed species in a manner or to an extent not
previously considered as additional consultation under the ESA may be required.
Because species distributions and habitat conditions change over time, often within one growing
season, this clearance is valid for one year from the date of this letter. If work has, not

Platte River Species in Nebraska and Water Depletions in Colorado:
After mining, you propose to convert the mine pit to a water storage reservoir. You did not
provide information or request concurrence on the proposed project's potential effects to
federally listed species or designated critical habitats along the Platte River in Nebraska. Based
on the information that you provided, we are unable to provide technical assistance regarding

3. State Species of Special Concern in Colorado:
Our comments address federally listed species, federally designated critical habitats, and
migratory birds. Please contact Colorado Parks and Wildlife's Northeast Regional Office at
(303) 291-7227 regarding any State species of special designation in Colorado that are not
federally listed. For example, the grazed pastures within your proposed project area may support
colonies of the black -tailed prairie dog (2ynornys ludovicianus), a State species of special
concern in Colorado:

The black -trailed prairie dog is a ground dwelling squirrel that lives in grasslands,
including those in urban areas, disturbed right-of-ways, agricultural fields, and road or
utility easements. Many grassland species, such as the burrowing owl, depend on the
underground burrows built by black -tailed prairie dogs. Due to their important role in the
prairie ecosystem and the many species that rely on them, we strongly encourage the
conservation of prairie dogs.
To avoid and minimize potential impacts to prairie dogs and their dependent species
during construction, we recommend conducting preconstruction surveys for prairie dogs
and their associated species. Design the project to avoid disturbing active colonies. If
the proposed project cannot avoid active colonies, relocate the prairie dogs or consider
donating. them to a black -footed ferret or raptor recovery program, rather than
euthanizing colonies. Contact Colorado Parks and Wildlife for more information on the
regulations and guidelines that address the capture, transportation, and relocation of
prairie dogs in Colorado.

Ft. Lupton Special Use Permit and Annexation
An application for a Special Use Permit (SUP) was submitted and approved by the City
of Ft. Lupton, Colorado as part of the land use permission granted to mine the original
Chavers Mining Resource. The SUP was submitted as part of the process for
annexation of this property to Ft. Lupton. A second annexation and approval and an
amended SUP application and approval from Ft. Lupton will be obtained for the DRMS
amendment area to M2015-030 before mining would begin on this property.
Colorado Discharge Permit System (CDPS) State Discharge PermitiStormwater
Permit
Prior to any ground -disturbing activities at the proposed amendment area that would
cause the need for water discharge to the South Platte River, an amended
CDPS/Stormwater Permit will be obtained from the Colorado Department of Public
Health and Environment (CDPHE) that will account for any and all offsite discharge and
will contain an amended plan for control of that discharge.
Air Permits
Prior to any ground -surface disturbing activities (overburden removal and stockpiling,
access road development, haul road construction, or material hauling) for the Chavers
Mining Resource AM -1, the operator will obtain an amended site Fugitive Dust Permit
from the CDPHE for these activities. This permit will be kept active during the entire life
of the mine.
State Engineers Temporary Substitute Water Supply Plan/Gravel Pit Permit
A Temporary Substitute Supply Plan (TSSP) has been approved for the Chavers Mining
Resource M2015-030 and will be amended for the additional land area that this
amendment encompasses for mining. This process will be repeated as part of this new
submittal and prior to commencement of any mining operations on the Chavers Mining
Resource AM -1, TSSP plan approval will be obtained from the State Engineer. Most
depletions to the groundwater system at this location are accounted for in the process of
the aggregate processing wash plant and the concrete plant. Little will change to the
TSSP with the additional mining property added by this DRMS amendment.

REAL ESTATE PURCHASE AND SALE AGREEMENT
THIS REAL ESTATE PURCHASE AND SALE AGREEMENT (this -Agreement") is

MICHAEL R. BRADLEY, TRUSTEE OF THE MICHAEL R. BRADLEY LIVING TRUST
DATED MARCH 16, 2004 (..Seller") and HUNT BROTh IERS PROPERTIES, INC., a Colorado
corporation, its successors and assigns ("Purc: aksi ).

For and in consideration of the mutual covenants, promises, and agreements hereinafter set
forth and other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, Seller and Purchaser hereby covenant and agree as follows:
I. SALE OF PROPERTY.
101 Properly. Upon the terms and conditions provided herein, Seller will sell
to Purchaser and Purchaser will purchase from Seller approximately 30.29 acres of real property
located in Weld County, Colorado, as depicted on Exhibit A attached hereto and incorporated
herein by this reference, together with all improvements, structures and fixtures thereon, all rights,
privileges,servitudes, easements and appurtenances (hereunto belonging, any right, title and
interest of Seller in and to any adjacent streets, roadways, alleys or rights-ofeway, all roads,
improvements, driveways and utility facilities, if any, thereon belonging to Seller (collectively, the
`Proper' y").
1.2 Oil and Gas. Sale of the Property shall exclude, and Seller shall retain all
oil and gas rights to the Property.
2. PURCHASE PRICE,
2.1 Purchase Price. The purchase price for the Property to be paid by
Purchaser to Seller shall be

2.2 Earnest Money Deposit. Purchaser shall deposit with Land Title
Insurance Company ("Tit e. Company") as earnest money. the sum of Twenty -Five Thousand and
No/100 Dollars ($25,000.00) (the "Deposit") within tent ( lo) business days after the Effective
Dale, to be held by Title Company in an interest bearing account, to be paid to Seller and credited
against the Purchase Price at Closing, or, if this Agreement is terminated before Closing, to be paid
to Purchaser or Seller, as the case may he, in accordance with the terms of this Agreement.
2.3 Balance of the Purchase Price. The balance of the Purchase Price,
adjusted as set forth in Section 23 and by any closing prorations, shall be paid to Seller in certified
funds or by wire transfer on the Closing Date..

in which case, upon such termination the panics shall be relieved of all liability and obligations
hereunder, except those obligations that expressly survive termination of this Agreement and the
Deposit shall be promptly (and in any event within five (5) business days) refunded to Purchaser.
3.3 Environmental Assurances, In the event Purchaser's inspection of the
Property identities the presence of Hazardous Materials (as defined in Section 6.1.5 of this
Agreement) located on or migrating to or from the Property (" T ny ownenial Conditions").
Purchase may elect to terminate this Agreement and receive a refund of the Deposit, or to waive its
objections to Environmental Conditions and proceed to Closing.
3.4 Governmental Approvals. Purchaser's obligations under this Agreement
are subject to Purchaser's ability to obtain all of the certificates, permits and other approvals
(collectively the "Governmental Approvals") that ��a � bbypl
y y may l e required any Federal. State or Local
authorities to permit Purchaser's use of the Property. Seller shall cooperate with Purchaser in its
effort to obtain such approvals. In the event applications for such Governmental Approvals should
be finally rejected or Purchaser determines that such approvals will not be obtained, Purchaser
shall he entitled to terminate this Agreement on or before the expiration of the Initial Inspection
Period, as may he extended in accordance with Section 3.2,3.
4. TITLE EVIDENCE AND SURVEY
. l Title Commitment. Purchaser shall order a commitment (the "'I`itie
ummftment") for any owner's extended coverage policy of title insurance with the standard survey
exceptions deleted and containing such endorsements as deemed necessary by Purchaser (the
"Title Policy"), issued by Title Company, covering, the Property in the amount of the Purchase
Price, and including appropriate judgment, bankruptcy and tax lien searches, a report oral' special
assessments levied or pending against the Property and true, cornet and legible copies of all
documents and instruments referenced as title exceptions or encumbrances. The cost of the Title
Policy shall be split evenly by Purchaser and Seller. At Closing, Seller shall convey good,
marketable and insurable (at standard rates) lee simple title to the Properly to Purchaser by
Warranty Deed, which shall be made subject only to the matters set forth on Exhibit I3 attached
hereto and incorporated herein by this reference (collectively. the "Penang! I xcc: ions"),
4.2 Survey. Upon the execution of this Agreement. Seller shall, at Seller's
expense, order a survey of the Property (the "Swim") which shall (a) conform to the 6.201 I
Minimum Standard Detail Requirements for ALTA/ACSM Land Title Surveys" as adopted by the
American Land Title Association and the National Society of Professional Surveyors; (b) show the
area, dimensions and location of the Property, the topography, the location of all available utilities,
the location of all improvements and encroachments, and the location of any recorded easements;
(c) set forth and certify the total number of acres comprising the Property; (d) be certified to the
Title Company and to Purchaser; and (e) shall contain such other certifications as the Title
Company or Purchaser may require. The Survey shall be completed on or before the expiration of
the Inspection Period.
4.3 Title ols'ections. Purchaser shall have the right to examine title to the
Property and deliver written notice to Seller, within thirty (30) days alter Purchaser receives the
last of the Title Commitment, true, correct and legible copies of all exception documents and the

Purchaser need not object to mortgages, deeds to secure debt. deeds of trust. mechanic's liens or

6._3 Purchaser's Representations Wkinrsanties._and Covenants. A.s of the (late of

Seller as follows:
6.3.1 Purchaser is duly created and validly existing pursuant to (he laws
of the jurisdiction of its organization.
6.3.2 Purchaser has the legal capacity and authority to execute this
Agreement and perform the obligations of Purchaser under this Agreement. All action necessary to
authorize the execution, delivery and perthnnance oi'this Agreement by Purchaser has been taken,
and such action has not been rescinded or modified. Upon the execution of this Agreement, this
Agreement will be legally binding upon Purchaser and enfhrceablc against Purchaser in
accordance with all of its respective provisions. The person signing this Agreement on behalf of
Purchaser has been duly authorized to sign and deliver this Agreement on behalf of Purchaser.
6.343 Purchaser is not subject to any judgment or decree of a court of
competent jurisdiction or governmental agency that would limit or restrict Purchaser's right to
enter into and carry out this Agreement.
6.3.4 Neither the execution of this Agreement, nor the consummation of
the transactions contemplated herein or therein by Purchaser will constitute a breach under any
contract or agreement to which Purchaser is a party or by which Purchaser is bound or affected.
6.3.5 No consent or approval of any third party (including, without
limitation any governmental authority) is or was required in connection with Purchaser's execution
a n d delivery of this Agreement or its consummation of the transactions contemplated herein.
All of the foregoing representations and warranties of Purchaser arc true, accurate and
complete as of the date hereof.
7. CLOSING. The closing or settlement ('C'losing's) of this transaction shall occur
on or before January 3, 2017 (the "Closing Date") at a time and place designated by the parties. At
the Closing, the parties will execute and deliver all documents necessary to consummate the
transaction contemplated by this Agreement, pursuant to the terms of this Agreement, as follows;

A Surface Use Agreement (SUA) has been approved and signed by both Anadarko and
ASCI for mining and backfilling adjacent to theft facilities. Based on the results of the

Upon application approval and permit issuance, this application becomes a legally binding document. Therefore, there are a
number of important requirements which you, as a pennittee, should fully understand. These requirements arc listed briow.

associated with your miring operation in the event your permit is revoked and financial warranty is forfeited:

2. The Board may suspend or revoke this perntit, or assess a civil penalty, upon a finding that the permitlee
violated the terms or conditions of this permit, the Act, (he Mineral Rules and Regulations, or that information
contained in the application or your permit misrepresent innportani material facts.
.}. If your mining and reclamation operations affect areas beyond the boundaries of an approved perntii
boundary, substantial civil penalties, to you as pennittce can result;
4- Any modification to the approved mining and reclamation plan from those described in your approved
application requires you to submit a permit modification and obtain approval from the Board or [Nf ce;
5. It is your responsibility to notify the Office of any changes in your address or phone number;
6. Upon permit issuance and prior to beginning on -site mining activity, you must post a sign at the entrance of
the mine site, which shall he clearly visible from the access road, with the following information (Rule 3. 1.121:
a, the name of the operator;
h. a statement that a reclamation permit for the operation has been issued by the Colorado Mined Land
Reclamation Board; and,
c. the permit number.
7. The boundaries of the permit boundary area must be marked by monuments or other markers that are clearly
visible and adequate to dclineaie such boundaries prior to site disturbance.
F. It is a provision of this permit that the operations will be conducted in accordance with the terms and
conditions listed in your application, as well as with the provisions of the Act and the Construction Material Rules
and Regulations in effect at the time the permit is issued.
9 Annually, on the anniversary date of permit issuance, you must submit an annual fee as specified by Statute,
and an annual report which includes a map describing the acreage affected and the acreage reclaimed to dare {if
there arc changes from the previous year), any monitoring required by the Reclamation Plan to be submitted
annually on the anniversary date of the permit approval. Annual fees are for the previous year a permit is held. For
example, a permit with the anniversary date ofJuly 1, 1995, the annual fare is for the period of July 1, 1994 through
June 30. 1995. 995. Failure to submit your annual fee and report by the permit anniversary date may result in a civil
penalty, revocation of your permit, and forfeiture of your financial warranty. Ii is your responsibility, as the
permitten, to continue to pay your annual fee to the Office until the Board releases you from your total reclamation

made herein are punishable as a Class I misdemeanor pursuant to Section 1R-8-503. C.R.S.

Reclamation Air far the Extraction of Construction Materials. Any alteration or modification of rhis join: shall result in voiding arty
