RE: APPROVAL OF CONTRACTS BETWEEN MONTGOMERY ELEVATOR COMPANY AND
WELD COUNTY, COLORADO FOR THE MAINTENANCE OF TWO PASSENGER
ELEVATORS AND ONE DUMBWAITER IN THE WELD COUNTY SHERIFF' S
DEPARTMENT.
WHEREAS , the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS , the new Weld County Sheriff ' s Department is equipped
with two new Montgomery passenger elevators #CP-38155-6 and one
dumbwaiter #118-4708 , said equipment being completed and accepted
for use on February 14 , 1978 , and
WHEREAS, the three month free maintenance service will end
on May 15, 1978 , and ,
WHEREAS, it has been recommended to the Board that Weld County
enter into contracts with Montgomery Elevator Company for continued
maintenance of said equipment, and
WHEREAS , the Board of County Commissioners of Weld County,
Colorado deem it advisable and in the best interest of Weld County,
Colorado to enter into said contracts to provide preventive
maintenance programs for said elevators and dumbwaiter.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Com-
missioners of Weld County, Colorado that the maintenance contract
for two passenger elevators and the maintenance contract for one
dumbwaiter offered by Montgomery Elevator Company installed in the
Weld County Sheriff' s Department, be and hereby are, approved.
BE IT FURTHER RESOLVED by the Board of County Commissioners
that the Chairman of the Board is hereby authorized to sign said
contracts, said contracts being attached hereto and incorporated
herein by this reference.

MAINTENANCE (
AGREEMENT
FOR HYDRAULIC ELEVATORS
We will maintain the elevator equipment herein described, using skilled elevator
maintenance men under our supervision. They will employ all reasonable care to
see that the elevator equipment is maintained in proper operating condition.
We will regularly and systematically examine, adjust, lubricate, as required, and if
conditions warrant, unless specifically excluded elsewhere in this agreement,
repair or replace the following:
Elevator pump, motor, plunger, plunger packing, V-belts, strainers, valves,
regulators, controllers including relays, contacts, timers, coils, magnet frames
and control wiring. Relamp all signals during regular service time only.
We agree to repair and/or replace traveling cable when necessary; to replace car
guide shoes, gibs, and/or rollers when necessary to insure proper operation, and
we will keep the guide rails properly lubricated, when applicable.
We agree to furnish special Montgomery lubricants compounded under our
supervision and specifications.
The following accessory equipment will be examined, lubricated, adjusted,
repaired and/or replaced by us:
Door operator, car and hoistway door hangers and tracks, car door contacts, and
door protective devices, all door gibs, car and corridor operating stations, car
fan, alarm bell and buffers.
We assume no responsibility for the following items of elevator equipment which
are not included in this contract:
Refinishing, repairing or replacement of car enclosure, its gates and/or doors,
hoistway enclosure, hoistway doors, door frames and sills, hoistway gates,
finished flooring, car lighting, power feeders, switches, their wiring and fusing,
hydraulic cylinder, and underground piping.
This contract covers all work performed during the regular working hours of
regular working days of the elevator trade, unless otherwise specified.
Regular time call backs ® ARE, or xggognx included in this agreement.
Overtime call backs ARE NOT included in this agreement.
If you should require, at any time, examinations, minor adjustments, call back
services or repairs to be made on overtime, we will absorb the regular time
portion of each overtime hour worked. You will be charged only for the
difference between our regular hourly billing rate and our regular overtime billing
rate applicable, for each overtime hour worked.

The schedule below lists items which are considerably worn, and which will require re-
placement soon. We are accepting them in their present state in order to provide you
with the maximum service from these items, with the understanding that, in addition to
the base price stated in this Agreement, you agree to pay us an additional amount at
the time the listed items are first replaced. The additional charge for this replacement
will be determined by pro-rating the total cost of replacing the individual items. You
agree to pay for that portion of the items used prior to the date of this contract and we
agree to pay for that portion used since the date of this contract.

Montgomery Elevator Company shall not be obligated to make other safety tests, or to
install new attachments whether or not recommended or directed by insurance com-
r panies, or by federal,state,municipal,or other governmental or non-governmental author-
ities. Montgomery Elevator Company shall not be required to make renewals or repairs
necessitated by the negligence, misuse or obsolescence of the equipment or any other
cause beyond its control except ordinary wear and tear.
Nothing in this Agreement shall be construed to mean that Montgomery Elevator Com-
pany, or its subsidiaries, officers, directors, agents or employees, (herein collectively
referred to as "affiliates") assume any liability for damages or otherwise on account of
accidents to persons or property (including but not limited to accidents arising or result-
ing from the overloading and/or misloading of any elevator or other device covered by
this contract, beyond its rated capacity) except those directly due to the negligence of
Montgomery Elevator Company. You shall be solely responsible for supervising the use
of the equipment and you shall provide whatever attendent personnel,warning signs and
other controls and cautions that may be required or desirable to insure safe operation.
You shall at all times be solely liable for the operation of the equipment and you shall
indemnify, protect and save harmless Montgomery Elevator Company and its affiliates
from and against liabilities, losses and claims of any kind or nature imposed on, incurred
by, or asserted against Montgomery Elevator Company or its affiliates arising out of the
operation of the equipment. You hereby waive any and all rights of subrogation, arising
as a matter of law or otherwise which you might hereafter have against Montgomery
Elevator Company or its affiliates.
Neither Montgomery Elevator Company nor its affiliates shall be liable for any loss,
damage, detention or delay caused by accidents, strikes, lockouts, material shortages
or by any other cause which is beyond its reasonable control, or in any event, for inci-
dental or consequential damages. Montgomery Elevator Company shall not be liable for
any work, service or material other than that specifically mentioned herein.

At the termination of each one-year period from the date of submission of this Agreement, the price will be
increased or decreased by the percentage of increase or decrease in the then current straight-time hourly rate for
Elevator Constructor Mechanics where the equipment is maintained. Present mechanic rate is $11 . 14
You shall pay, in addition to the price, any tax imposed upon you by any existing or future law and the amount of
any tax imposed upon us, our suppliers or you under any statute, court decision, rule or regulation becoming
effective after the date of this proposal which is based upon or incident to the transfer, use, ownership or
possession of the materials or equipment involved in the performance hereof or the services rendered, hereunder.
You shall at all times and at your own cost, maintain comprehensive bodily injury and property damage insurance
(naming Montgomery Elevator Company as an additional insured), including bodily injury and property damage
caused by the ownership, use or operation of the equipment described herein.
The service specified herein will be furnished from the effective date above stated, and shall continue for a
period of five years. Either party may terminate this agreement either at the end of the first five years or at
the end of any subsequent five years by giving the other party ninety (90) days written notice prior to the
anniversary date of the contract.
This proposal, and the acceptance thereof, shall constitute, exclusively and entirely,the Agreement for the service
described, and all prior representations of agreements relating thereto, whether written or verbal,shall be deemed
to be merged herein and no changes in or additions to this Agreement shall be binding upon Montgomery Elevator
Company until approved by one of its executive officers at Moline, Illinois. In the event that Purchaser's
acceptance is in the form of a purchase order or other kind of document,the Provisions,Terms and Conditions of
this proposal shall govern in the event of conflict.

Under the terms and conditions of this contract,we will examine tne elevator equipment
herein described, using skilled maintenance men under our supervision.

This service shall include the labor necessary for the making of lion th 1 y
examinations of the elevator, including cleaning and oiling machine, motor, signal
devices, interlocks and controller; greasing or oiling guides; necessary minor ad-
justments at the time of the regular examinations and furnish the necessary oils and
greases, rope preservatives and wiping cloths.
This proposal does not include examinations to hoistway enclosures,doors,hangers or
closers.
No work, parts or supplies,except those specified herein, will be furnished under this
agreement.

elevator trade, unless otherwise specified. Should our examination uncover items
which, in our judgement, require replacement and/or repair,a separate quotation will
be prepared for your authorization.However, no guarantee is made that any or all such

The parties hereto recognize that elevators are mechanical and electrical devices,and, ..
like any such devices in normal operation and with passage of time,are subject to wear
and tear, deterioration and possible malfunction through use,fatigue,corrosion,dust,
abuse,etc. The purpose of this agreement is to reduce wear and prolong the useful life
of moving parts through proper lubrication and examination.

Gentlemen:
With reference to the two new Montgomery passenger elevators
OCR-38155--6 and one dumbwaiter #118-4708 , located at your new
Weld County Centennial Center, we wish to advise that we are
approaching the end of our three months free maintenance ser-
vice, provided by us as an obligation under the original pur-
chase contract, These elevators and dumbwaiter have been com-
pleted by us and final accepted and turned over for use on
February 14, 1978 Ce copy of our Uniform Final Acceptance is
enclosed herewith) , We are now in the process of providing
our free service until May 15 , 1978 , at which time a regular
preventive maintenance agreement should be. entered,
We aresubmitting-herewith for your consideration and approval
two different types of maintenance contracts, as follows ;
PASSENGER ELEVATORS COMPLETE MAINTENANCE-AGREEMENT
Price: $196 , 32/Month until February 15-, 1979
$245 , 40/Month Thereafter
We are giving you a special reduced price for the next nine
months, as a matter of goodwill and to coincide With the one
year warranty.
This contract gives you complete protection, including major and
minor repairst parts and labor, regular scheduled examinations
and regular time emergency callback service whenever needed,

A careful preventive maintenance program, performed by thoroughly
trained and experienced personnel , will maintain your elevators
in a first-class state of repair , dependable and correct operation,
in accordance with factory specifications - for an infinite period
of time.
DUMBWAITER - EXAMINATION, OIL & GREASE SERVICE AGREEMENT
Price : $37 . 36/Month
This type of contract is based on regular scheduled monthly ex-
aminations and includes examining, oiling , and greasing the
machine , motor , signal devices , interlocks , controller, guide-
rails and minor adjustments at the time of our regular examina-
tions . It excludes emergency callback service , parts and repairs .
If you should require any additional work it must be authorized
by you before any such work is performed by us and we will bill
you therefor at our regular billing rates .
While this contract is limited in coverage, it gives us the
opportunity of examining this equipment regularly each month
and making necessary adjustments , which may prevent a possible
shut down and will enable us to detect conditions which may
develop into costly repairs , if neglected. We think that this
coverage is adequate for this dumbwaiter, due to its moderate
use. It is the minimum coverage you should have for this type
of equipment .
WARRANTY
The material and workmanship of the equipment furnished by us
under the original purchase contract is guaranteed for a period
of one year from the date of completion, and we will make good
any defects not due to ordinary wear and tear or to improper
use or care which may develop within this period of time, This
warranty is not intended to supplant normal preventive mainte-
nance service.
We have been serving the Greeley area for many years and have a
successful local Greeley office, which can give you emergency
service within a minimum of time. Our Greeley telephone number
is 351-0050, day or night, and our local manager is Mr. Roy
Holloway, a Greeley resident ,

Enclosed you will find copies of the jail elevator contracts.
The 90 day free start up service will be up May 15, 1978. the
elevators have been accepted and will be our responsibility
starting on that date.
As I have stated in the past, I believe the elevators should
be maintained by personnel skilled in this field. Those are
Montgomery elevators and should be maintained by this company.
Montgomery Elevators has given us outstanding service on the
elevators we now have under contract with them.
I-bate allowed for maintenance on these elevators in my
budget this year.
