RE: APPROVE CONSTRUCTION AGREEMENT FOR BRIDGE 26/25A, AND COUNTY
ROAD 26, AND AUTHORIZE CHAIR TO SIGN - FARMERS RESERVOIR AND
IRRIGATION COMPANY AND PLATTE VALLEY IRRIGATION COMPANY
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Construction Agreement for Bridge
26/25A, and County Road 26, between the County of Weld, State of Colorado, by and through
the Board of County Commissioners of Weld County, on behalf of the Department of Public
Works, and Farmers Reservoir and Irrigation Company, 80 South 27th Avenue, Brighton,
Colorado 80601, and Platte Valley Irrigation Company, PO Box 1318, Greeley, Colorado 80632,
with terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Construction Agreement for Bridge 26/14A, and County Road 26,
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Works, and Farmers
Reservoir and Irrigation Company, and Platte Valley Irrigation Company, be, and hereby is,
approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 30th day of March, A.D., 2016.

Bridge 26/25A is located on WCR 26, 300 feet east of SH 85 , south of Platteville. The bridge crosses the
Platte Valley Canal which is operated by Farmers Reservoir and Irrigation Company (FRICO) . Public
Works has submitted plans, which have subsequently been approved by FRICO and they have provided
the attached crossing agreement. This is a standard form agreement from FRICO for bridge 26/25A. This
agreement includes time frames for the work, as well as requirements that apply to the contractor and
Weld County while the work is being done . The agreement has been reviewed by Public Works and
Weld County Attorney staff.
This project is funded by a CDOT bridge grant . The Grant amount is $400,000 ($320 ,000 Federal Funds
and $ 80,000 Weld County Match as shown in the IGA . The project currently is estimated to cost
$750,000, so with the $320,000 reimbursement from CDOT, the actual Weld County amount is estimated
at $430,000 . We are currently in the ROW acquisition phase of the project. We anticipate CDOT
concurrence to advertise within the next few weeks .
It is staff' s recommendation to approve the agreement with FRICO, to allow the replacement work to be
done, which is anticipated to begin in May of this year.

2) Ask staff to schedule a work session with the BOCC for further discussion. I

ROAD CONSTRUCTION AGREEMENT
THE FARMERS RESERVOIR AND IRRIGATION COMPANY, THE PLATTE
VALLEY IRRIGATION COMPANY, AND WELD COUNTY COLORADO
THIS AGREEMENT is made this dJ 1 day of—71-40:4J, 2016, by and among The
Farmers Reservoir and Irrigation Company ("FRICO"), whose address is 80 South 27th Avenue,
Brighton, CO 80601, and The Platte Valley Irrigation Company ("PVIC"), whose address is PO
Box 1318, Greeley, CO 80632, (collectively hereinafter referred to as "COMPANY") and the
County of Weld, a body corporate and politic of the State of Colorado, by and through its Board
of County Commissioners, whose address is 1150 "O" Street, Greeley, Colorado 80631
hereinafter referred to as "County."
WITNESSETH:
WHEREAS, County finds it necessary to rebuild/construct/improve Weld County Road
26, ("WCR 26") and replace the bridge structure known as Bridge 26/25A (collectively, the
"PROJECT"), which is in the location described and depicted in Exhibit A (the "CRosswic"), and
WHEREAS, Company owns a fee-simple or ditch easement interest in that certain right-
of-way known as the Platte Valley Canal, as well as canal improvements and appurtenances
located therein(collectively, the "CANAL"), and
WHEREAS, the Project crosses the Canal at the Crossing, and
WHEREAS, County and Company recognize that County has a statutory obligation to
maintain its roads and bridges to protect the safety of the travelling public and that Company also
has legal obligations to maintain the Canal and to deliver water to its shareholder/members, and
WHEREAS, County and Company have worked together in a cooperative manner with
respect to the design of the Project in order to accommodate the interests of each Party, and
County has complied with Company's design criteria and has considered Company's design-
related requests and suggestions, and
WHEREAS, County has designed the Crossing to accommodate the peak Canal capacity
in the location of the Crossing, with such design reflected in the construction and design
drawings attached hereto as Exhibit B (the "PLANS"), and
WHEREAS, each Party desires to cooperate with the other Party in a manner that permits
both Parties to meet their respective obligations.
NOW, THEREFORE, in consideration of the promises and covenants expressed herein,
the Parties mutually agree as follows:

I. COMPANY' S RIGHTS AND RESPONSIBILITIES :
1 . Construction and Design Drawings : Company has reviewed the
construction and design drawings and hereby authorizes County to build the Project according to
the Plans . County agrees that Company has no responsibility for the design or construction of
the Project, and that Company' s design review of the Project and acceptance of the Plans shall
not serve to : ( 1 ) create any joint venture between Company and County; (2) create any liability
for Company with respect to the design or construction of the Project; or (3 ) waive any future
claims or causes of action by Company against the County with respect to the design or
construction of the Project. If for any reason the County changes the design of the Project from
the Plans, then County shall notify Company of the need for design changes and provide
Company with revised drawings, plans and/or specifications (the "CHANGED PLANS") for review
and approval according to Company' s applicable design standards . Company ' s failure to
approve, approve with conditions, or reject the Changed Plans within ten ( 10) business days shall
constitute approval of the Changed Plans . Upon approval by Company, the revised drawings,
plans and/or specifications shall be attached hereto and made a part hereof
2 . Construction of Project : Company hereby grants permission to County to
construct the Project in accordance with the Plans and thereafter maintain the Project, within the
area occupied by the Crossing, as described and illustrated in the construction and design
drawings reflected in the Plans .
3 . Grant of Right of Ingress & Egress : Company hereby grants to County
the right of ingress and egress to and from the Project and across the Crossing, as necessary and
reasonable for the exercise of the purposes of this Agreement. County ' s right of ingress and
egress shall not impede the flow of water, nor shall it impede any of Company' s rights related to
the Canals . This right of ingress and egress does not include a right of public access to the
Crossing at any time except upon the surface of WCR 26 or associated sidewalks.
4 . Company ' s Field Inspections : Company shall conduct field inspections at
the initial stage of construction within the Crossing and within three (3 ) business days of
County' s notification to Company that such construction has been substantially completed. In
addition, in Company' s discretion, field inspections may be conducted during the construction of
the Project. Company shall notify County in writing of all necessary corrective work it deems
necessary within three (3 ) business days of such field inspections . Such corrective work shall be
completed promptly at the sole expense of County . Failure of Company to notify County of the
need for corrective work within three (3 ) business days of Company ' s inspection, shall be
deemed to constitute Company ' s acceptance and approval of the construction of the Project
through the date of that inspection.
5 . Company ' s Present and Future Rights to Maintain Crossing: Company has,
and shall continue to have full power to operate, maintain, alter, enlarge, relocate, clean, repair,
and manage the Canal as if this Agreement had not been made, except that County approval shall
be required for activities that require modification of the Project. Company may use and cross
the Crossing with vehicles and equipment, on the surface of the road or within the Canal, without
liability to the County. County will ensure that the Project is designed, maintained, and operated
in a manner that does not obstruct, prevent, or restrict the perpendicular crossing of the road by

Company at the accesses depicted on Exhibit B . It is specifically agreed that normal and
extraordinary maintenance and repair activities, including but not limited to the operation and
movement of machinery for such purposes upon the Crossing, right-of-way, and within the
Crossing itself, shall not constitute negligence. If a planned maintenance, alteration,
enlargement, relocation, cleaning, or repair activity involves a material foreseeable risk of
damage to the Project, the Company will work in good faith with the County to implement
measures to avoid or minimize such damage .
6 . Emergency Repairs : If Company finds it necessary to perform
emergency repairs to the Canal, either during County' s construction of the Project or at any time
in the future, and such activity causes damage to County' s bridges, roads, rights-of way and/or
the Project, Company shall be without liability for damages to County as the result of the
performance of such repairs, except as to such damage caused by Company ' s negligence . If
Company determines that emergency repairs to the Crossing must be made, which repairs are
caused by the acts or omissions of County in constructing or maintaining the Project, Company
shall notify County of the need for such repairs ; if County is able to conduct such repair work, it
will so notify Company immediately, and will commence said repairs within a time period
agreed to by Company. If County is unable to undertake said repair work within a time period to
which Company agrees, and Company expends any sum for said emergency repairs of the
Crossing, Company shall notify County of the expenditure, submit documentation of the expense
incurred and, subject to the approval and appropriation of funds by the Weld County Board of
County Commissioners, County shall reimburse the Company for any reasonable expense .
7 . Flow of Water During Construction of Project : In order to protect the safety
and property of those involved in the construction of Project, and in order to allow County to
take necessary steps to facilitate the uninterrupted free flow of water through the Crossing,
Company agrees to notify County Personnel identified pursuant to Section II .4, below, regarding
the carriage of water in the Crossing during construction of the Project as provided in the Access
and Construction Permit issued by Company (the "PERMIT") . The Permit includes the number of
anticipated hours it takes for water to travel from the headgate to the construction location.
II. COUNTY ' S RIGHTS AND RESPONSIBILITIES
1 . County to Provide Notice of Work: No work shall be performed on the
Project until Company has approved County' s plans and specifications, after such engineering
and legal consultation as Company considers necessary. Such approval shall not be
unreasonably withheld or delayed. Prior to commencement of work, County shall also provide
Company at least 24 hours ' notice of such commencement, and shall provide the information
required by Section II .4 . , below.
2 . County ' s Construction Responsibilities : County agrees to construct the
Project, and thereafter maintain it in such a manner as to avoid damage to the Crossing,
particularly the embankments and access thereto, and to avoid interference with the flow of
water through the Crossing, and to prevent an increased pollutant load to the Crossing from the
County right-of-way.

3 . Stormwater Management: County agrees that it will not discharge stormwater
into the Canal from the Project or the County' s right of way. County will design, construct,
utilize and maintain appropriate temporary and permanent best management practices ("BMPs")
to control runoff and runoff pollutants (including but not limited to oils, chlorides, and sediment)
that are likely to be associated with the construction and ongoing use of the Project.
4 . Flow of Water During Construction of Project: County will not interrupt the
flow or permit the interruption of the flow of water through Company' s Canal . Company has
advised County that water is expected to run through the Canal at all times of year, and even
when the Canal is turned off, water flows through the Canal may resume at any time . Company
agrees to provide 10 days ' advance notice to County regarding the expected timing and duration
for periods in which the Canal will be turned off. As the parties are aware that water could be
transferred through the Crossing for a variety of reasons at any time during the construction
period, Company has agreed to provide notice to County as provided in Section I . 7 . , above.
County shall remove its equipment from the Canal bed at the conclusion of each working day,
and upon receipt of notice from Company that water is expected to reach the location of the
Crossing, such that the equipment will be cleared from the Canal by the time water reaches the
Project location. Upon notice to Company that County will be commencing the Project, County
shall provide Company with telephone numbers and email addresses of two people who are
designated to receive notices pursuant to this Section. County shall not commence the Project
until such information is provided to Company. The County and its contractors ASSUME ALL
RISKS of performing construction or maintenance work from within the Canal . IN NO EVENT
shall Company be liable to County or any third party, including County ' s contractors, for
damage to equipment, personnel (including loss of life), or the Project, including but not limited
to damages that result from any release of water into the Canal, whether County is notified of
such release or not.
5 . Repair and Maintenance After Construction :
A. Project. All post-construction repairs, replacements or maintenance of the
Project by County that could impact Company ' s use and operation of the Canal shall, in
the absence of an emergency, be undertaken during a period when the Canal is not being
used to carry water, and such work shall be completed before that use begins. County
agrees to notify Company of the need to repair, replace or maintain the Project, and to
provide proposed plans and a processing fee to Company if the proposed work involves
modifications to the Project or replacement of the Project as provided in Section I. 1 . ,
above, and Company agrees to provide County with a flow schedule that will allow
County to perform its work when the Canal is not expected to be used to carry water. In
the event of an emergency situation caused by an immediate and unforeseen incident
causing damage to Project which creates a danger to the travelling public, County agrees
to immediately notify Company of the need to conduct such repairs, and to the extent
possible, Company agrees to cooperate to allow County to complete said repairs.
B . Canal. The County provided engineering calculations that showed that the
Project will decrease the velocity of water in the Canal, which will increase
sedimentation in the vicinity of the Crossing. As such, the County agrees to clear
sediments from the Canal bed in the area under the Crossing and within 50 feet of either

side of the Crossing (65 feet from the street centerline) within not more than 10 business
days after written request by Company, or on such periodic basis as may be agreed to
between the County and FRICO . If the County fails to timely perform said Canal
maintenance, Company may, but is not obligated to, perform the maintenance at the
County' s expense.
6 . County ' s Responsibilities Following Construction and/or Repair,
Replacement and Maintenance : Upon County' s completion of construction of the Project,
and following any subsequent repair, replacement and/or maintenance activity related to the
Project, County agrees to clean the Crossing and bank area in order to place it in the same or
better condition than it was before the activity began.
7 . Payment of Administrative Fee : County has paid an administrative fee to
Company in the amount of Five Hundred Dollars ($500 . 00) . County agrees that the fee is
reasonable and represents a fair and appropriate payment to Company for the time expended by
its officers and/or employees in entering into this Agreement. County will pay Company an
additional administrative fee for costs incurred by Company for processing plans (including
Changed Plans) or amendments that are submitted after the date of this Agreement, to be
determined according to Company ' s then-current generally applicable fee schedule .
8 . Legal/Engineering Expense Reimbursement : County agrees to reimburse
Company for all reasonable legal and/or engineering costs incurred by Company for the legal
review of this Agreement and for the professional engineering review of the Project' s design as
set out in the Plans.
9 . Insurance : County and Company acknowledge that the County is utilizing
contractors to construct the Project, and that the insurance requirements provided in the
contractor' s proposal , and accepted by the County, are sufficient and acceptable to Company.
10 . Standard of Care - No Liens : County and its contractors shall complete all work
in a prompt and workmanlike manner, free of all liens and encumbrances against any property
for which Company owns a fee or easement interest.
11 . As-Built Drawings : County will provide Company with "as-built" drawings of
the Project, including its location, not more than 30 days after completion of construction, in an
electronic format approved by Company.
12 . Canal Damage and Repair: Any damage to the Canal caused by County' s
construction operation, maintenance, repair, or removal of the Project, including damage to the
Canal embankments and facilities appurtenant to the Canal, shall be addressed as follows : ( 1 ) If
Company determines that the acts or omissions of County with regard to the Project have caused
damage that requires repair or a situation that required maintenance, then Company shall notify
County of the need for such repairs or maintenance ; (2) If County is able to conduct such repair
or maintenance work, it will so notify Company immediately, and will commence said repairs or
maintenance within a time period agreed to by Company; (3 ) If County is unable to undertake
said repair or maintenance work within a time period to which Company agrees, and Company
expends any sum for said repairs or maintenance of the Crossing, Company shall notify County

of the expenditure, submit documentation of the expense incurred and, subject to the approval
and appropriation of funds by the Weld County Board of County Commissioners, County shall
reimburse the Company for any reasonable expense.
III. MISCELLANEOUS
1 . Interpretation of Agreement : Notwithstanding any other provision herein,
nothing in this Agreement shall be construed to give Company any authority whatsoever
regarding those portions of the Project that are not located on or over the Crossing.
2 . Board of County Commissioners of Weld County Approval : This Agreement
shall not be valid until it has been approved by the Board of County Commissioners of Weld
County, Colorado .
3 . Agreement Binding : This writing, together with the exhibits, constitutes the
entire Agreement between the parties hereto with respect to the subject matter herein, and shall
be binding upon said parties their officers, employees, agents, and assigns and shall inure to the
benefit of the respective survivors, heirs, personal representatives, successors and assigns of said
parties . This Agreement may be assigned by County to another governmental entity who by
annexation or other governmental action assumes jurisdiction over the Project, without the
written consent of Company. Company agrees to notify County of its intent to assign this
Agreement in order that it may take such formal action for ratification as may be required by its
Board of County Commissioners .
4. No Third Party Beneficiary : It is expressly understood and agreed that
the enforcement of the terms and conditions of this Agreement, and all rights of action relating to
such enforcement, shall be strictly reserved to the undersigned parties, and nothing in this
Agreement shall give or allow any claim or right of action whatsoever by any other person not
included in this Agreement. It is the express intention of the undersigned parties that any entity
other than the undersigned parties receiving services or benefits under this Agreement shall be an
incidental beneficiary only.
5 . Fund Availability : County has budgeted the funds required to perform its
obligations under the terms of this agreement, and assumes that all expenses it is required to pay
will be expended within the current calendar year unless otherwise stated. Financial obligations
of the Board of County Commissioners of Weld County payable after the current fiscal year are
contingent upon funds for that purpose being appropriated, budgeted and otherwise made
available . By execution of this Agreement, County does not warrant that funds will be available
to fund this Agreement beyond the current fiscal year.
6 . Time of the Essence : Time is of the essence in each and all of the provisions
of this Agreement.
7 . Severability : If any term or condition of this Agreement shall be held to be
invalid, illegal, or unenforceable, if allowed by law, in lieu of such invalid, illegal, or
unenforceable provision, there shall automatically be added as part of this Agreement a provision
similar in terms to such illegal, invalid, or unenforceable provision so that the resulting reformed

provision is legal, valid, and enforceable. If such reformation is not possible, this Agreement
shall be construed and enforced without such provision, to the extent that this Agreement is then
capable of execution within the original intent of the parties.
8 . Choice of Law : Colorado law, and rules and regulations established
pursuant thereto, shall be applied in the interpretation, execution, and enforcement of this
Agreement. Any provision included or incorporated herein by reference which conflicts with
said laws, rules and/or regulations shall be null and void, except that any rights of Company
hereunder shall be vested with respect to ordinances of the County or any municipality that may
annex all or part of the Project.
9 . Attorneys Fees/Legal Costs : In the event of a dispute between County and
Company concerning this Agreement, the parties agree that neither party shall be liable to or
responsible for the payment of attorney fees and/or other legal costs incurred by or on behalf of
the other party.
10 . Governmental Immunity : No term or condition of this contract shall be
construed or interpreted as a waiver, express or implied, of any of the immunities, rights,
benefits, protections or other provisions, of the Colorado Governmental Immunity Act § §24- 10-
101 et seq . , as applicable now or hereafter amended ("CGIA"), nor does the Company waive any
argument that the CGIA does not apply to claims or defenses related to this Agreement or arising
out of the construction, existence, use, operation, or failure of the Project.
11 . Entire Agreement/Modifications. This Agreement supersedes all prior
negotiation, representation, and understanding or agreements with respect to the subject matter
contained in this Agreement. This Agreement may be changed or supplemented only by a
written instrument executed by both parties .
12 . Compliance with Laws : The County shall comply with all applicable federal
state and local laws, ordinances and rules in connection with the construction and/or maintenance
of the Project, and obtain such permits and/or approvals required by applicable governmental
entities in connection with the construction and/or maintenance of the Project and shall take such
affirmative and/or remedial actions required by such entities .
13 . Force Majeure: Neither party to this Agreement shall be liable to the other for
delays in performance or a failure to deliver or otherwise to perform any obligation under this
Agreement, where such failure is due to any cause beyond its reasonable control, including but
not limited to Acts of God, fires, strikes, war, flood, earthquakes or Governmental actions ;
provided that force majeure shall not excuse interruption or substantial reduction in the flow of
water in the Canal during construction, repair, or maintenance activities related to the Project.
14. Notices : Any notice required or permitted hereunder shall be deemed
effective : (i) when emailed to the email address(es) provided below; (ii) when transmitted by
facsimile to the numbers provided below, except that facsimile transmission after 4 : 00 PM shall
be effective on the following business day; or (iii) two business days after deposited in the
United States mail, postage prepaid, certified mail , return receipt requested, and addressed to the
party to whom notice is to be given, as follows :
