As you may know, Encana Oil & Gas (USA) Inc. ("Encana") recently announced that the closing of the sale of its
DJ Basin assets to Crestone Peak Resources ("Crestone") will be postponed to the second quarter of 2016. The
material terms of the transaction, including the purchase price and the effective date of April 1, 2015, remain
unchanged, and Encana and Crestone remain committed to closing the transaction.
Encana has received your consent to the assignment from Encana to Crestone. The delay in the closing date of the
transaction does not affect the validity of your consent to assign; your consent to assign continues in full force and
effect despite the delay in the closing date.
