Payor shall be notified, in writing, of any change in ownership, decimal interest, or payment address. All such changes
shall be effective the first day of the month following receipt of such notice.
Payor is authorized to withhold payment pending resolution of a title dispute or adverse claim asserted regarding the interest in
production claimed herein by the undersigned. The undersigned agrees to indemnify and reimburse Payor any amount attributable to
an interest to which the undersigned is not entitled.
Payor may accrue proceeds until the total amount equals $50.00, or pay yearly whichever occurs first, or as required by applicable
state statute.
This Division Order does not amend any lease or operating agreement between the undersigned and the lessee or operator or any other

Pugh Clause: In the event Lessor permits the land herein leased to be included within a
communitization or unitization agreement...when only a portion of the land
under this lease is committed by an agreement, Lessor may segregate the land
and issue a separate lease for each portion not committed thereunder; the term
of such separate lease shall be limited as to the original term of this
lease...Non-producing leases shall terminate on the first anniversary date of the
lease following the termination date of the unit or part thereof modifying the
lease, but in no event prior to the end of the primary term or the extension term
of the lease
Special Provisions: Numerous Special Provisions, including but not limited to the following:
ROYALTY PROVISIONS:
D. At the option of Lessor, and with sixty (60)days' notice to Lessee, Lessor
may take its royalty oil in kind...with sixty(60)days' notice to Lessee, Lessor
may cease taking oil royalty in kind.
G. In the event Lessee enters into a gas purchase contract which contains what
is commonly referred to as a"take or pay provision"...and the purchaser under
such gas purchase contract makes payment to the Lessee by virtue of such
purchaser's failure to take delivery of such minimum volume or quantity of
gas,then Lessor shall be entitled to twenty-five percent(25%)of all such sums
paid to Lessee or producer under the "pay" provisions of such gas purchase
contract.
H. Recovery of Liquid Hydrocarbons: Lessee agrees that before any gas
produced from the Leased Premises is used or sold off the Leased Premises, it
will be run, free of cost to Lessor,through an adequate oil and gas separator of
a conventional type or equipment at least as efficient to,the end that all liquid
hydrocarbons recoverable from the gas by such means will be recovered on the
lease and Lessor properly compensated therefor.
J.Effect of Division Order:The terms of th is Lease may not be amended by any
division order and the signing of a division order by any mineral owner may not
be made a prerequisite to payment of royalty hereunder.
3. LESSOR'S ACCESS TO LEASE PROPERTY AND RECORDS:
A. Lessor may have access to all books and production records and shall be
retained by Lessee for a period of not less than five(5)years
B. Access to Premises: Lessor shall have free access,at all times, to all wells,
tanks, and other equipment on the Leased Premises, including drilling wells,

and Lessee agrees to furnish Lessor, or Lessor's nominee, currently and
promptly, upon written request, with full well information including cores,
cuttings, samples, logs(including Schlumberger and other electrical logs)...
D. Lessee to Advise Regarding Well Status: Lessee shall advise Lessor, in
writing of the location of all wells drilled upon the Leased Premises on or
before thirty(30)days prior to commencement of operations, and shall advise
Lessor, in writing, the date of completion and/or abandonment of each well
drilled within thirty(30)days after completion or abandonment.
9. ASSIGNMENTS:
A. Fee for Assignments: Lessee, upon payment of a $100.00 fee and prior
written consent of Lessor (which shall not be unreasonably withheld), shall
have the right to assign the entire leasehold interest of said Lessee in all or part
of the land covered hereby.
C. Lessee to Notify: Lessee shall notify Lessor of all assignments of undivided
percentage or other interests.
10. OVERRIDING ROYALTY: Any and all reservations or assignments or
overriding royalties shall be subject to approval by Lessor. The total of said
overriding royalties shall not exceed five percent (5%), unless certain
conditions of production are met
11. OFFSET WELLS: Lessee agrees to protect the leased land from drainage
by offset wells located on adjoining lands not owned by Lessor, when such
drainage is not compensated for by counter-drainage.
18: NOTIFICATION: Lessee shall notify Lessor and the surface lessee or
surface owner of the location of each drillsite at least two weeks prior to
commencing drilling operations thereon. Lessee shall notify Lessor before
commencing to plug and abandon any well by copy of Lessee's request for
approval or sundry notice of intent to plug and abandon.
19. BONDS: No operations shall be commenced on the land hereinabove
described unless and until Lessee shall have filed a good and sufficient bond
with Lessor, in an amount to be fixed by Lessor, to secure the payment for
surface damages as may be caused by Lessee's operations.
24. EXTENSION: Lease may be extended at the written request of Lessee,
however,no lease term will be extended for more than six months,subject to an
additional bonus and delay rental.

25.HOLD HARMLESS:Lessee shall indemnify Lessor against all liability and
loss,and against all claims and actions, including the defense of such claims or
actions, based upon, or arising out of, damage or injury, including death, to
persons or property caused by, or sustained in connection with, operations on
this leased Landor by conditions created thereby, or based upon any violation
of any statute,ordinance, or regulation.
31.WARRANTY OF TITLE: Lessee shall allow Lessor access to abstracts and
title papers, and all abstracts of title obtained by Lessee covering the subject
lands shall become the property of,and be delivered to, Lessor after Lessee has
completed its title examination and curative work...
33. SURVEYS, ABSTRACTS, TITLE OPINIONS AND CURATIVE
WORK:
A. If Lessee shall cause any of the exterior or interior lines of the property
covered by this lease to be surveyed, Lessee shall furnish Lessor a copy of such
survey.
B. Lessor shall have access to said abstract at any reasonable time. In the event
Lessee shall cause the title to be examined or should obtain a title opinion or
title certificate upon the property herein leased, Lessee agrees to furnish Lessor
a copy or photostatic copy thereof within a reasonable time of receipt of the
same by Lessee with the understanding that neither Lessee nor the attorney or
firm of attorneys rendering the opinion shall be responsible to Lessor for its
correctness

b. The mineral estate owned by David Lee Bernhardt as Trustee of the David Lee Bernhardt
Consolidated Trust and Timothy Alan Bernhardt, Trustee of the Timothy Alan Bernhardt
Consolidated Trust in Tracts 1B, 1C,2B, 3B,3C,4B,5B, 5C, 5D;
c. The mineral interest owned by Timothy Alan Bernhardt, not personally but as Trustee on
behalf of Timothy Alan Bernhardt Consolidated Trust in Tracts 1B, 1C, 2B, 3B, 3C, 4B, 5B, 5C,

Each of these security instruments may contain Assignment of Rents and Proceeds provisions which may
impact the manner in which royalty proceeds are paid. The Deeds of Trust encumbering the interests of
PDC Energy, Inc., States Royalty Limited Partnership LLC, and Bayswater Blenheim Holdings II, LLC,
also include an assignment of production provision which directs that, upon written request from the
Mortgagee, purchasers of oil, gas, and other hydrocarbon substances shall pay production proceeds to the
Mortgagee. We assume that you are familiar with the terms and conditions set forth in these security
instruments.
Requirement: Each of the above identified Deeds of Trust which are superior to Oil and
Gas Leases should be subordinated to the respective Lessor's interest in the identified Oil
and Gas Leases. In addition, prior to making distributions of production proceeds to the
above-named parties owning an interest in encumbered mineral estates, either secure
written instructions from the Mortgagee allowing payment of such proceeds directly to
the above-named parties or list the Mortgagee in the Division Order along with the
appropriate named Mortgagor and obtain the Mortgagee's signature thereon. In the event
you obtain an easement or right-of way from any of the Mortgagors identified in the
Deeds of Trust described in Attachment No. 1, you should have the secured creditor
execute the easement or right-of-way along with the respective surface owner. You
should also confirm that the proceeds of production attributed to any wells located on the
Captioned Lands or pooled therewith are distributed to PDC Energy, Inc. according to the
terms set forth in the above identified security instrument.
REQUIREMENT No. 9: (Ownership of the Mineral Estate underlying a 30 foot wide strip of land in the
NW/4SW/4 of Section 6, T4N-R66W, Tract 3F; and the E/2SE/4 of Section 1, T4N-R67W, Tracts 9B, 9D,
and 10B) James A. Daniels owned 100.00% of the surface and mineral estate in the NW/4SW/4 of the
subject Section 6(Tracts 3A through 3F),and the East three rods(i.e.,49.5 feet)of the SE/4 of the subject

Section 1 (Tracts 9B, 9C, 9D, 10B and 10C). By Quit Claim Deed dated January 24, 1907, recorded on
March 30, 1907 at Reception No. 118387 (the "Daniels Deed"), James A. Daniels conveyed to Weld
County, Colorado all of his interest in the following parcels:
A strip of land 30 feet in width lying and being along the East side of the following
described line: Commencing at a point 49 '/2 feet West of the Southeast corner of the
SE/4 of Section 1, Township 4 North, Range 67 West thence running due North about
4900 feet to a point, about 49 %2 feet West of the East line of said Section 1 and about 380
feet South of the North line thereof.
Also, a strip of land 60 feet in width commencing at a point about 380 feet South of the
North line of the S/2 of Section 1, Township 4 North, Range 67 West, and about 49 1/2
feet West of the East line of said Section 1; thence in a Northeasterly direction through,
over, and across the Northeast corner of the SE/4 of Section 1, Township 4 North, Range
67 West, and through the Northwest corner of the SW/4 of Section 6, Township 4 North,
Range 66 West, to a point about 400 feet East of the Northwest corner of the SW/4 of
said Section 6.
The lands described in the first paragraph of the legal description above encompass the West 30 feet of
the East three rods of the SE/4 of Section 1 (Tract 9B—as to the NE/4SE/4 of Section 1, and Tract 10B—
as to the SE/4SE/4 Section 1), as well as a diagonal strip across the East 19.5 feet of the NE/4SE/4 of the
subject Section 1 (Tract 9D). The lands described in the second paragraph of the legal description above
encompass a small strip of land traversing the NW/4SW/4 of the subject Section 6 in a northeasterly
direction (Tract 3F). The Weld County Assessor's Property Information Website indicates that these
strips of land are currently an unimproved road in Weld County. The Daniels Deed discussed above does
not contain a mineral reservation and has no language of limitation on its face that could be construed as a
conveyance of a right-of-way only, or anything less than a fee simple conveyance. The materials
examined contain no further conveyances of these tracts from Weld County to any other party.
However, information in the materials examined indicates that since the Daniels Deed in 1907,ownership
of the Section 1 Parcel (Tracts 9B, 9D and 10B) has been treated differently than the Section 6 Parcel
(Tract 3F), even though these parcels were created in the same conveyance. The Section 6 Parcel (Tract
3F) is approximately 0.73 acres, has been held out as a separate parcel in the chain of title, and has been
subject to Oil and Gas Leases executed by Weld County as Lessor. The first Lease, dated October 10,
1986, recorded in Book 1139 at Reception No. 2081864, was executed by Weld County, Lessor, to
Conquest Oil Company, Lessee ("the Conquest Lease"). This lease was held by production from the
Bernhardt 13-6 Well in the SW/4SW/4 of the subject Section 6. The pay decks PDC provided to the
undersigned for the Bernhardt 13-6 Well indicate that Weld County was paid as a royalty interest owner
under this lease. The Bernhardt 13-6 Well has subsequently been plugged and abandoned and the
Conquest Lease has expired. Subsequently, appearing of record at Reception No. 3957352 is a Weld
County Small-Tract Oil and Gas Lease dated July 17, 2013, from Weld County, Colorado, Lessor, to
LoneTree Energy & Associates, LLC, Lessee, which Lease was subsequently assigned to PDC at
Reception No. 3959869("the PDC Lease"). The land description in the PDC Lease is specifically limited
to the lands described in the Daniels Deed, insofar and only insofar as the lands are located in Section 6,
T4N-R66W. Furthermore, the Oil and Gas Leases taken from the successors in interest to James A.
Daniels covering the surrounding Tracts 3A and 3B in the NW/4SW/4 of Section 6, recorded at Reception
Nos. 3914262, 3914263, 3914264, 3914265, 3914266, 3914267, 3920473, 3920474, 3920475, 3922981,
3921181, 3924710, 3922982, 3957511 ("the Section 6 Leases"), specifically exclude from their legal
descriptions the lands in that Quitclaim deed recorded in Book 250 page 79,the Daniels Deed.
