Buchanan, and Scotia Gas, Ltd, whose mailing address is P. O. Box 1170, Crestone, CO 81131 herein known as ("Assignor"), whether one or more, for and in consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, does hereby bargain, sell, transfer, assign, convey and deliver unto Incline Niobrara Partners, LP, whose mailing address is 5019 N. Central Expressway, Dallas, TX 75205 herein known as ("Assignee"), with all faults and defects all of Assignor's right, title and interest in and to the following oil and gas leases ("Leases") described on Exhibit "A" attached hereto, hereby assigning all of the Assignor's assets located in the Subject Lands described on Exhibit "B" whether or not said interests are actually detailed on Exhibit "A". TO HAVE AND TO HOLD unto Assignee, its respective heirs, successors, legal representatives and assigns forever, subject however, to the below terms, conditions and obligations. 1. Assignor will execute and deliver all such other and additional instruments, notices, releases, and other documents and will do all such other acts as may be necessary to more fully assign to Assignee or its successors or assigns all of the respective rights and interests. 2. This Assignment is expressly made subject to the terms and conditions of said leases, as well as all royalties, overriding royalties and other similar payments with which said leases have heretofore been burdened. Assignee, to the extent of the interests herein assigned, shall be obligated to bear its prorate share of such lease terms, conditions and obligations. 3. This Assignment is made without warranty of title, either expressed or implied. 4. In the event Assignee elects not to pay any lease rental payment, minimum royalty, or option payment due under the terms of any Lease, Assignee shall notify Assignor not less than ninety (90) days prior to the date such lease rental payment is due. At the request of Assignor, Assignee shall immediately assign all of its right, title and interest in such Lease to Assignor, which assignment to Assignor shall be free and clear of any liens, leasehold burdens, encumbrances or adverse claims created by Assignee. 5. This Assignment and all the terms and provisions hereof shall be binding upon and inure to the benefit of the parties hereto, their respective legal representatives, successors and assigns. a.o l ko - 3`i 3ct LEoo �3 4203763 05/16/2016 01:15 PM Page 2 of 11 6. This Assignment may be executed in several counterparts and all of such counterparts together shall constitute one and the same instrument. 7. This Assignment is subject to that certain Letter Agreement, dated May 12, 2016, by and between Assignor and Assignee.
