Dear Mr. Ogle:
This letter is a notification that the West Half of the Northwest Quarter of Section 13, Township 10
North, Range 61 West of the Sixth Principal Meridian, Weld County, Colorado, excepting therefrom that
part more particularly described as Lot A of Recorded Exemption No. 0291-13-2 RECX14-0095, recorded
at Reception No. 4073131 of the records of Weld County, Colorado has transferred ownership from
Grassland Water Solutions LLC to Centennial Water Pipelines LLC. Centennial Water Pipelines LLC is a
wholly -owned subsidiary of Sterling Energy and specializes in providing water delivery services to
support exploration and production requirements.
The property described above is associated with the approved site specific development plan and
amended use by special review permit USR12-0077 (formerly USR-1787). I'd like to ensure the use by
special review permit records are updated in accordance with this transfer of ownership.

SPECIAL WARRANTY DEED
This Special Warranty Deed ("Deed"), effective as of November 30, 2016, at 11:59 p.m.
Mountain Time ("Effective Time"), is made and given by Grassland Water Solutions LLC, a
Delaware limited liability company ("Grantor"), whose address is 3003 E. Harmony Rd., Suite
300, Fort Collins, CO 80528, for the benefit of Centennial Water Pipelines LLC, a Delaware
limited liability company ("Grantee"), whose address is 1200 17th Street, Suite 2050, Denver,
Colorado 80202.
For and in consideration of the sum of ten dollars cash in hand paid and other good and
valuable consideration, the receipt and sufficiency of which Grantee acknowledges by its
acceptance of this Deed, Grantor hereby SELLS, CONVEYS, GRANTS, TRANSFERS,
ASSIGNS, and DELIVERS to Grantee all of Grantor's interest in and to the following described
lands, water, and water rights located in Weld County, Colorado (the "Lands and Water
Rights"):

Grantor's rights to ground water within the Laramie -Fox Hills and Upper Laramie
aquifers underlying that portion of the real property in Weld County, Colorado,
described in Exhibit A attached hereto that is within the present boundaries of the
Upper Crow Creek Designated Ground Water Basin, including but not limited to
water rights that are subject to well permit numbers 76769-F, 76774-F, 76773-F,
76772-F, 76771-F, 76770-F, 76767-F, and 76768-F, with State of Colorado
receipt numbers 3655523C, 3656623H, 3656623G, 3656623F, 3656623E,
3656623D, 3656623A, and 3656623B, and the respective November 2, 2012
Findings of the Colorado Water Commission for said permits, excepting
therefrom any rights to ground water within the Laramie -Fox Hills and Upper
Laramie aquifers underlying that portion of the real property described as Lot A
of Recorded Exemption No. 0291-13-2-RECX0095, recorded at Reception No.

TO HAVE AND TO HOLD the Lands and Water Rights unto Grantee, its successors and
assigns forever, together with all and singular the hereditaments and appurtenances thereto
belonging, or in any wise appertaining, including rights of ingress and egress, and all the estate,

Lands and Water Rights by, Grantee, its successors and assigns, against all and every person or
persons lawfully claiming or to claim the whole or any part thereof BY, THROUGH, OR
