Dear Stockholder,
The annual meeting of stockholders for the Lupton Meadows Ditch Company has been
set, the meeting will be held at the River Garden Winery in Ft Lupton, Colorado, 9490 CR 25
(just North of Rd 20 on the East side of RD 25) on Tuesday the 17th of January 2017. The
meeting of the Lupton Meadows Ditch Company will be beginning at 3 pm and the Lupton
Bottom meeting to begin on adjournment of the Meadows. Due to the close ties between the
companies the Boards of both companies have once again decided to invite all stockholders to sit
in on both meetings, any votes will be by company stockholders only. The meetings shall be for
the election of directors and such other business as may properly come before this meeting. The
Board and the Company would like to encourage you as a stockholder in this company to make
every attempt possible to attend and participate.
There will be a vote to amend the Certificate of Incorporation of The Lupton Meadows Ditch
Company, last year it was approved to trade our 4 shares in the Meadow Island 2 Ditch for the 41
shares of the Lupton Meadows Ditch that were delivered under the Meadow Island 2 system, that
trade has been accomplished with the said 41 shares now back within the company as treasury
shares. That being said we need to complete this by removing the forth sentence under Article 2
of the Certificate of Incorporation which reads: (Also four (4) shares of the capital stock of The
Meadow Island Ditch Company No. 2, incorporated under the laws of the State of Colorado.)
Due to this imnortNt vote the Board would also ask that you PLEASE take a moment to fill out
the enclosed proxy form and return it, if you are present your proxy will not be used, in the past
there has been times when we could not declare a quorum.
PS: There will be two director positions up for election to a 3 -year term, Bruce Wilson and
Ritchie Pyeatt are the incumbents and would like to serve again. We are always looking for new
interested applicants to serve so feel free to ask anyone about serving as a director.
