TEMPORARY SURFACE EASEMENT AND RIGHT-OF-WAY GRANT
FOR AND IN CONSIDERATION of the sum of Five Hundred Dollars ($5()0.00), the
receipt of which is hereby acknowledged. Cannon Land Company, whose mailing
address is 3575 East Cherry Creek North Drive, Denver, CO 80209, ("Grantor") hereby
grants unto Encana Oil cX Gas (USA) Inc. of 3.70 17'h Street. Suite 1700, Denver,
Colorado 80202_ its affiliates, successors and assigns ("Grantee"), a non-exclusive
temporary surface easement and right-of-way (€he 'Easement") for the use, maintenance
and installation of equipment (including electrical lines). fencing, and placement of a
mobile office building on the lands in Weld County, Colorado, heiugg generally described
as follows and more specifically described on the attached Exhibit "A" (the "Easement
Lands"):

Section 9: SENE
IT IS UNDERSTOOD AND AGREED BETWEEN THE PARTIES AS FOLLOWS:
I . This Temporary Surface Easement and Right--Of-Way. Grant (this
"Agreement") will expire on February 1, 2021 (the "Initial Term"). The
Initial Term may be extended .for an additional five (5) year term provided
both parties agree to the extension in writing prior to expiration of the Initial
Term (such Initial Term and any extension may be referred to as the "Term.").
Within a reasonable period of time after expiration of the 'I errn, Grantee shall
remove arty and all structures and appurtenances placed on the surface of the
Easement under the terms of this Agreement and reclaim the Easement
pursuant to paragraph 4 below.
Grantor further grants and conveys unto Grantee the right of unimpaired ingress
and egress on, over, across and through the Easement ].:ands for all purposes
necessary or incidental to the exercise of the rights herein granted, with the
further right of entry to maintain the Easement herein granted. clear of trees,
undergrowth, brush, structures, and any other items. to the extent Grantee deems
necessary in the exercise of the rights granted herein. Grantee shall not he liable
for damages caused by keeping said Easement clear of trees, undergrowth,
brush, structures, or any other obstructions.
;. Grantee shall, at its expense, keep the lands subject to the Easement granted
herein free and clear of all liens and encumbrances resulting from Grantee's and
its' agents' activities on said lands, and shall indemnify and hold harmless
Grantor from and against any such liens or encumbrances. Grantee shall be
responsible for arty and all taxes, fees, and/or other costs associated with
Grantees added appurtenances to the Easement /:ands regardless if they are
permanent or temporary.

4. At the time of any excavation, Grantee shall separate the top soil so that the top
soil and subsurface soil may be placed back in proper order as nearly as possible..
Following surface disturbance and at the. end of the term, Grantee shall reclaim
any disturbed Easement Lands as nearly as practicable to their original
condition. If the location is in pasture. Grantee shall reseed the location with
native :gasses. Weather permitting, reclamation operations shall be completed
within three (3) months following expiration of this Agreement unless Grantor
and Grantee mutually agree to postponement because of crop or other
considerations.

6. This Agreement shall be binding upon the successors. and assigns of Grantee
and Grantor and shall be a covenant running with this land.
