On February 11, 2015, Weld County granted to Rocky Mountain Hydrocarbon, LLC an Oil and Gas
Lease covering the lands described on Exhibit "A" attached hereto (the "Lease"). Rocky Mountain
Hydrocarbon, LLC subsequently assigned the Lease to Kerr-McGee Oil & Gas Onshore LP on June
10, 2015 by Assignment of Oil and Gas Lease recorded at Reception No. 4118605 in the Weld
County Records.
Pursuant to Paragraph 9 of the Lease, Kerr-McGee Oil & Gas Onshore LP requests your consent to
the assignment in the following proportions:

THAT THE UNDERSIGNED, ROCKY MOUNTAIN HYDROCARBON, LLC whose address 1738
Wynkoop Street, Suite 102, Denver, Colorado 80202 (hereinafter called "Assignor"), for and in consideration
of Ten Dollars ($10.00), and other good and valuable consideration, the receipt whereof is hereby
acknowledged, does hereby sell, assign, transfer and set over to KERR-MCGEE OIL & GAS ONSHORE LP
(hereinafter called "Assignee"), all of Assignor's right, title and interest in and to the oil and gas lease(s)
Attached as Exhibit "A" (the "Leases"). This Assignment is made without warranty of title express or implied.
TO HAVE AND HOLD unto the said Assignee, its successors, legal representatives and assigns forever.
EXECUTED this 10th day of June, 2015, but effective for the purposes set forth herein as of the date of the
subject Leases such that Assignee shall have precisely the same rights as if they had been the original Lessee of
said Leases.
