Please return an original copy to me so I can provide it to DCP for their records. This agreement covers the relocation of DCP facilities which are located along the CR 47 corridor. There are several pipelines and other facilities in the vicinity of CR 64.5 and CR 66 which have to be relocated by DCP. The County will reimburse DCP for the relocation costs associated the areas where our ROW of way was purchased over the top of an existing DCP easement. DCP will pay for all costs associated with any relocations that have to occur in or under the County's existing ROW and any relocations occurring in their own easements. There are approximately 6 locations which the County will have to pay for. The reimbursements will be based on actual costs. WITNESSETH: WHEREAS, County is constructing safety improvements on Weld County Road 47 (WCR 47), which includes the expansion of the travelled portion of the roadway and the public road right-of-way (ROW) (which project shall be referred to herein as the "WCR 47 Expansion Project" or "Project"), and WHEREAS, this Agreement is designed to supersede any rights between the parties as it relates to the placement of DCP's pipelines and facilities in the WCR 47 ROW, and WHEREAS, DCP owns and operates certain pipelines and facilities, some of which are located in the WCR 47 ROW, and some of which are located in permanent easements outside the ROW, and WHEREAS, DCP has agreed to relocate or abandon, at its sole expense, its energy pipelines and facilities located in the Current WCR 47 ROW, into permanent easements purchased by DCP, which are to be located outside the Current and Future ROW, and WHEREAS, County has agreed to relocate or abandon, at its sole expense, DCP's energy pipelines and facilities located in permanent easements that are also in the future ROW, into permanent easements purchased by the County, which are to be located outside the Current and Future ROW, and WHEREAS, the Parties agree to share costs related to the relocation and abandonment of DCP's pipelines and facilities which are in some cases, located outside the Project corridor, for the mutual financial benefit of both Parties, as specified herein, and NOW, THEREFORE, in consideration of the covenants contained herein and the agreements of the parties to be performed hereunder, and upon the conditions herein stated, the parties agree as follows. 1. RESPONSIBILITY FOR COSTS. DCP shall be solely responsible for all costs associated with the relocation or abandonment of DCP facilities or pipelines located in the Current ROW, including the acquisition of any necessary permanent easements. County shall be solely responsible for all costs associated with the relocation or abandonment of DCP facilities or pipelines currently located in permanent easements outside of the Current ROW, including the acquisition of permanent easements for DCP's benefit in a form agreeable to DCP, which approval shall not be unreasonably withheld. Nothing herein shall preclude the parties from negotiating changes to this responsibility for costs on a case -by -case basis, as long as such changes are expressly agreed to in writing, for the benefit of both parties. If a change in responsibility for costs is not clear, the responsibility for costs as outlined in this paragraph shall apply. County shall only be responsible for DCP's actual costs. DCP shall invoice the County for costs actually incurred after the relevant work has been completed. EXHIBITS. a. Exhibit A (Summary of Cost Distribution - Mile by Mile) provides details of which Party is responsible for specified costs as outlined on a mile -by -mile basis. b. Exhibit B (Relocation Diagram) provides details of which DCP facilities and pipelines will be relocated or abandoned, on a mile -by -mile basis. Notwithstanding what is shown in Exhibits A and B, if it is determined, by field locates or otherwise, that a facility or pipeline is actually located in the Current ROW, DCP shall be responsible for associated costs under this Agreement. Likewise, if it is determined that a facility or pipeline is actually located outside the Current ROW in a permanent easement, County shall be responsible for associated costs under this Agreement. In the event a DCP facility or pipeline is located both within the Current ROW and outside the Current ROW, the Parties will negotiate an equitable distribution of costs based on amount of lineal feet located within or outside of the ROW. 3. RIGHT OF WAY. a. CURRENT RIGHT OF WAY. Current Right-of-Way/ROW refers to the ROW located adjacent to WCR 47 as it existed prior to the acquisition of any additional ROW by the County related to the Weld County Road 47 Corridor Expansion Project (the "Road Project"). b. FUTURE RIGHT OF WAY. Future Right-of-Way/ROW refers to ROW in addition to Current ROW which County has acquired as necessary or appropriate for the Road Project. 4. REMOVAL OF PIPELINE FROM CURRENT AND FUTURE RIGHT OF WAY. DCP agrees to remove or if appropriate abandon with County approval, all energy pipelines within the Current and Future ROW, according to a mutually agreeable schedule. Such schedule shall be mutually agreed upon by County and DCP. DCP is responsible for removal costs for all DCP facilities located within the Current ROW. County anticipates that DCP removals of any pipelines within the Current and Future ROW will occur concurrently with the sub -grade work being performed by the County's contractor. In areas where pipelines are being removed from the Current and Future ROW, DCP will not be responsible for compaction requirements if they are working in conjunction with the County's contractor. 5. ABANDONMENT OF PIPELINE. For any pipeline which is scheduled for relocation, the County shall, upon specific request of DCP, determine in writing, in its sole discretion, whether pipeline may be abandoned in place or shall be removed. Any portion of pipeline which is approved for abandonment in place shall be flash filled (100% of pipe diameter) with flash fill mix resin approved in advance by County, or abandoned in an alternate manner approved by the County Engineer's office. County personnel shall inspect the relevant portion of abandoned pipeline to verify compliance. 6. RELOCATION/CONSTRUCTION OF NEW PIPELINE UNDER ROADWAY. DCP may relocate/construct energy pipeline(s) under the roadway within the WCR 47 ROW as described with specificity in Exhibits A and B. Any such relocation must be completed according to the mutually agreed upon schedule as described in Section 4, above. a. Prior to Project paving, all pipelines installed perpendicular to and under the road and any roadside ditch shall be installed a minimum of five (5) feet deep below the lowest flow line of said roadside ditch along the alignment of the pipeline, or a minimum of five (5) feet below the lowest point of riprap installed in the roadside ditch, or a minimum of five (5) feet below the bottom of any cutoff wall. DCP may trench such line, but in such case DCP shall be financially responsible to remediate any grade preparation work that has already been performed at such location, if any, and which is disturbed by DCP's installation of the pipeline. b. After Project paving has been installed at the relevant location, all pipelines smaller than twenty- four (24) inches in diameter installed perpendicular to and under the road and any roadside ditch M:\Active Projects\Strategic Corridor\WCR 47 Corridor WCR60.5 to SH392\Design\Utilities\DCP\CR 47 Agreement with EX A 8-12-17.docx Page 2 of 35 shall be installed a minimum of fifteen (15) feet deep beneath the crown of the roadway. Once Project paving has occurred, no road cuts will be permitted for any reason. All pipelines that must cross under the road after Project paving has occurred must be bored. Boring diameters greater than twenty-four (24) inches shall be coordinated with Weld County Public Works. c. DCP shall be required to obtain a ROW Permit for any work in the ROW. 7. COOPERATION. DCP shall cooperate with County to ensure that the Road Project is not delayed due to any action taken by DCP pursuant to this Agreement. 8. LIQUIDATED DAMAGES. Both parties expressly recognize that DCP's failure to comply with the timelines required herein may result in substantial financial damages to County, which are impossible to determine at this time. Therefore, in an effort to compensate the County for such damages, and not to punish DCP in any way, the parties agree that: a. In the event that DCP fails to relocate or abandon pipeline in place according to this Agreement and the schedule agreed upon as described in Section 4, the County shall provide DCP with at least 14 days' notice to comply with the schedule. In the event DCP fails to comply with the schedule within such 14 -day period, DCP shall be required to compensate the County for 100 percent of any costs passed through from the contractor as a result of delays caused by DCP, unless abandonment has been authorized by County pursuant to paragraph 5. 9. FORCE MAJEURE. a. Suspension of Performance. If either party is rendered unable, wholly or in part, by Force Majeure to carry out its obligations under this Agreement, other than to make payments due, the obligations of that party, so far as they are affected by Force Majeure, will be suspended during the continuance of any inability so caused, but for no longer period, and any deadline(s) set forth herein related to such obligations shall be extended by the period of such suspension. b. Force Majeure Definition. "Force majeure" means fire, explosion, action of the elements, strike, interruption of transportation, rationing, shortage of labor, equipment, or materials, court action, illegality, unusually severe weather, act of God, act of war, or any other cause that is beyond the control of the party performing work on a design -build transportation or utility relocation project and that could not have been prevented by the party while exercising reasonable diligence. 10. INDEMNIFICATION. Except for the negligence of County, DCP shall indemnify and save harmless County, its successors, assigns, employees, and agents from any damage or loss sustained by them or any of them to the extent caused by DCP's negligence with respect to the maintenance and/or use of the ROW. Except for the negligence of County, DCP agrees to protect County and save and hold it harmless from any and all third party claims and damages that said maintenance and/or use may directly or indirectly cause to the extent attributable to the negligence of DCP. DCP hereby releases County, its successors, assigns, employees, and agents from any and all claims and damages of whatsoever character to said ROW by DCP resulting from any act, either on the part of the County or on the part of any third party, except for claims and damages caused by the gross negligence or willful misconduct of County. 11. ASSIGNMENT. Other than assignments in connection with the mortgage or sale of all or substantially all of the DCP's assets or equity interests in DCP, or to a subsidiary or parent company of DCP, for which no consent shall be required, DCP shall not assign any or all of its rights under this Agreement without first obtaining written consent to such assignment from County, which consent shall not be unreasonably withheld. 12. ENTIRE AGREEMENT. The parties hereby agree that neither has made or authorized any agreement with respect to the subject matter of this instrument other than expressly set forth herein, and no oral M* -Active Projects\Strategic CorridorAA/CR 47 Corridor WCR60.5 to SH392\Design\Utilities\DCP\CR 47 Page 3 of 35 Agreement with EX A 8-12-17.docx representation, promise, or consideration different from the terms herein contained shall be binding on either party hereto, or its agents or employees. This Agreement embodies all agreements between the parties hereto and there are no promises, terms, conditions, or obligations referring to the subject matter whereof other than as contained herein. 13. SEVERABILITY. If any term or provision of this Agreement, or the application thereof to any person or circumstances shall, to any extent, be held invalid or unenforceable, the remainder of this Agreement, or the application of such terms or provisions, to a person or circumstances other than those as to which it is held invalid or unenforceable, shall not be affected, and every other term and provision of this Agreement shall be deemed valid and enforceable to the extent permitted by law. 14. NO WAIVER. No portion of this Agreement shall be deemed to constitute a waiver of any immunities the parties or their officers or employees may possess, nor shall any portion of this Agreement be deemed to have created a duty of care which did not previously exist with respect to any person not a party to this Agreement. 15. NO THIRD -PARTY BENEFICIARY. It is expressly understood and agreed that, except for those provisions which by their nature are intended to benefit the County's contractor, the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 16. GOVERNMENTAL IMMUNITY. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended. 17. BOARD OF COUNTY COMMISSIONERS OF WELD COUNTY APPROVAL. This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County, Colorado or its designee. 18. CHOICE OF LAW/JURISDICTION. Colorado law, and rules and regulations established pursuant thereto, shall be applied in the interpretation, execution, and enforcement of this Agreement. Any provision included or incorporated herein by reference which conflicts with said laws, rules and/or regulations shall be null and void. In the event of a legal dispute between the parties, DCP agrees that the Weld County District Court shall have exclusive jurisdiction to resolve said dispute. 19. ATTORNEYS FEES/LEGAL COSTS. In the event of a dispute between County and DCP, concerning this Agreement, the parties agree that each party shall be responsible for the payment of attorney fees and/or legal costs incurred by or on its own behalf 20. BINDING ARBITRATION PROHIBITED. Weld County does not agree to binding arbitration by any extra -judicial body or person. Any provision to the contrary in this Agreement or incorporated herein by reference shall be null and void. 21. NOTICE. Any notice required by this Agreement shall be delivered by: (a) personal service, as authorized by the Colorado Rules of Civil Procedure; (b) overnight delivery by a nationally recognized courier service; or (c) certified or registered mail, return receipt requested (which shall be deemed delivered three (3) days after deposit in the U.S. Mail), addressed to: M* -Active Projects\Strategic Corridor\WCR 47 Corridor WCR60.5 to SH392\Design\Utilities\DCP\CR 47 Agreement with EX A 8-12-17.docx Page 4 of 35 WELD COUNTY: 1150 "O" Street P.O. DCP shall be responsible for determining if the lines identified below are in conflict with the CR 47 design. If the lines are in conflict, they shall be relocated and if reimbursement is authorized will be paid for by Weld County. Lines identified as FA are eligible for relocation reimbursement if they are relocated or removed. Reimbursement is meant to include costs associated with pipeline lowering, damages suffered by fee owners as a result of re -boring, and the acquisition of additional temporary workspace needed outside of the ROW and temporary construction easeaments. Lines identified as NFA are not eligible for relocation reimbursement and shall be relocated or removed at DCP's cost if relocation is necessary. Between Weld County Road (WCR) 60.5 and WCR 62 • There does not appear to be any gas pipelines located in this segment of roadway. Between WCRs 62 and 64: • DCPM-G-101 C-04 (NFA) — DCP gas pipeline on LDS property (east of CR 47) crosses west under CR 47 into the existing ROW and then travels north within the Current ROW to WCR 64 under the existing roadway. This pipeline is to be relocated or removed at DCP's cost. • DCPM-G-302-04 (NFA) to be removed within the Current ROW. • DCPM-G-301-04 (NFA & FA) to be removed within the Current ROW. A portion of DCPM-G-301-04 is located within the Future CR 47 ROW and is eligible for reimbursement. Between WCRs 64 and 64.5: • DCPM-G-101 B-04 (NFA) — DCP gas pipeline is located under the existing roadway. It goes north to WCR 64.5. This pipeline is to be relocated or removed at DCP's cost. • DCPM-G-209-03 (FA) — Based on survey data, it appears this pipeline is not in conflict with the project because it appears to be outside of Existing and Future ROW. If the pipeline is found to be in conflict with the Project, it is eligible for reimbursement because it is in a private easement. • DCPM-G-208-04 (FA) — Based on survey data, it appears this pipeline is not in conflict with the Project because it appears to be outside of Existing and Future ROW. If the pipeline is found to be in conflict with the Project, it is eligible for reimbursement because it is in a private easement. - • DCPM-G-207-12 (FA on the West side of CR 47 and NFA on the East side of CR 47) — Weld County to provide pothole information to DCP and DCP to verify if in conflict with the Project. If the pipeline is found to be in conflict with the Project on the West side of CR 47, the portion of the pipeline in the private easement will be eligible for reimbursement because the County is purchasing additional ROW over the private easement. If the pipeline is found to be in conflict with the Project on the East side of CR 47, it is not eligible for reimbursement because the County is not purchasing additional ROW over the top of the private easement. • DCPM-G-205-08 (FA on the West side of CR 47 and NFA on the East side of CR 47) — Weld County to provide pothole information to DCP and DCP to verify if in conflict with the Project. If the pipeline is found to be in conflict with the Project on the West side of CR 47, the portion of the pipeline in the private easement will be eligible for reimbursement because the County is purchasing additional ROW over the private easement. If the pipeline is found to be in conflict with the Project, it is eligible for reimbursement because it is in a private easement. • DCPM-G-203-04 (FA on the West side of CR 47 and NFA on the East side of CR 47) — Weld County to provide pothole information to DCP and DCP to verify if in conflict with the Project. If the pipeline is found to be in conflict with the Project on the West side of CR 47, the portion of the pipeline in the private easement will be eligible for reimbursement because the County is purchasing additional ROW over the private easement. If the pipeline is found to be in conflict with the Project on the East side of CR 47, it is not eligible for reimbursement because the County is not purchasing additional ROW over the top of the private easement. DCPM-G-106B-06V (FA) — Based on survey data, it appears this pipeline is not in conflict with the Project because it appears to be outside of Existing and Future ROW. If the pipeline is found to be in conflict with the Project on the West side of CR 47, the portion of the pipeline in the private easement will be eligible for reimbursement because the County is purchasing additional ROW over the private easement.
