The Highway Equipment Company has again offered to let Weld County use the Xzalt sander for this winter season at no cost to the County, same agreement as last year see attached document. What options exist for the Board? (Include consequences, impacts, costs, etc. of options) The Board may approve or deny the offer. Recommendation: Public Works recommends the approval of the offer. Any untrained operator must, at the participant's expense, travel to HECO or dealer for appropriate training prior to operation of machine. Participant agrees serve as a reference (public or private is acceptable). F0li the BEST Xzalt Test Plan Agreement Duration Use Insurance Route Description Test period is defined as October 1, 2017 through April 30, 2018. There will be no cost for the test period. Participant agrees to maintain insurance pursuant to the Self Insurance program provided to HECO. To the extent permitted by law, Participant agrees to indemnify and hold HECO harmless from any liability for losses, claims, injury to or death of any person, or for damage to property arising from Participant using and possessing the machine. HECO agrees to be liable for any damage caused to County Property due to failure or defect of HECO equipment. Replacement cost for the 14' Xzalt spreader and controller is S59,00.00. This price does not include freight charges, labor for PDI, mounting, etc. Participant and HECO determine set route for machine. See attached route map. Participant and HECO collect data from controller (see example). Comparative Data Participant provides comparative route data from 3 prior years spreading on determined route utilizing non-Xzalt precision application equipment. Access Participant allows HECO and/or dealer reasonable, unrestricted access to the machine and operator(s) for the purposes of data collection and interviews. End of Trial — Product Participant has opportunity to purchase this test unit from HECO-authorized dealer. Return Should participant choose not to purchase test unit, machine must be returned to HECO- authorized dealer in salable condition within 30 days of the end of the trial. Costs to return equipment to salable condition will be participant's responsibility, but shall only include costs attributable to damage caused by Participant. End of Trial — Product Participant has opportunity to purchase this test unit from HECO-authorized dealer, Purchase Warranty Upon purchase, a,13 -month manufacturer warranty against material defects due to faulty manufacturing will apply, subject to registration within 30 days of purchase. Termination of HECO reserves the right to terminate this agreement and remove equipment from Agreement Participant's operation at any time if operation is deemed unsafe according to HECO operators manual. HECO or Participant may terminate agreement if any conditions within the test plan are not satisfactorily met. Reference Participant agrees to serve as a reference for HECO Xzalt (either public or private). Agreed & accepted NOV 13 2017 /2 O2o/Lo - �J�aZv`Z RESOLUTION RE: APPROVE AGREEMENT FOR XZALT TEST PLAN AND AUTHORIZE CHAIR TO SIGN - HIGHWAY EQUIPMENT COMPANY WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for Xzalt Test Plan between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Highway Equipment Company, commencing upon full execution and with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for Xzalt Test Plan between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Highway Equipment Company be and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement.
