On August 22, 2017, PDC Energy, Inc. ("PDC") entered into an agreement for the sale of certain Oil and Gas
Leases in Weld County, Colorado to Kerr-McGee Oil & Gas Onshore LP ("KMG").
Pursuant to the terms of Oil and Gas Lease dated December 16, 2015 between Weld County, Colorado, a political
subdivision of the State of Colorado acting by and through the Board of County Commissioners of the County of
Weld, as Lessor, and PDC Energy, Inc., as Lessee, recorded in Weld County, CO at Reception No. 4178694,
PDC Energy, Inc., hereby requests your consent to assign this lease to KMG.
PDC respectfully requests your consent to assign this lease to KMG. Please properly execute this Letter in the
space provided below, and return one executed original to PDC at your earliest convenience.
In addition, please find enclosed a check for $100.00 made out to the Weld County Board of Commissioners,
which covers the assignment of lease fee set forth in Paragraph #09 of the above described Oil and Gas Lease.
Please acknowledge receipt of this check by signing and returning the enclosed Acknowledgment of Payment
form.
