RE: APPROVE POSSESSION AND USE AGREEMENT AND AUTHORIZE CHAIR TO SIGN
- FEIT FARMS 1, LLC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Possession and Use Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Works, and Feit Farms 1,
LLC, 1534 64th Avenue, Greeley, CO 80634, commencing November 1, 2017, with further terms
and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Possession and Use Agreement between the County of Weld, State
of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of
the Department of Public Works, and Feit Farms 1, LLC, be and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 26th day of April, A.D., 2017.

POSSESSION AND USE AGREEMENT
THIS AGREEMENT("Agreement")is made thia o17 and between Feit
y by
Farms 1 ITC, whose address is 1534 64th Avenue, Greeley, CO 80634 hereinafter referred to
as "Owner" and the County of Weld, a body corporate and politic of the State of Colorado, by
and through its Board of County Commissioners, hereinafter referred to as "County".
WHEREAS, Owner owns real property described in the attached Exhibits "A," "B," and
"C," hereinafter collectively referred to as "the Property," and
WHEREAS, County finds it necessary to rebuild and improve Weld County Road 47,
which will involve the realignment and construction of said road, utilities, and irrigation
facilities (hereinafter referred to as "Road Improvement Project"), and
WI IEREAS, County requires the Property in order to complete said Road Improvement
Project, and is in need of possession of the Property by November 1, 2017, and the Parties have
not yet agreed upon the form of the conveyance or the compensation to be provided to Owner,
and
WI IEREAS, Owner has agreed to grant possession of the Property to the County for the
Road Improvement Project.
NOW, THEREFORE, the Parties agree as follows:
! . In consideration of this irrevocable grant of possession, and the mutual promises and
covenants contained herein, County will tender the Owner the sum of Five Hundred
Twenty Five Thousand ($525,000.00) dollars at the time this Agreement. County shall
take possession of the Property for the purposes described in this Agreement on
November 1, 2017. It is agreed this sum shall be deducted from any final settlement
amount, award, or verdict, but in no event will any of the $525,000 be refunded to
County.
2. Owner represents to the best of its knowledge that the title to the Property is free and
clear of all monetary liens.
3 Owner agrees to grant possession of the Property to County on November 1, 2017.
4. As of the date of this Agreement, County agrees that Owner has relied on the fact that
the County has committed to condemn the Property and Owner has changed its position,
by commencing to replace some or all of the facilities located on the Property.
5. This Agreement is made with the understanding County will continue to negotiate in
good faith with Owner to acquire the interest in the Property. If the County continues to
negotiate in good faith and no settlement is reached within 120 days of the signing of
this Agreement, County may begin proceedings in eminent domain to acquire title to the

Property. County shall not unreasonably delay the commencement of proceedings under
eminent domain law once the time provided for in this paragraph has expired. If County
begins proceedings in eminent domain it is understood and agreed this Agreement shall
continue in effect until either a settlement is reached or a rule and order is entered by the
court, as provided for in C.R.S. 38-1-105(3). If such proceedings are begun, this
Agreement shall operate as a stipulation to continued possession of the Property
pursuant to C.R.S. 38-1-105(6).
6. It is agreed by the undersigned, in the event proceedings in eminent domain are begun,
the valuation day for determining the amount of just compensation shall be the date on
which payment was tendered to the owner, pursuant to paragraph one above.
7. This Agreement shall be deemed a contract and shall bind the Parties and shall extend
to and bind their heirs, executors, administrators, legal representatives, successors, and
assigns.
8. This Agreement embodies all the agreements between the Parties hereto and there are no
promises, terms, conditions, or obligations referring to the subject matter whereof other
than as contained herein.
9. Nothing in this Agreement changes the right of the Owner to obtain an appraisal and
for the County to pay for its full cost pursuant to CRS 38-1-121 if such appraisal is
submitted to the County on or before June 5, 2017.
10. Owner shall retain the mineral estate under the real property described in Exhibit "A",
"B" and "C", and shall also retain any water rights currently attached to or associated
with the real property described in Exhibit "A", "B" and "C".
