RE: APPROVE AGREEMENT CONCERNING PURCHASE OF PUBLIC ROAD
RIGHT- OF- WAY FOR CERTAIN IMPROVEMENTS TO COUNTY ROAD 49 AND
AUTHORIZE CHAIR TO SIGN NECESSARY DOCUMENTS - RUSSELL JUSTICE AND
JULEE REYNOLDS
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement Concerning the Purchase
of Public Road Right -of -Way for Certain Improvements to County Road 49 between the County
of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County,
on behalf of the Department of Public Works, and Russell Justice and Julee Reynolds,
24125 County Road 42, LaSalle, CO 80645, with terms and conditions being as stated in said
agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Agreement Concerning the Purchase of Public Road Right -of -Way,
Permanent Easement and Temporary Construction Easement for Certain Improvements to
County Road 49 between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Department of Public Works, and
Russell Justice and Julee Reynolds, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign any necessary documents.

SUBJECT: ROW Agreement for Russell Justice and Julee
Reynolds
Please place the attached Right of Way agreement on the BOCC Agenda. Once the agreement has
been signed, please return a signed original back to me so I can provide them to IHC.
This agreement is for additional Right of Way that IHC needs to accommodate their design of the CR 49
and CR 42 intersection. IHC will acquire 0.07 acres from the landowner. The agreement allows IHC and
their subcontractors to start construction activities on the property.
Weld County is not paying for the Right of Way. IHC included the cost of additional right of way
acquisitions in their price for the overall CR 49 project. IHC offered the landowner $2,015.00 for the ROW
agreement.
I will plan on attending the BOCC hearing to answer any questions that the Board may have regarding
this agreement.

BETWEEN RUSSELL JUSTICE and JULEE REYNOLDS AND WELD
COUNTY, COLORADO
THIS AGRF,EMLN"I' is made this 21st day of March, 2017, by and between RUSSELL
JUSTICE and JULEE REYNOLDS whose address is 24125 County Road 42, LaSalle, CO
80645, hereinafter referred to as "Owner," and the COUNTY OF WELD, a body corporate and
politic of the State of Colorado, by and through its Board of County Commissioners, whose
address is 1 150 '0' Street, Greeley, Colorado 80631 hereinafter referred to as "County."
WI"1'NESSETI-I:
WI IEREAS, Owner owns a parcel of real property described in the attached "Exhibit A"
(hereinafter referred to as (`.Public Road Right -of -Way"),
),
WHEREAS, County finds it necessary to rebuild and improve Weld County Road 49
(hereinafter "WCR 49"), which will improve the alignment and construction of the roadway,
(hereinafter referred to as "WCR 49 Corridor Improvement Project" (the "Project"), and
WHEREAS, County requires the parcel of the Public Road Right -of -Way for the benefit
of County in order to complete a portion of said Project, and
WHEREAS, Owner wishes to cooperate with County in said Road Improvement Project,
NOW, TIIEREFORE, the parties herein agree as follows:
OWNER'S RIGHTS AND RESPONSIBILITIES:
1. Owner agrees to sell at closing and IHC on behalf of Weld County agrees to
purchase the Public Road Right -of -Way shown and/or described on "Exhibit -A"
(a copy of which is attached hereto and made a part hereof by this reference), for
the sum of One Thousand Five Hundred Fifty and 00/100 Dollars, ($1,550.00).
The parties acknowledge and agree that said purchase price represents full, fair
and valuable consideration.
2. I f this agreement is executed and returned to our office on or before
April 21, 2017, INC on behalf of Weld County shall pay the amount
described in Paragraph Three "3" of the County's Rights and Responsibilities.
3 Owner warrants that they are the Owner of the Public Road Rights -of -Way and
will defend title thereto against all claims.
4. Owner agrees to grant the Public Road Right -of -Way to the County by Warranty
Deed, free and clear of all liens and encumbrances, except existing easements.

5. Owner shall retain the mineral estate under the Public Road Right -of -Way and
shall also retain any water rights currently attached to or associated with the
Public Right -of -Way.
6. Owner shall deliver the fully executed Warranty Deed for the Public Road Right -
of -Way to County at the date of closing which shall he no later than thirty (30)
clays following the County's execution of this Agreement.
7 Owner shall pay any encumbrance associated with the Public Road Right -of -Way,
which is required to be paid, including, but not limited to, a prorated amount of
the property taxes. and any past due property taxes, (and interest and penalties
thereon), on or before the date of closing when Owner delivers the Warranty Deed
to County. Owner is solely responsible for the payment of any amounts owed to a
third party holding a security or other ownership interest in the Public Road
Right -of -Way.
COUNTY'S RIGHTS AND RESPONSIBILITIES:
I . II -IC on behalf of Weld County shall at closing pay for the cost of obtaining title
insurance if County desires to obtain title insurance for the Public Road Right -of -
Way

IHC on behalf of Weld County shall at closing pay all fees associated with
recording this Agreement and/or the Warranty Deed.
3 I1 -IC on behalf of Weld County shall pay Two Thousand Fifteen and 00/100
Dollars, ($2,015.00) to the Owner for the Public Road Right -of -Way by County
warrant(s) at the date of closing if agreement is signed and returned on or before
April 21, 2017. If the agreement is not signed and returned on or before April 21,
2017 IHC on behalf of Weld County shall maintain its current offer of Fair
Market Value of One Thousand Five Hundred Fifty and 00/100 Dollars,
($1,550.00) for the Public Road Right -of -Way by County warrant(s) at the date of
closing.
4. Prior to construction commencing on the Project and right of way described
herein, 111C on behalf of Weld County shall construct a temporary fence line
along the outside boundary of the Right -of -Way. At the conclusion of
construction, II -IC on behalf of Weld County will install a new permanent right of
way fence along the boundary of the new right of way being acquired hereunder.
Owner shall be responsible for maintenance of said fence.

. This Agreement and the transfers of the Public Road Right -of -Way made
pursuant to the terms herein, shall be binding upon, all and inure to the benefit of
and be enforceable by the parties and their heirs, executors, administrators,
successors, and assigns.
2.
This Agreement shall not be valid until it has been approved by the Board of
County Commissioners of Weld County, Colorado or its designee.
3 No term or• condition of this contract shall be construed or interpreted as a waiver,
express or implied, of any of the immunities, rights, benefits, protections or other
provisions, of the Colorado Governmental Immunity Act §24-10-101 et seq., as
applicable now or• hereafter amended.
4 The patties hereby agree that neither has made or authorized any agreement with
respect to the subject matter of this instrument other than as expressly set forth
herein, and no oral representation, promise, or consideration different from the
terms herein contained shall be binding on either party, or its agents or•
employees.
5. It is expressly understood and agreed that the enforcement of the terms and
conditions of this Agreement, and all rights of action relating to such
enforcement, shall be strictly reserved to the undersigned parties and nothing in
this Agreement shall give or allow any claim or right of action whatsoever by any
other person not included in this Agreement. It is the express intention of the
undersigned parties that any entity other than the undersigned parties receiving
services or benefits under• this Agreement shall he an incidental beneficiary only.
6. This Agreement embodies all agreements between the parties hereto and there are
no promises, terms, conditions, or obligations referring to the subject matter
whereof other than as contained herein.
7. This transaction shall be governed by and constructed in accordance with the laws
of the State of Colorado.

Interests to be acquired: Right of Way Acquisition by Warranty Deed (RW A)
Dear Mr. Justice and Ms. Reynolds:
Interstate Highway Construction, Inc. (IHC) is in the process of planning and designing a project
for the reconstruction of Weld County Road 49 between 1-76 and U.S. Highway 34 on behalf of
Weld County. This project is considered the Weld County Road 49 Corridor Improvements
Project, Phase II ("Project"). Preliminary design has progressed to a point that INC has
determined that it will need to acquire property interests from you to accommodate this
improvements project. Recently, IHC retained our company, H.C. Peck & Associates, Inc. to
assist in the completion of right of way acquisition necessary for this project. In that regard, by
this letter we are presenting an offer for the following:
1) Right of Way parcel required from you is identified as RW A, consisting of 0.07 acres in
permanent right of way by Warranty Deed.
2) Payment for improvements (pipe/cable fence).
IHC on behalf of Weld County has prepared an Analysis of Valuation in order to determine the
value of your property and is now in a position to present to you an offer in the amount of
$1,550.00 to purchase necessary right of way referenced above.

All documents referenced above constitute and are relative to IHC's (on behalf of Weld County)
Offer to Acquire necessary property interest for the project. Please review this information.
If you a desire a meeting in the field, we can arrange a time to do so at your property. At that
time we can also discuss the IHC Offer and contract terms if you have any questions in that
regard.
If a meeting is not necessary, please sign the enclosed Agreement form where indicated and
return it along with a completed and signed W-9 form in the enclosed self-addressed envelope.
Once I receive the signed Agreement from you, I will forward it to the Board of County
Commissioners for their approval and counter signature. Once the Agreement has been approved
and signed by the County, you will be contacted to arrange a closing for this acquisition.
Incentive to Sign Agreement
In an effort to obtain your voluntary agreement to the necessary right of way acquisition, the
County has authorized me to increase its offer to you to the amount of $2,015.00 as payment for
all interests required as set forth in the paragraph above. Please be advised that this additional
compensation is offered as an inducement to you to accept the IHC (on behalf of Weld County)
Agreement and the County has not changed its determination of the fair market value.
In order for this enhanced offer to be accepted, it is necessary that we received the enclosed
Agreement and IRS W-9 Form, signed by you, no later than April 21 , 2017.
In the event we do not receive the revised Agreement back from you by that date, we will
assume you have rejected the offer and we have reached an impasse in negotiations. At that point
the IHC offer contained herein will be withdrawn and we will forward your acquisition file to the
County for processing.

property that would negatively affect the value, the value finding and subsequent offer
will be revised.
