Energy, Inc. (Payor).
Payor shall be notified, in writing, of any change in ownership, decimal interest, or payment address. All such changes
shall be effective the first day of the month following receipt of such notice.
Payor is authorized to withhold payment pending resolution of a title dispute or adverse claim asserted regarding the interest in
production claimed herein by the undersigned. The undersigned agrees to indemnify and reimburse Payor any amount attributable to
an interest to which the undersigned is not entitled.
Payor may accrue proceeds until the total amount equals $50.00, or pay yearly whichever occurs first, or as required by applicable
state statute.
This Division Order does not amend any lease or operating agreement between the undersigned and the lessee or operator or any other
contracts for the purchase of oil or gas.
In addition to the terms and conditions of this Division Order, the undersigned and Payor may have certain statutory
rights under the laws of the state in which the property is located.

Special Provisions: This Lease contains numerous additional special provisions, including, but not
limited to:
ASSIGNMENTS — Lessee, upon payment of a $100.00 fee and with the written
consent of Lessor, shall have the right to assign this lease as to the entire
leasehold interest of laid Lessee in all or part of the lands covered hereby. If any
assignment of a portion of the land covered hereby shall be approved, a new
lease shall be issued to the Assignee covering the assigned land, containing the
same terms and conditions as this lease, and limited as to term as this lease is
limited, and the Assignor shall be released and discharged from further
obligations and liabilities as to that portion so assigned.
OVERRIDING ROYALTY - Any and all reservations or assignments of
overriding royalties shall be subject to approval of Lessor. The total of said
overriding royalties shall not exceed 5 percent, including any overriding
royalties previously provided for. In the event that production drops to an
amount that would cause the well to be shut-in or to be plugged, then overriding
royalties based on last in first out, or prorated, may be suspended to allow the
well, if possible, to be economic. A reservation or assignment of an overriding
royalty interest shall not relieve Lessee of any of its obligations for payment of
royalties to Lessor as provided by ROYALTY paragraph herein.
EXTENSION — If Lessee shall have failed to make discovery of oil and gas or
either of them in paying quantities during the primary term hereof, or during
drilling operations commenced during the primary term hereof, Lessee may
make written application to Lessor to extend this lease.. .

REQUIREMENT No. 16: (Inaccuracy in Legal Description of Tract 21E) The prior Drilling and Division Order
Title Opinion dated July 24, 2014, revised March 17, 2015, prepared by Jeffrey Stengel on behalf of Carleton
Gotlin Law P.C., contained the following Comment/Requirement No. 26 regarding an inaccuracy in the legal
description of Tract 21E herein:
"By Warranty Deed, dated March 12, 1906, recorded at Reception No. 109470 on March 29, 1906,
James L. Ewing conveyed all of his right, title and interest in a parcel of land located in the
SE/4NE/4 of Section 20, T5N, R64W, 6th P.M. to The F.H. Gilcrest Lumber Company. This
parcel is more particularly described as follows:
Beginning at a point two hundred thirty one feet North of the center of the main line track of the
Union Pacific Railroad as it now exists; running thence North one hundred twenty five feet on a
line thirty feet West of the East line of the North East quarter of Section twenty, T5N, R64W, 6th
P.M., said line being the western boundary of the present county road; thence due West one
hundred twenty five feet; thence due South one hundred twenty five feet; thence due East one
hundred twenty five feet to the point of beginning.
In an attempt to determine the location of this tract, for reference purposes, the examiner utilized
the Map of Ewing's Addition to the Town of Kersey, recorded at Reception No. 130134 on June
13, 1908. It appears that the intent of this conveyance was to convey a parcel of land lying
immediately South of Lot 26, Block I, Ewing's Addition to the Town of Kersey [Tract 21F].
However, the examiner notes that a gap of approximately 1.1 feet exists between the South line of
Lot 26, Block 1 and the North line of the above described legal description. Additionally, all the
subsequent conveyances involving this parcel of land include a similar error.
For purposes of this Opinion, subject to the Requirement below, the examiner has credited this 1.1
foot gap to [Tract 21E] of this Opinion. It is also important to note that the mineral estates of
{Tracts 21E and 21F] are both unleased."
Mr. Stengel then advised that "during the process of obtaining Oil and Gas Leases from the mineral owners of
[Tracts 21E and 21 F], you should be aware of the gap between the two tracts and account for this discrepancy. In
addition, for maximum title protection, you may wish to obtain a boundary line agreement between the two
property owners to clarify and define the true boundary" between Tracts 21E and 21F. Nothing in the materials

minerals in Tract 21E and Craig D. Smith and Danielle M. Smith, as joint tenants are credited in the ownership
schedules attached hereto with ownership of 100% of the surface and mineral interest in Tract 21F. Additionally,
Tract 21F is currently covered by Oil and Gas Lease 19. Tract 21E remains unleased.
Requirement: As directed by Mr. Stengel, for clarity of title, Weld County and Craig D. Smith
