RE: APPROVE CONTRACT FOR COMPENSATION OF PROPERTY AND AUTHORIZE
CHAIR TO SIGN - RODNEY WILSON
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, Weld County is in need of acquiring additional Property for improvement of
the intersection of County Road 74 and State Highway 392 (the "Intersection Project"), in the
south half of Section 34, Township 7 North, Range 63 West of the 6th P.M., Weld County,
Colorado, as more fully described and depicted in the attached Exhibits RW-1, RW-2, TE-1, TE-2,
PE -2, and Photo Exhibit (together, the "Property"), and
WHEREAS, said Property is owned by Rodney Wilson, and
WHEREAS, negotiations with Mr. Wilson have included the following letters from Weld
County Public Works Right -of -Way Agent, Jackie Hernandez -Barrow, to Mr. Wilson: Offer of Fair
Market Value letter dated 09/29/16; Revised Offer letter dated 10/25/16; and Final Offer letter
dated 11/10/16, and several communications between and among Mr. Wilson, Tiffane Johnson
and Jacqueline Hernandez -Barrow of the Weld County Department of Public Works, and Frank
Haug, Assistant County Attorney, and
WHEREAS, Owner agrees to sell at closing and County agrees to purchase the Public
Road Right -of -Way shown and/or described on Exhibit "A" (a copy of which is attached hereto
and made a part hereof by this reference), for the sum of Fifteen Thousand, Two Hundred and
Fifty and no/100 Dollars ($15,250.00), and
WHEREAS, Owner agrees to convey at closing a Permanent Easement shown and/or
described on Exhibit "B" (a copy of which is attached hereto and made a part hereof by this
reference), for the sum of Five Hundred and no/100 Dollars ($500.00), and
WHEREAS, Owner agrees at closing to sell and County agrees to purchase the
Temporary Construction Easements shown and/or described on Exhibit "C" (a copy of which is
attached hereto and made a part hereof by this reference), for the sum of One Thousand Two
Hundred and no/100 Dollars ($1,200.00), and
WHEREAS, County shall at closing pay for the cost of loss of income, reimbursements
and penalty fees associated with the Conservation Reserve Program in the amount of
Four Thousand Five Hundred and no/100 Dollars ($4,500.00) for CRP, and
WHEREAS, County shall pay a miscellaneous damages of $5,000.00 which could be used
for surveying or other miscellaneous fees, and
WHEREAS, County shall additionally compensate landowner $7,935.00 as a cost to cure,
and
WHEREAS, County shall pay compensation for permanent fencing at $4.00 a foot for
9,622 feet of fencing along the right-of-way of $38,500.00.

WHEREAS, the improvement of the intersection of County Road 74 and State
Highway 392 is necessary for the public good to provide safety for the traveling public due to
historic and projected increased traffic on said roadway, and
WHEREAS, the acquisition of said Property is necessary because of the pending
realignment of County Road 74.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Contract with Mr. Wilson, totaling $72,885.00 in compensation for his
land as outlined above, is hereby approved.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 21st day of December, A.D., 2016.

Brief description of the problem/issue:
We appeared before the Board in late December to obtain Board approval to pursue a condemnation action against
Mr. Wilson as we had been unable to reach an agreement for the purchase of his land. At that hearing, the Board
worked with Mr. Wilson to come to an agreement. The agreement entailed various incentives, one of which was
compensation for a fence. At the time, we estimated the fence would need to be approximately 6000 feet. The
Board indicated that whatever the distance of the fence, the County would pay $4 a foot. At the hearing, we
estimated the total compensation to be $58, 385.00. After the hearing we determined that the fencing would in
fact be 9,622 feet, at an additional cost of $14,500.00 for a total compensation of $72,885.00. Based on the
Board's reasoning during the hearing, we believe that this is appropriate compensation for the fence at $4 a foot.
However, we wanted to seek the board's permission to move forward with this agreement.
What options exist for the Board? (Include consequences, impacts, costs, etc. of options)
Approve the additional $14,500.00 for the additional fencing.
Deny the additional $14,500.00 and pursue other options.
Recommendation:
Approve the additional cost of the fencing.

AGREEMENT FOR THE PURCHASE OF
PUBLIC ROAD RIGHT-OF-WAY AND TEMPORARY CONSTRUCTION EASEMENT
FOR THE WELD COUNTY ROAD 74 REALIGNMENT PROJECT,
BETWEEN RODNEY WILSON AND WELD COUNTY, COLORADO
THIS AGREEMENT is made this day o , 2011, by and between Rodney
Wilson, whose address is 37900 CR 61 Eaton, Colorado 615 h inafter referred to as "Owner,"
and the County of Weld, a body corporate and politic of the State of Colorado, by and through its
Board of County Commissioners, whose address is 1150 'O' Street, Greeley, Colorado 80631
hereinafter referred to as "County."
WITNESSETH:
WHEREAS, Owner owns a parcel of real property described in the attached Exhibit "A"
(hereinafter referred to as "Public Road Right -of -Way"), and
WHEREAS, Owner owns real property described in the attached Exhibit "B" (hereinafter
referred to as "Permanent Easement"), and
WHEREAS, Owner owns real property described in the attached Exhibit "C" (hereinafter
referred to as "Temporary Construction Easement"), and
WHEREAS, County finds it necessary to realign and improve existing Weld County
Roads 74 and 69, which will involve said road construction, (hereinafter referred to as "WCR 74
Realignment Project" (the "Project"), and
WHEREAS, County requires said Public Road Right -of -Way in order to complete said
Project, and
WHEREAS, County will need said Permanent Easement for road drainage which is required
in conjunction with said realignment, and
WHEREAS, County will need said Temporary Construction Easements in order to construct
the Project which is required in conjunction with said realignment, and
WHEREAS, Owner wishes to cooperate with County in said road realignment Project,
NOW, THEREFORE, the parties herein agree as follows:
OWNER'S RIGHTS AND RESPONSIBILITIES:
1. Owner agrees to sell at closing and County agrees to purchase the Public Road Right -
of -Way shown and/or described on Exhibit "A" (a copy of which is attached hereto
and made a part hereof by this reference), for the sum of Fifteen Thousand, Two

Hundred and Fifty and no/100 Dollars, ($15,250.00). The parties acknowledge and
agree that said purchase price represents full, fair and valuable consideration.
2. Owner agrees to convey at closing a Permanent Easement shown and/or described on
Exhibit "B" (a copy of which is attached hereto and made a part hereof by this
reference), for the sum of Five Hundred and no/100 Dollars, ($500.00). The parties
acknowledge and agree that said purchase price represents full, fair and valuable
consideration.
3. Owner agrees at closing to sell and County agrees to purchase the Temporary
Construction Easements shown and/or described on Exhibit "C" (a copy of which is
attached hereto and made a part hereof by this reference), for the sum of One
Thousand, Two Hundred and no/100 Dollars, ($1,200.00). The parties acknowledge
and agree that said purchase price represents full, fair and valuable consideration.
4. Owner warrants that he is the owner of the Public Road Right -of -Way, the Permanent
Easement and Temporary Construction Easements and will defend title thereto
against all claims.
5. Owner agrees to grant the Public Road Right -of -Way to County by Warranty Deed,
free and clear of all liens and encumbrances, except existing easements.
6. Owner agrees to grant the Permanent Easement to County, free and clear of all liens,
encumbrances or other possessory claims, except existing easements.
7. Owner agrees to grant the Temporary Construction Easement to County, free and
clear of all liens, encumbrances or other possessory claims, except existing
easements.
8. This Temporary Construction Easement shall commence on the day of closing and
shall expire and be of no further force or effect on October 1. 2018, or upon the
completion of the Project, whichever is earlier.
9. Owner shall not, during the term of this Temporary Construction Easement, erect or
construct, or allow to be erected or constructed, any building or other structures on
the property described in Exhibit "C" which may interfere with County's full
enjoyment of the rights hereunder; this Temporary Construction Easement includes
all rights and privileges as are necessary or incidental to County's reasonable and
proper use of said easement.
10. Owner shall retain the mineral estate under the Public Road Public Road Right -of -
Way, Permanent Easement and the Temporary Construction Easement interests, and
shall also retain any water rights currently attached to or associated with the Public
Right -of -Way, Permanent Easement and Temporary Construction Easement.

11. Owner shall deliver the fully executed Warranty Deed for the Public Road Right -of -
Way to County at the date of closing which shall be no later than thirty (30) days
following the County's execution of this Agreement.
12, Owner shall pay any encumbrance associated with the Public Road Right -of -Way,
Permanent Easement and the Temporary Construction Easement which is required to
be paid, including, but not limited to, a prorated amount of the property taxes, and
any past due property taxes, (and interest and penalties thereon), on or before the date
of closing when Owner delivers the Warranty Deed to County. Owner is solely
responsible for the payment of any amounts owed to a third party holding a security
or other ownership interest in the Public Road Right -of -Way, Permanent Easement
and Temporary Construction Easement.
13. Owner is liable for any damage caused to any other property owner, including, but
not limited to, crop damage, agricultural damage, or access issues which are caused
by the Owner's actions or failure to act pursuant to this agreement.
COUNTY'S RIGHTS AND RESPONSIBILITIES:
1. County shall, at closing, pay for the cost of loss of income, reimbursements and
penalty fees associated with the Conservation Reserve Program in the amount of Four
Thousand, Five Hundred and no/100 Dollars ($4,500.00) for impacts to land in CRP.
2. County shall pay a miscellaneous damages of Five Thousand and no/100 Dollars
($5,000.00) which could be used for surveying or other miscellaneous fees.
3. County shall additionally compensate land owner Seven Thousand Nine Hundred and
Thirty Five and no/100 Dollars ($7,935.00) as a cost to cure.
4. Compensation for permanent fencing at $4.00 a foot for 9,622 feet of fencing along
the Right -of -Way for compensation for Thirty Eight Thousand Five Hundred and
no/100 Dollars $38,500.00.
5. Total compensation to be paid to land owner is $72,885.00.
6. County shall, at closing, pay for the cost of obtaining title insurance if County desires
to obtain title insurance for the Public Road Right -of -Way, Permanent Easement and
Temporary Easement.
7. County shall, at closing, pay all fees associated with recording this Agreement and
the Warranty Deed.

8. County, as a condition of the granting of this Temporary Construction Easement,
covenants and agrees to restore the property described in Exhibit "C" to a level
comparable to its original condition.
9. Prior to construction commencing on the Project and right-of-way described herein,
the County shall construct a temporary fence line along the outside boundary of the
temporary construction easement. County shall remove the temporary fence after
completion of construction.
MISCELLANEOUS:
1. This Agreement and the transfers of the Public Road Right -of -Way, Permanent
Easement and Temporary Construction Easement made pursuant to the terms herein,
shall be binding upon, all and inure to the benefit of and be enforceable by the parties
and their heirs, executors, administrators, successors, and assigns.
2. This Agreement shall not be valid until it has been approved by the Board of County
Commissioners of Weld County, Colorado or its designee.
3. No term or condition of this contract shall be construed or interpreted as a waiver,
express or implied, of any of the immunities, rights, benefits, protections or other
provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as
applicable now or hereafter amended.
4. The parties hereby agree that neither has made or authorized any agreement with
respect to the subject matter of this instrument other than as expressly set forth
herein, and no oral representation, promise, or consideration different from the terms
herein contained shall be binding on either party, or its agents or employees.
5. It is expressly understood and agreed that the enforcement of the terms and
conditions of this Agreement, and all rights of action relating to such enforcement,
shall he strictly reserved to the undersigned parties and nothing in this Agreement
shall give or allow any claim or right of action whatsoever by any other person not
included in this Agreement. It is the express intention of the undersigned parties that
any entity other than the undersigned parties receiving services or benefits under this
Agreement shall be an incidental beneficiary only.
6. This Agreement embodies all agreements between the parties hereto and there are no
promises, terms, conditions, or obligations referring to the subject matter whereof
other than as contained herein.
7. This transaction shall be governed by, and constructed in accordance with, the laws
of the State of Colorado.

8. Owner shall defend, indemnify and hold harmless County, its officers, agents, and
employees, from and against injury, loss damage, liability, suits, actions, or claims of
any type or character arising out of the Owner's activities in fulfillment of the terms
of this Agreement or on account of any act, claim or amount arising out of the failure
of the Owner to conform to any statutes, ordinances, regulation, law or court decree.
9. Neither party to this agreement shall be liable to the other for delays in delivery or
failure to deliver or otherwise to perform any obligation under this Agreement, where
such failure is due to any cause beyond its reasonable control, including but not
limited to Acts of God, fires, strikes, war, flood, earthquakes or Governmental
actions.

"Grantor" whose legal address is 37900 CR 61, Eaton, Colorado 80615, and the COUNTY OF
WELD, a body corporate and politic of the State of Colorado, through its Board of County
Commissioners, "Grantee" whose legal address is 1150 "O" Street, Greeley, Colorado 80631:
Pursuant to an Agreement Dated January 30, 2017, Grantor, for good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, Grantor hereby grants
and conveys forever unto Grantee and Grantees' heirs, successors, assigns, and personal
representatives, free and clear of all liens and encumbrances and warrants title to a perpetual
drainage easement, (hereinafter referred to as the "Easement"), over and across Grantor's real
property in Weld County, Colorado, known as "vacant land". The exact location of the Easement
is more particularly described on Exhibit A, which is attached hereto and by this reference
incorporated herein and made a part hereof.
In the event that washouts, erosion, or other natural causes require a relocation of some
portion of the drainage swale to be constructed within the Easement, Grantees shall have the right
to relocate the drainage swale in a reasonable manner, at Grantees' expense, including a re -survey
of the Easement location, as set forth in Exhibit A, if necessary.
Grantees, at Grantees' expense, have constructed, and shall have the right to maintain and
repair the drainage swale within the Easement and shall have reasonable access thereto.
The Easement shall be an easement appurtenant to Grantees' Public Road Right -of -Way,
and shall inure to the benefit of Grantees' heirs, successors, assigns, and personal representatives,
subject to the conditions set forth herein.
All costs associated with the Easement, including surveying, construction and
maintenance, shall be borne by Grantees.
Grantees' use of the Easement shall be exclusive, and Grantor and Grantor's heirs,
successors, assigns, personal representatives, guests, and invitees shall have an equal right to the
use of the surface area of the Easement, without interference with Grantees' use thereof, and
subject to the proviso that any increased costs of repair and maintenance caused by such use shall
be borne by the party using the Easement.
The mineral estate under said property, including oil, gas and any and all water rights
currently attached to or associated with the Easement are hereby specifically reserved unto
Grantors, except as required to sustain the integrity of the Easement.
