liability company, and AURORA DAIRY CORPORATION, a Delaware

TOGETHER with all and singular the hereditaments and appurtenances thereunto belonging, or in anywise
appertaining and the reversion and reversions, remainder and remainders, rents, issues and profits thereof, and all the
estate, right, title, interest, claim and demand whatsoever of the grantor, either in law or equity, of, in and to the above
bargained premises, with the hereditaments and appurtenances.
TO HAVE AND TO HOLD the said premises above bargained and described, with the appurtenances, unto the

bargain, sell and convey the same in manner and form aforesaid, and that the same are free and clear from all former and

except all matters of record.
EXCEPTING AND EXCLUDING all oil, gas, minerals, and mineral rights, in, on or underneath the surface of
the Property, together with the right to enter in and upon the surface of the Property and the use of so much of the
Property as shall be reasonably required to prospect for, develop and produce from the Property, and the right to drill and
operate wells on the Property, which rights shall not materially interfere with construction and operation of a dairy farm
on the Property.
FURTHER EXCEPTING AND EXCLUDING from this conveyance all water rights appurtenant to the
Property, except as follows: Grantor hereby quit claims to Grantee all of Grantor's interest in and to the following
described water rights: 2.5 shares of Number 3 Lateral Outlet Ditch Company, and 4 Shares Of Sanborn Reservoir &
Ditch Company.

WHEREAS, the Last Will and Testament of the above -named decedent was made and executed in the
lifetime of the decedent, and is dated July 25, 1996, which Will was duly admitted to informal probate on
March 28, 2001, by the District Court in and for the County of Boulder, State of Colorado, Probate No.
2000 PR 167;
WHEREAS, Grantor was duly appointed Personal Representative of said Estate on March 28, 2001,
and is now qualified and acting in said capacity.
NOW THEREFORE, pursuant to the powers conferred upon Grantor by the Colorado Probate Code,

THIS DEED is made by Margaret L. Reynolds, as Personal Representative of the Estate of George
S. Reynolds, deceased, Grantor, to the First National Bank of Longmont, trustee of the George S.
Reynolds Marital Trust, Grantee, whose legal address is 401 Main Street, Longmont, Colorado
80501 of the County of Boulder, State of Colorado.
WHEREAS, the Last Will and Testament of the above -named decedent was made and executed in the
lifetime of the decedent, and is dated July 25, 1996, which Will was duly admitted to informal probate on
March 28, 2001, by the District Court in and for the County of Boulder, State of Colorado, Probate No.
2000 PR 167;
WHEREAS, Grantor was duly appointed Personal Representative of said Estate on March 28, 2001,
and is now qualified and acting in said capacity.
