RESOLUTION RE: APPROVE AGREEMENT FOR ROAD RIGHT-OF-WAY ACQUISITION AND CONSENT TO WORK IN WATER PIPELINE EASEMENT FOR CERTAIN IMPROVEMENTS TO COUNTY ROAD BRIDGE 54/13A AND AUTHORIZE CHAIR TO SIGN NECESSARY DOCUMENTS - CROISSANT FAMILY FARM, LLC, AND LITTLE THOMPSON WATER DISTRICT WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for Road Right -of -Way Aquisition and Consent to Work in Water Pipeline Easement for Certain Improvements to County Road Bridge 54/13A between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Croissant Family Farm, LLC, 49316 County Road 83, Briggsdale, Colorado 80611, and Little Thompson Water District, 835 County Road 56, Berthoud, Colorado 80513, with terms and conditions being as stated in said agreement, and ' WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. This project has CDOT and FHWA oversite and the bid set of plans and specifications is currently being advertised for construction. In order to facilitate contractor construction access and future Weld County maintenance access, permanent Right -of -Way (ROW) and a Permanent Exclusive Easement are needed. Public Works is working with Jerry Kanter with HC Peck, ROW consultants, to acquire this ROW. The property ow(ner and Jerry have agreed to a reasonable compensation amount, based on comparable property values, and have signed the ROW Agreement. It is PW's recommendation to approve payment, in the sum of 59,500.00 to Croissant Family Farms and authorize Jerry Kanter to proceed with the closing. Once approved by the BOCC, and at the closing, the property owner will sign the Quit Claim Deed and Permanent Exclusive Easement forms attached to this memo. Landowner agrees to grant the Bendway Weir Easement to County in the form attached hereto as Exhibit D. 2. Landowner shall retain the mineral estate under the ROW and Bendway Weir Easement, and shall also retain any attached or associated water rights. 3. Landowner shall deliver the fully executed Quitclaim Deed for the ROW and the Bendway Weir Easement to County at the date of closing which shall be no later than thirty (30) days following the County's execution of this Agreement. 4. Landowner shall pay any encumbrance associated with the ROW which is required to be paid, including, but not limited to, a prorated amount of the property taxes, and any past due property taxes, (and interest and penalties thereon), on or before the date of closing when Landowner delivers the Quitclaim Deed to County. Landowner is solely responsible for the payment of any amounts owed to a third party holding a security or other ownership interest in the ROW. 5. The Parties recognize that the ROW being acquired by County contains the District's Waterline Easement. Nothing herein shall preclude or restrict the District's use of the Waterline Easement, notwithstanding the County's purchase of ROW. The District therefore agrees, and does not object, to the County's ROW purchase. II. BRIDGE WORK 1. County intends to complete final permanent repairs to the Bridge, which is necessary due to damage the Bridge incurred during the September 2013 floods. The County intends to commence the Work in Fall/Winter, 2017. 2. County agrees to make all reasonable efforts to complete the Work without uncovering District's water pipeline in the Waterline Easement. Should the Work cause any damage to the pipeline, County will coordinate repair with the District, and County shall be liable for the actual costs of all such repairs. County shall restore the Waterline Easement to a substantially similar condition after the Work is completed. 3. County and District understand that the Work requires the removal and replacement of dirt within the Waterline Easement. District agrees, and does not object, to such Work. County shall provide all non -confidential project documents at no charge to District upon request. County shall coordinate with District as necessary to accomplish the purposes of this Agreement. III. FUTURE RELOCATION OF WATER PIPELINE 1. County and District do not anticipate any need to relocate the District's water pipeline as a result of the current Work. Therefore, County may, in its sole discretion, determine to relocate the water pipeline outside the ROW. 2, In the event that County determines to relocate the District's water pipeline, County shall be responsible for all associated costs, including acquisition of a replacement easement for the benefit of the District, labor, and materials. Such replacement easement shall be adjacent to the current ROW unless otherwise agreed upon by County and District. If the County determines that relocation adjacent to the ROW is not economically or practically feasible, County may relocate to another location with District's consent. District shall not unreasonably withhold its consent, 3. Once the water pipeline has been relocated into a separate easement, District agrees to vacate the Waterline Easement within the ROW, or take such other action has may be necessary to accomplish that purpose, IV. MISCELLANEOUS 1. This Agreement and the transfer of the ROW and Bendway Weir Easement made pursuant to the terms herein, shall be binding upon, all and inure to the benefit of and be enforceable by the parties and their heirs, executors, administrators, successors, and assigns. 2. This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County, Colorado or its designee. 3. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended. 4. The Parties hereby agree that neither has made or authorized any agreement with respect to the subject matter of this instrument other than as expressly set forth herein, and no oral representation, promise, or consideration different from the terms herein contained shall be binding on either party, or its agents or employees. 5. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned Parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. In the event that the interest of one Party conflicts with the interests of another Party regarding this Agreement, the provision shall be interpreted for the benefit of the Party for whom that provision was intended to benefit. 6. This instrument supersedes all prior negotiations, representations, and understandings or agreements with respect to the subject matter contained in this Agreement. This Agreement may be changed or supplemented only by a written instrument signed by both parties. 9. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. Acknowledgment. The Parties acknowledge that each has read this Agreement, understands it and agrees to be bound by its terms. The Parties further agree that this Agreement, with the attached Exhibits is the complete and exclusive statement of agreement between the parties and supersedes all proposals or prior agreements, oral or written, and any other communications between the parties relating to the subject matter of this Agreement.
