Re: Consent to Assign Letter Pursuant to those certain agreements listed on
Exhibit "A" (the "Agreement")
Weld County, Colorado
Dear Ms. Ford:
In connection with the sale by HRM Resources II, LLC. ("Seller") to Extraction Oil & Gas, LLC
("Buyer"), whose address is 370 17th Street, Suite 5300, Denver, Colorado 80202, of certain oil
and gas and related assets in Colorado, including the above referenced Agreement
("Agreement"), Seller desires to assign, convey and transfer to Buyer all of its rights in the
Agreements and the oil and gas property burdened thereby or subject thereto.
Pursuant to the Agreement, Seller hereby requests your consent to the assignment by Seller of its
right, title, and interest in the Agreement listed on Exhibit A and the oil and gas property
burdened thereby or subject thereto to Buyer, subject to the terms of the Agreement.
By executing this Consent to Assign, Weld County Colorado, acting by and through the Board of
County Commissioners of the County of Weld, as Lessor, does not ratify, re -new, extend, or
confirm the validity of the subject Agreement. To the extent that all or portions of the Agreement
have terminated, Weld County Colorado expressly does not waive any claim that any such
Agreement or portion thereof is or has been terminated or is otherwise invalid. Seller and its
successor hereby accept this Consent to Assign without any warranty of title or representation by
Weld County Colorado that the subject Agreement is valid and in good standing.
Please acknowledge your consent to and approval of the foregoing by signing and dating
this letter agreement in the space provided below and returning an executed copy of this letter
agreement to:

This letter agreement may be executed in counterparts, and in proving this letter agreement, a
party must produce or account only for the executed counterpart of the party to be charged.
