RE: APPROVE EDUCATIONAL AFFILIATION AGREEMENT AND AUTHORIZE CHAIR TO
SIGN - UNIVERSITY OF NORTHERN COLORADO
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Educational Affiliation Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Health and Environment,
and the University of Northern Colorado, College of Natural and Health Sciences, commencing
June 1, 2017, and ending with further terms and conditions being as stated in said agreement,
and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Educational Affiliation Agreement between the County of Weld, State
of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of
the Department of Public Health and Environment, and the University of Northern Colorado,
College of Natural and Health Sciences be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 19th day of June, A.D., 2017, nunc pro tunc June 1, 2017.

SUBJECT: Educational Affiliation Agreement with the
University of Northern Colorado
Enclosed for the Board's review and approval is an Education Affiliation Agreement between the
University of Northern Colorado College of Natural and Health Sciences ("UNC") and the Weld
County Department of Public Health and Environment ("WCDPHE").
This Educational Affiliation Agreement ("Agreement") is a non -financial cooperative education
agreement to provide students studying natural and health sciences instruction in Public Health
to meet the requirements for a baccalaureate or advanced degree program. The purpose of this
Agreement is to provide students with first-hand knowledge and experience in a community
provider setting. This agreement shall commence on June 1, 2017, or as of the date it is fully
executed by both parties. Either party may terminate this agreement for any reason upon thirty
(30) days written notice to the other party.
This contract was approved for placement on the Board's agenda via pass -around dated June 2,
2017. I recommend your approval of this Educational Affiliation Agreement with the University
of Northern Colorado.

BETWEEN
UNIVERSITY OF NORTHERN COLORADO
COLLEGE OF NATURAL AND HEALTH SCIENCES
AND
WELD COUNTY DEPT OF PUBLIC HEALTH AND ENVIRONMENT
THIS EDUCATIONAL AFFILIATION AGREEMENT is between the State of Colorado acting by and on
behalf of the Board of Trustees for the University of Northern Colorado, an institution of higher education
organized by state statute and existing under and by virtue of the laws of the State of Colorado, College of
Natural and Health Sciences, with a mailing address of 501 20th Street, Campus Box 125, Greeley,
Colorado 80639 (hereinafter referred to as "UNC"), and Weld County Department of Public Health And
Environment with a mailing address of 1555 North 17th Avenue, Greeley, CO 80631 (hereinafter referred
to as "Agency").
WHEREAS, College has established and is a provider degreed programs for the education of students
studying natural and health sciences identified as Athletic Training, Audiology Speech -Language Sciences,
Biological Sciences, Chemistry and Biochemistry, Community Health, Dietetics, Earth Sciences,
Gerontology, Human Rehabilitative Services, Mathematical Sciences, Nursing, Nutrition, Physics,
Recreation Tourism and Hospitality, and Sport and Exercise Science, hereinafter referred to as "College
Programs", which require the educational facilities of Agency. College desires students to have clinical
educational experiences that can be provided by Agency under the terms and conditions set forth in this
Agreement.
WHEREAS, The purpose of this Educational Affiliation Agreement (the "Agreement") is to secure various
clinical and practicum ("Clinical") experience sites to prepare UNC students ("Students") who are enrolled
in the College of Natural and Health Sciences at UNC to allow the Student(s) to complete their award of a
degree/certification.
WHEREAS, Clinical education and experience is a requirement and is an integral component of the College
Program, and UNC desires that certain of its Students, and when appropriate, certain of its faculty members
be permitted to visit and utilize Agency's premises to afford such Students and faculty the opportunity to
engage in Clinical educational experiences.
WHEREAS, UNC desires to enhance educational programs and Clinical education of UNC Students by
and through this Agreement. Agency recognizes the need for expansion for the educational development
of healthcare professionals, and desires to make its premises available for such purposes. Agency is an
established provider of such services and Agency has the facilities and professional staff available for
Clinical experiences and desires to provide such facilities for educational purposes in the preparation of
Students in the College of Natural and Health Sciences programs.
WHEREAS, UNC and Agency desire to establish a policy as to their respective responsibilities and to
reduce their agreement to writing.
WHEREAS, UNC and Agency agree that no money will be paid by either party to the other under the terms
and conditions of this Agreement and the mutual benefits to both parties contained herein constitute
sufficient consideration.
NOW THEREFORE, in consideration of the mutual agreements set out below, the parties agree as follows:
1.0 INDEPENDENT CONTRACTOR
The relationship of UNC and Agency will be and is that of independent contractor. It is not intended that
any employer -employee, joint venture or partnership be established hereby, expressly or by implication,
nor will any employee, agent or contractor of UNC be the employee or agent of Agency or vice versa.
Neither party nor any of its employees or agents will have the right to bind the other, to transact any business
in the other's name or on behalf of the other, or to make any promises or representations on behalf of the
other, except as is reasonably necessary for the parties to perform services in accordance with this
Agreement.
2.0 TERM & TERMINATION
This Agreement will become effective upon last date of execution by the parties and will remain in effect
until any provisions for termination contained herein may allow. In the event this Agreement is terminated
as contemplated herein, students who are participating in the clinical learning experiences at the time of
termination will be allowed to complete the experience for the then current school semester under the terms
and conditions herein. However, if the Student is disruptive or otherwise determined to be detrimental to
the Agency's operation, the Student's participation may be discontinued immediately. Either party may
terminate this Agreement at any time during its term with or without cause or by giving thirty (30) days prior
written notice to the other party.
3.0 RESPONSIBILITIES OF UNC
3.1 UNC will designate a member to serve as the primary point of contact for Student. This member
will review with the Student all necessary requirements and documentations necessary before onset of
assignment at Agency.
3.2 UNC will provide qualified and competent faculty members adequate in number for the instruction
and supervision of Students using the Agency facilities. UNC will direct its faculty and Students to adhere
to Agency rules, regulation, procedures and standards and will use its best efforts to keep Students and
faculty informed as to the same and any changes therein.
3.3 UNC will plan and implement an educational program for its Students, such as plan and determine
the adequacy of the educational experience of its Students in theoretical training, basic skills in the provision
of health care, professional ethics, attitude and behavior.
3.4 UNC will select and provide the Students to be assigned to the Clinical experience and may elect
to consult with the professional staff of the Agency regarding the learning experiences to which Students
will be assigned for educational experiences at the Agency facilities. In the selection of said assignments,
appropriate consideration will be given to UNC's policies, national accreditation criteria (both voluntary and
regulatory), and the policies, regulations and standards of the Agency.
3.5 UNC will verify that each Student will have completed all prerequisite academic and Clinical
coursework prior to their selection to the Clinical assignment. UNC will notify the Agency of each Student's
assignment including name of Student, schedules, dates, purpose of affiliation and the level of academic
preparation.
3.6 UNC will retain ultimate responsibility for the education of its Students and will determine the
Student's final grade.
3.7 UNC has instructed Students to comply with all requirements of this Agreement in a competent and
professional manner, and in compliance with applicable guidelines, laws and regulations.
3.8 UNC will instruct all Students assigned to the Agency to adhere to the legal and ethical standards
for confidentiality of patient/client records and patient/client information imparted during the Clinical and
training experience. UNC will specifically educate Students in H1PAA confidentiality.
3.9 UNC's employees and Students are provided general liability insurance coverage protection under
UNC's insurance to protect itself, its employees and Students from claims arising from this Agreement but
only with respect to such a Student's conduct within the scope of the Clinical. A certificate evidencing the
limits of the University's insurance program will be provided upon request.

3.10 UNC does require each Student obtain additional professional and general liability insurance to
address any medical malpractice issues within Agency's required limits of $1,000,000 per
occurrence/$3,000,000 aggregate. UNC will notify each Student to provide a copy of said insurance
requirement and further to provide any changes in coverage within thirty (30) days prior to any change
going into effect.
3.11 UNC provides workers' compensation coverage for its employees and to those Students who are
participating in a Clinical setting as a result of the accredited academic program and who receive no pay or
remuneration from Agency.
3.12 UNC will require each Student to complete a background check and require each Student to have
successfully completed a drug screen test. The results of this background check and drug screen will be
on file in accordance with UNC's policy.
3.13 If necessary for the internship, UNC will educate Students in universal blood and body fluid
precautions. UNC will maintain current health records showing the Students physical status and all required
immunizations and vaccinations.
3.14 If required by agency, students must provide the Agency documentation of immunizations ten (10)
days in advance of a student rotation, the student will provide the Agency with documentation of
immunization: to wit: MMR, hepatitis B series (or a signed declaration statement), varicella, Tdap (tetanus,
diphtheria, and a-pertussis), and current (within current -year) PPD results (or if a known converter, initial
chest x-ray results and annual TB update documentation thereafter from healthcare provider).
4.0 RESPONSIBILITIES OF AGENCY
4.1 Agency has a responsibility to maintain a learning environment in which sound educational
experiences can occur. Agency will provide the opportunity for Students and UNC faculty to observe and
participate in agreed upon services provided by Agency.
4.2 Agency retains ultimate responsibility for the quality of care given to its patients. Agency staff in the
areas to which Students are assigned will be responsible for orienting faculty to Agency policies and
protocols, particularly where special rules and regulations are necessary.
4.3 Agency agrees to collaborate with UNC to determine the number of Students and the
length of the assignments.
4.4 Agency will permit Students, staff and faculty of the College of Natural and Health Sciences to use
facilities such as the library, lounges, conference rooms, audio-visual equipment or other teaching
equipment consistent with the regulations and policies set by the Agency at no cost.
4.5 Agency will communicate with UNC representatives concerning any problems or deficiencies that
arise due to a Student's performance. In such an event, the Agency and UNC will collaborate and devise a
plan by which the Student may be assisted in achieving the stated objectives of the Clinical assignment.
Agency has the authority, however, to remove immediately any Student whose behavior or activities are
inappropriate or detrimental to the Agency's provision of health care to its patients or any Student who
poses an immediate threat or danger to personnel, or property, or for unprofessional behavior.
4.6 Agency agrees to abide by the limitations on re -disclosure of personally identifiable information
from education records set forth in The Family Educational Rights and Privacy Act (20 U.S.C. § 1232g; 34
CFR Part 99). ("FERPA:") This is a Federal law that protects the privacy of Student education records.
Agency will keep UNC Student information confidential and limit access to Student records and evaluations
to those who directly supervise Students and/or administer the training or Clinical program.

4.7 If requested, Agency will evaluate the performance of the UNC student(s) using forms provided by
UNC. Agency will permit UNC students to perform services for Agency only when under the direct
supervision of a registered, licensed or certified Agency caregiver in the discipline in which supervision is
to be provided. Students will work, perform assignments, and participate in rounds, clinics, staff meetings,
and in-service education programs at the discretion of supervisors designated by the Agency.
4.8 During the term of this Agreement, Agency will maintain in full force and effect liability insurance
covering the site providing the service under this Agreement. Agency's obligations pursuant to this
paragraph will continue during the entire period that any liability may arise and these obligations will not
terminate on the expiration of the other terms of this Agreement. Nothing in this paragraph will limit any
greater obligation imposed upon Agency by law for professional liability insurance.
5.0 MUTUAL RESPONSIBILITIES/GENERAL PROVISIONS
5.1 UNC and Agency will work together and in cooperation to maintain an environment of quality patient
care. At the insistence of either party, a meeting or conference will promptly be held between UNC and
Agency representatives to resolve any problems or develop any improvements in the operation of the
Clinical.
5.2 Agency will, upon request from UNC assist in the evaluation of the learning and performance of the
Student(s).
5.3 Both parties agree that it will not discriminate on the basis of race, sex, creed, color, age, national
origin, sexual orientation, individual handicap, or veteran's status in any aspect of Student selection for
Clinical experiences or in disciplining procedures.
5.4 Neither party may assign its rights or obligations hereunder without the prior written approval of the
other party; provided, however, that such an assignment may be made only to an entity which is directly or
indirectly, wholly owned or controlled by the same entity as the assigning party.
5.5 Both parties mutually agree to modify this Agreement to comply with the requirements of any privacy
act with respect to the confidentiality of UNC, Agency or Student Confidential information, rules and
safeguards for covered data and information which may be anticipated under this Agreement (covered data
and information includes both paper and electronic records). Any provisions of this Agreement creating
obligations extending beyond the term of this Agreement will survive the expiration or termination of this
Agreement, regardless of the reason for termination.
5.6 Each party may enter into similar agreements with other training institutions, provided that such
agreements do not materially interfere with the ability of each party to carry out its obligations hereunder.
5.7 This Agreement will be governed by and construed in accordance with the laws of the State of
Colorado. Should a dispute arise, the parties agree to first resolve the issue between legal counsel, then
failing resolution, to seek relief in a court of competent jurisdiction.
5.8 This Agreement may be executed in any number of counterparts, each of which when so executed
will be deemed to be an original and all of which when taken together will constitute one Agreement.
5.9 No waiver of a breach of any provision of this Agreement will be construed to be a waiver of any
other breach of this Agreement, whether of a similar or dissimilar nature.
5.10 It is the intent of the parties that no individual or entity be construed or considered to be an intended
or implied as a third -party beneficiary under this Agreement. It is the express intention of the undersigned
parties that any entity, other than the undersigned parties, receiving services or benefits under this
Agreement shall be deemed an incidental beneficiary only.
5.11 Each party hereto agrees to be responsible for its own wrongful or negligent acts or omissions, or
those of its officers, agents, or employees to the extent required by law. University is an institution of higher

education of the State of Colorado whose liability is at all times herein governed and controlled by the
provisions of the Colorado Governmental Immunity Act (CRS §24-10-101, et seq.). Nothing in this
Agreement will be construed as a waiver of governmental immunities.
5.12 For the purpose of this Agreement, the individuals identified below are hereby designated
representatives of the respective parties. All notices required to be given by the parties hereunder will be
hand delivered or sent by certified or registered mail to the individuals at the addresses set forth below.

notices will be sent:

Any notice mailed in compliance with this clause will be deemed to have been given upon the earlier of
receipt or three days after deposit, except that notice of change of address will not be deemed effective
until actual receipt by the intended recipient.
