HomeMy WebLinkAbout20181767.tiffRESOLUTION RE: APPROVE UTILITY RELOCATION AGREEMENT FOR THE COUNTY ROAD 105 WIDENING PROJECT AND AUTHORIZE CHAIR TO SIGN - MORGAN COUNTY RURAL ELECTRIC ASSOCIATION WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Utility Relocation Agreement for the County Road 105 Widening Project between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Morgan County Rural Electric Association, commencing upon full execution of signatures, and ending December 31, 2018, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Utility Relocation Agreement for the County Road 105 Widening Project between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Morgan County Rural Electric Association, be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement. Once the agreement has been signed, please return a signed copy back to me so I can provide it to Morgan County REA. This agreement is for relocation of overhead electric facilities along the west side of WCR 105 from St. Hwy. 14 to WCR 390. The agreement allows Morgan County REA and their subcontractors to order materials and start construction activities. Weld County is compensating Morgan County REA for these relocations in the amount of $177,400. This compensation is to be paid up front, and any remaining funds after the relocation is complete will be reimbursed to the County. I will plan on attending the BOCC hearing to answer any questions that the Board may have regarding this agreement. 2018-1767 BOARD OF COUNTY COMMISSIONERS PASS -AROUND REVIEW PASS -AROUND TITLE: Utility Relocation Agreement with Morgan County REA for WCR 105 DEPARTMENT: PW DATE: 5/11/l8 PERSON REQUESTING: Cameron Parrott Brief description of the problem/issue: Morgan County Rural Electric Association (MCREA) has overhead electric facilities along the west side of WCR 105 between St. Hwy. 14 and WCR 390. County crews will be widening this roadway this summer and need to have the overhead lines relocated further west. MCREA has the existing lines within their own easements. We will not have to re-establish their easements because they are blanket easements, but we will have to compensate MCREA for moving their facilities that we are buying ROW over the top of. MCREA has provided us an estimate for this work in the amount of S177,400. This work was included in the project CIP budget. The County Attorney's Office has reviewed the Morgan County REA Agreement and find it acceptable. What options exist for the Board? (include consequences, impacts, costs, etc. of options): • Approve the utility relocation agreement to move forward to the next available BOCC meeting for approval and signature o Weld County will be required to pay the estimated S177,400 up front o Actual costs will be tracked and any unspent funds will be reimbursed to the County o MCREA estimates that construction will be complete within 8 weeks of receiving their compensation check • Deny the utility relocation agreement o The overhead electric lines will not be relocated and road construction will be delayed Recommendation: Staff recommends moving the utility relocation agreement forward to be presented at the next available BOCC meeting for approval and signature. Pro -Tern Steve Moreno, Chair Schedule Work Session Other/Comments: AGREEMENT BETWEEN MORGAN COUNTY RURAL ELECTRIC ASSOCIATION AND WELD COUNTY FOR THE WCR 105 WIDENING PROJECT THIS AGREEMENT, made and entered into this . j tti day of 'r e, , 2018, by and between Morgan County Rural Electric Association, with Colorado offices at 734 Barlow Road, Fort Morgan, CO. 80701 (hereinafter called "MCREA") and THE COUNTY OF WELD, a political subdivision of the State of Colorado, by and through the Board of Weld County Commissioners, at P.O. Box 758, 1150 O Street, Greeley, CO 80632 (hereinafter called "County"). WITNESSETH: WHEREAS, the County plans to construct or have constructed a roadway improvement project known as the WCR 105 Widening Between St. Hwy. 14 and WCR 390 Project, (hereinafter the "Project"). WHEREAS, MCREA owns electrical supply facilities which are currently located within the Project site, and WHEREAS, MCREA is willing to relocate said electrical facilities to accommodate the Project, and WHEREAS, County is willing to compensate MCREA for the expenses it will incur from this work, as described in Exhibit A (attached). NOW, THEREFORE, for and in consideration of the mutual covenants and agreements hereinafter contained, the parties hereby agree as follows: I. MCREA RIGHTS and RESPONSIBILITIES 1. MCREA Facilities Relocation: MCREA shall relocate the existing electrical facilities as described in Exhibit A. The facilities shall be constructed within MCREA easements outside of the public right-of-way. All work necessary to accomplish the MCREA facilities relocations shall be performed in accordance with MCREA specifications, in accordance with accepted engineering practices, and in compliance with all applicable Weld County, State of Colorado and Federal laws, rules and regulations. 2. MCREA Facilities Not to Conflict with the Project: MCREA agrees that the new locations of the electrical facilities shall not conflict with the Project work being performed by others. 3. Timing of MCREA Facilities Relocation: Unless otherwise approved by the County, MCREA shall complete the facilities relocation work within 8 weeks of receiving their compensation check. 4. MCREA Responsible for Traffic Control: Throughout the work, MCREA agrees that it shall be responsible for coordination of traffic control (where applicable) as established by the "Manual on Uniform Traffic Control Devices" (MUTCD). 1 .QOt$-I-1Co-I 5. MCREA Shall Obtain Right -of -Way Permits: MCREA shall obtain all necessary permits from Weld County required for its facilities relocation work. 6. Reliance on MCREA Expertise: County and MCREA recognize that County is relying solely on MCREA to perform the relocation of their facilities in a manner which will ensure the future integrity of the facilities to be constructed by the County. Therefore, as part of its assurances under this Agreement, MCREA affirms that it has sufficient liability insurance to satisfy any claim of negligence, intentional wrongful acts or other acts or omissions which may arise as a result of any improper work. 7. MCREA Warranty: MCREA warrants that all work performed under this Agreement will be performed in a manner consistent with the professional standards governing such work and the provisions of this Agreement and shall conform to the performance standards and requirements set forth herein and in Exhibit A. 8. Test Results: Upon completion of the work and if applicable, MCREA shall submit to County originals of any test results, reports, etc., generated during completion of this work. Acceptance by County of reports and incidental material furnished under this Agreement shall not in any way relieve MCREA of responsibility for the quality and accuracy of the work. Acceptance by the County of, or payment for, any of the work performed under this Agreement shall not be construed as a waiver of any of the County's rights under this Agreement or under the law generally. II. COUNTY RIGHTS and RESPONSIBILITIES 1. Estimates of Expenses: County has agreed to compensate MCREA for the expenses incurred in fulfillment of its obligations under this Agreement as set forth in the Exhibit A, in the amount of $177,400.00. 2. Increases/Decreases in Estimated Expenses: MCREA has estimated the total cost of the work, as specifically outlined in Exhibit A. If final actual costs of are less than the compensated amount, MCREA shall refund the County the difference between the estimated cost and the actual final cost. If the final costs exceed the estimated amount, County shall pay those reasonable additional expenses up to a maximum of an additional five percent (5%). 3. County to Survey Stake Property and Easements: County shall establish and stake the County property and easements within the work area prior to MCREA work starting. 4. County's Right to Terminate: The County may terminate this Agreement at any time prior to commencement of construction. In such an event, the County shall pay MCREA for all expenses which were incurred by MCREA for engineering and for materials and equipment purchased or ordered and paid for by MCREA, which cannot be returned for a refund, prior to the date of termination. 2 III. MISCELLANEOUS I . Board of County Commissioners of Weld County Approval: This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County, Colorado or its designee. 2. Agreement Binding: This writing, together with the exhibits, constitutes the entire Agreement between the parties hereto with respect to the subject matter herein, and shall be binding upon said parties their officers, employees, agents, and assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. 3. No Third Party Beneficiary: It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties, and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 4. Time of the Essence: Time is of the essence in each and all the provisions of this Agreement. 5. Fund Availability: This Agreement assumes that the work will be completed on or before the end of the County's fiscal year on December 31, 2018. Financial obligations of the Board of County Commissioners of Weld County payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available. By execution of this Agreement, County does not warrant that funds will be available to fund this Agreement beyond the current fiscal year. 6. Severability: If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 7. Attorney Fees/Legal Costs: In the event of a dispute between County and MCREA, concerning this Agreement, the parties agree that Weld County shall not be liable to or responsible for the payment of attorney fees and/or legal costs incurred by or on behalf of MCREA. 8. Governmental Immunity: No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended. 9. Interruptions: Neither party to this Agreement shall be liable to the other for delays in delivery or failure to deliver or otherwise to perform any obligation under the Agreement, where such failure is due to any cause beyond its reasonable control, including but not limited to Acts of God, fires, labor strikes, war, flood, earthquakes, or Governmental actions. 3 SIGNATURE PAGE IN WITNESS WHEREOF, the parties hereto have executed, or caused to be executed by their duly authorized officials, two duplicate originals of this Agreement, each of which shall be deemed an original, on the date first written above. Also attached are some snip -it shots of the relocation areas. I cc'ed several people with this information as I was not sure where to send the invoice. After payment is received, I will order material for the project and start lining up our contractor who will be doing the work. Right now glass insulators and cross arms are the furthest out for ordering, as far as six weeks from the time I order them. Poles and wire are out about four weeks. As I have indicated before, as a nonprofit coop, we will do actual cost on this project when it is completed. Any questions, please let me know and please keep me informed of the project.
