RE: APPROVE MEMORANDUM OF UNDERSTANDING FOR COOKING MATTERS NO KID
HUNGRY CAMPAIGN AND AUTHORIZE CHAIR TO SIGN - SHARE OUR STRENGTH
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Memorandum of Understanding for
Cooking Matters No Kid Hungry Campaign between the County of Weld, State of Colorado, by
and through the Board of County Commissioners of Weld County, on behalf of the Department of
Public Health and Environment, and Share Our Strength, commencing October 1, 2018, and
ending September 30, 2019, with further terms and conditions being as stated in said
memorandum of understanding, and
WHEREAS, after review, the Board deems it advisable to approve said memorandum of
understanding, a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Memorandum of Understanding for Cooking Matters No Kid Hungry
Campaign between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Health and Environment,
and Share Our Strength, be and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said memorandum of understanding.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 15th day of October, A.D., 2018, nunc pro tunc October 1, 2018.

SUBJECT: Renewal Memorandum of Understanding for
the FY18-19 Cooking Matters Program
For the Board's approval is a renewal Memorandum of Understanding between Share Our Strength
and the Weld County Board of County Commissioners for the use and benefit of the Weld County
Department of Public Health and Environment (WCDPHE) for our Cooking Matters program.
Through the support of the Share Our Strength's No Kid Hungry campaign, the WCDPHE is able
to provide healthy cooking and nutritious food shopping education to low income Weld County
residents through two Cooking Matters Coordinators. The coordinators conduct classes throughout
Weld County. The statewide Cooking Matters Colorado (CMC) program receives funding from a
number of sources, including private foundations, the State of Colorado and the federal
government.
The Health Department is requesting to renew this popular program with CMC to maintain the
two Coordinators for Weld County. The funding period begins on October I. 2018, and concludes
on September 30, 2019. CMC will provide up to $131.701.47 for this MOU period. CMC will
provide $83,443.57 for the salary, inclusive of benefits for 1.0 FTE CMC Program Coordinator.
Additionally, CMC will provide $48,257.91 for the salary, inclusive of benefits for a 0.5 FTE
health educator.
CMC also provides funding for all programmatic related expenses (educational material, gift cards,
food, etc). The Health Department continues to be responsible for supervising the position and
providing the computer, phone, and mileage expenses.
This Agreement has been reviewed by Assistant County Attorney. Bob Choate, and it meets with
his approval.
This contract was approved for placement on the Board's agenda via pass -around dated October
8, 2018. 2018.
I recommend approval for the renewal of this MOU with Share Our Strength for the Cooking
Matters Program.

Memorandum of Understanding
This Memorandum of Understanding (MOU) is made on October 1, 2018 by and between Share Our Strength
and Weld County Public Health and Environment.
Cooking Matters is ending childhood hunger by helping families make healthy food choices. Our programs help
parents and caregivers struggling with limited food budgets learn how to shop for and cook healthy, affordable
meals. Cooking Matters is a campaign of Share Our Strength, an organization working to end hunger and
poverty. Cooking Matters Colorado is the Cooking Matters campaign offered throughout the state of Colorado.
Weld County Public Health and Environment works in partnership with the communities they serve, to make
sure all Weld County residence have the opportunity to be health in mind, body and spirit. Weld County Public
Health and Environment provides population -based interventions to improve the health of the entire
community. Weld County Department of Public Health and Environment preserves, promotes and protects the
health and environment of the residence of Weld County.
This MOU is designed to reflect the understandings between Share Our Strength - Cooking Matters Colorado, a
campaign of Share Our Strength, a private non-profit organization offering cooking and nutrition courses to low-
income families, hereinafter CMCO and Weld County Public Health and Environment hereinafter WCPHE.
This MOU will be in effect from October 1, 2018 until September 30, 2019, with opportunity for extension
beyond this date. It shall remain in effect unless terminated by either party with thirty (30) days written notice.
Grant Period and Disbursement of Funds
The funding period begins on October 1, 2018 and concludes on September 30, 2019. CMCO will provide up to
$131,701.47 total for this MOU period.
CMCO will provide $83,443.57 for the salary, inclusive of benefits for a 1 full time CM Program
Coordinator. Additionally, CMCO will provide $ 48,257.91 for the salary, inclusive of benefits for a .5 full
time program coordinator in Weld County.
Upon receipt of invoice from WCPHE, CMCO will provide funds on the following monthly schedule:
Monthly Invoices due at the first of each month, for the previous month's work. First invoice due by November
1, 2018 for $10,975.12 and will continue to invoice for that amount monthly for the duration of this MOU.

Use of Funds
Funds are to be used for purposes related to salary, taxes and benefits for 1 full-time and one .5FTE CM Program
Coordinators from October 1, 2018 until September 30, 2019. specific project goals, objectives and activities
covered under this agreement are outlined in the Scope of Work.
Scope of Work
WCPHE will be responsible for supervising the CM Program Coordinators with the participation and advisement
of the Share Our Strength Program Manager. The Satellite Partner Director, Kelly Campbell will be responsible
for directly supervising the CM Program Coordinators.
CM Program Coordinator(s) will be responsible for:
• Reaching a minimum of 252 participants through approximately, 21 courses, with 100% being
programming targeting Adults, Parents and Families living at or below 200% of the Federal Poverty Line
by September 30th, 2019, complying with CM National Gold Standards, average class size of 12 and
maintaining an 85% graduation rate. Programming will take place in Weld County.
• Implementing Cooking Matters at the Store tours reaching a minimum of 300 participants. Tours can be
used as a recruiting tool, provided as a Week 7 activity for Families classes, or as a 1 time education
event.
• A minimum of 50% reached being Priority Audience, which is equal to 276 participants, for overall
course and tour participants. Priority Audience being defined as a parent or caregiver of children ages
0-5.
• In order to align with CMCO statewide 2019 Fiscal Year Goals, 75% of annual goals outlined above are to
be reached 9 months into this MOU period. By June 30, 2019 189 course participants and 225 tours
participants will be reached.
• Participate in pilots and innovation projects that further support the policy, systems and environment
(PSE) work when and where appropriate.
o PSE activities may include Local Health Champions, Social Marketing, Healthy Retail, Healthy
Pantry work, promotion of the Cooking Matters App, partnership with Culture of Wellness, ,
and other initiatives as they are introduced around the state
o In partnership with LiveWell Colorado's Food Insecurity Nutrition Incentive (FINI) grant, some
annual implementation of Cooking Matters® at the Store with the Farmers Market addendum is
required. This addendum is a guided farmers' market tour that teaches low-income adults to
identify and use local produce and other healthy local foods and to demonstrate how to get the
most nutrition and fresh produce shelf -life for their food dollars. When feasible to support
expanded food skills education promotions and promotion of DUFB at the markets.
• Support recruitment, training and program support for 4 regional Cooking Matters Colorado Train -the -
Trainer partners in Weld County resulting in 144 participants being reached through 12 gold- standard
courses, reaching 72 Priority Audience. Additional partners to complete additional courses will be
supported.
• Recruit, train and maintain a large enough volunteer pool to fill each course and tour with qualified
volunteer culinary and nutrition educators and working to train and mentor program graduates into
support volunteer positions.
o Support a statewide goal of increasing volunteer engagement between Oct 2018 -Sept 2019. For
Weld County this means engaging 27 or more volunteers who contribute approximately 655

hours of time. This also means maintaining timely and accurate database records related to
individual volunteers, trainings, and course and tour involvement.
o Funds for volunteer engagement will be provided at $300 to use at the partner's discretion
(invoiced by June 15` 2019), with the goal of recruiting, engaging, training, retaining, and
appreciating volunteers from Weld County.
• Recruiting, verifying, training and retaining enough agency partners to reach at least 252 total adults,
parents and families living at or below 200% of the Federal Poverty Line through CM courses.
• Participation in other nutrition, health or food -based events to promote Cooking Matters campaign, No
Kid Hungry campaign (NKH), WCPHE and their respective messages
o If other Cooking Matters programming, such as Cooking Matters at the Store events or Cooking
Matters for Child Care Providers, are held in the service area of this position, WCPHE
coordinators will be notified and asked to participate if appropriate.
• Promote NKH tactics and activities, such as sharing info with class participants and agency partners
about summer meals sites, CACFP programs, etc.
• Connect with and participate in other relevant community partnerships/coalitions, such as LiveWell,
Family Resource Center Association and coordinate with SNAP -Ed State and Implementing agencies as
appropriate.
• Work with SNAP -Ed program and Train -the -Trainer locations to prevent duplication of services. For
example dividing up program locations, participant recruitment, types of programming and outreach to
avoid overlap and confusion among multiple implementing agencies.
• CM Coordinator will participate in required Cooking Matters local and national trainings.
• Participate in required Cooking Matters local and national reporting to be the responsibility of the
WCPHE.
Implementation and Expenses
CMCO will provide ongoing training and technical assistance for the WCPHE Programs Director and CM Program
Coordinator for program support and program implementation.
CMCO will reimburse travel expenses at IRS mileage rate and lodging for New Hire training as well as required
Statewide and National conferences.
CMCO will provide all course curriculum, participant healthy food tools, volunteer gifts, grocery cards and bin of
cooking equipment, nutrition tools and Tablets; above and beyond the quarterly payments spelled out in this
MOU. CMCO will provide 20 Tablets (with covers and chargers) per location and will remain property of CMCO.
WCPHE will be liable for care and protection of the Tablets per the program equipment agreement, and
responsible for tablet replacement for any reason.
CMCO will cover course grocery expenses of up to $12,600 in total during this MOU period that includes
groceries for 252 participants at $50 per participant. This is above and beyond the quarterly payments spelled
out in this MOU. If additional courses are completed, CMCO commits to provide an additional $50 for each 6 -
week course participant.
CMCO will provide all Cooking Matters at the Store grocery tour participant gift cards. This amount will not
exceed $3,000 annually this is above and beyond the quarterly payments. WCPHE must flag and receive

approval from CMCO Program Manager if there is a need to exceed above amount, $3,000, for Cooking Matters
at the Store gift cards.
Guidelines for grocery purchases are as follows:
• Every household in CMA, CMF, CMP courses will receive take home bags of groceries for classes 1-4 and
6.
• Every household/participant shall receive a $10 gift card after completion of Week 5 grocery store tour
and Cooking Matters at the Store Tours.
• The course grocery budget is calculated as $50 per person/ per course for all associated grocery
expenses. For example, a course containing 12 participants will have a budget of $600 for the entire
course, including in class food, take home groceries, and the $10 gift card for week 5 lessons. A course
containing 8 participants or families shall have a budget of $400 (8 x $50).
WCPHE will supervise CM Program coordinators and offer support for program implementation. Support for all
CM Program Staff will include office space, storage space, phone, computer, internet, copy machine, mileage,
printing, copies, postage and other tools needed to effectively administer the program. WCPHE is encouraged to
share upcoming activities/events related to health and hunger with CMCO for inclusion in the CMCO and NKH e -
newsletters, at least 2 story submissions per MOU year with accompanying photos and waivers.
Monitoring and Reporting
CMCO will monitor program operations under this partnership. Such monitoring will include site visits by CMCO
staff, and on occasion, by funding partners of CMCO, to observe program administration. If the CMCO Program
Staff determines that the program implementation is not at the agreed upon levels, the CMCO Program Staff
may request a written explanation of programmatic progress or expenses at any time.
CMCO Program Manager, will have regular phone contact with WCPHE and make occasional site visits to
determine the effectiveness of the partnership. WCPHE should feel free at any time to contact CMCO Senior
Program Manager with questions or concerns. CMCO will have also regular contact with WCPHE Programs and
CM Program Coordinator to offer on -going training and program support.
CMCO requests a report from the WCPHE on basic course outputs at the completion of each Cooking Matters
program/course (within one week) as well as implementation of the established Cooking Matters participant
evaluation system.
CMCO requests Quarterly, PEARS database PSE, Partnership and Coalition entries must be updated in alignment
with CMCO requirements and guidance.
CMCO will request "Quarterly Check in" calls that will require the completion and review of a program
evaluation document to be discussed with coordinator and CMCO manager. "Bi-Annual Team Check -ins" will
include Satellite Partner Director, CM coordinators and CMCO Program Manager.
Upon the departure of CM coordinators as an employee of WCPHE, CMCO may request an Exit Interview with
the departing coordinator.

Other Terms and Conditions
The following terms and conditions also apply:
Cross Promotion: CMCO and WCPHE agree to cross promote programs and include the other party in media
opportunities whenever appropriate using correct language and logo to well represent each agency. Notification
of promoting or media attention will be shared with each partner.
Termination: Share Our Strength reserves the right to terminate this agreement, if in its sole discretion, it
determines that the Satellite Partner has made any misrepresentations, has in any way misappropriated funds
or has done anything inconsistent with this agreement.
The declaration of bankruptcy or a decision to cease operations by Satellite Partner will automatically terminate
this agreement.
Either Party may terminate this agreement upon thirty (30) days written notification to the other Party. Satellite
Partner shall furnish to Share Our Strength all necessary reports completed or in progress through the date of
termination of this agreement.
Any funds provided to the Satellite Partner that are not expended or committed for the purposes of this
partnership, or within the partnership period as described above, will be returned to Share Our Strength.
Moreover, Satellite Partner will promptly return unexpended funds if Share Our Strength or Satellite Partner
elects to terminate said agreement as outlined above.
CMCO and WCPHE agree to notify each other of problems or challenges and changes to this agreement in
writing as soon as they arise.
IN WITNESS WHEREOF, the parties hereto have caused this agreement to be duly executed by their respective
authorized representatives as of the date signed.
