As for the attached Solutions II pass around, the terms of that attached contract have expired. That board request was
to extend the paid bucket of hours until 9/30/2018. Since then, Weld county has entered into a new separate managed
serveries contract replacing the attached agreement.

This email serves as a status update for documents from the Commissioners Agenda that are pending final
signatures from various sources. When final signatures are obtained, please remember to send a copy to the
Clerk to the Board's Office to ensure the Commissioners' final Resolution is signed, the Resolution is
distributed, and the complete document is finalized. The query included items pending as of today's date. so
there are items from recent Agendas that understandably may not have final signatures yet.
*If it is not possible to gain the final signature of a document, especially in cases of documents prior to 2018.
please respond as such with an explanation for us to scan into Tyler in lieu of the final signature.

Brief description of the problem/issue:
As part of the upgrade to Spillman 6.3 IT contracted support hours with Solutions II. The original contract
included hours that needed to be used by April 1, 2018. The proposed change request would allow us to extend
the remaining support hours to September 30th 2018 at no cost.
What options exist for the Board? (Include consequences, impacts, costs, etc. of options)
Grant authorization for the Chair to sign the change request to the original contract.

Recommendation:
Weld County IT recommends that the Board grant approval for the Chair to sign the change request which will

Statement of Work: Weld County Hourly Linux Support

Executive Summary:
This Statement of Work ("SOW") is agreed by and between Weld County, CO ("Client") and Solutions -II, Inc.
("Solutions II"), and in accordance with the Master Services Agreement ("MSA").
Solutions II, under the guidance and participation of Client, will provide 30 hours of support in the installation,
configuration, and ongoing support of the county's Spillman Redhat Linux server running in the Client's
VMware environment.
This SOW is subject to the Agreement Terms set for in the MSA. Any obligations by any party defined within
this SOW are limited to this SOW and any subsequent Project Change Requests which further define this
SOW.
Unless executed, this offer expires April 17th, 2017.
Scope of Work:
• Scope
1. Support of (1) production Spillman Red Hat Linux virtual machine running in the Client's VMware
environment.
2. Support of (1) test Spillman Red Hat Linux virtual machine running in the Client's VMware
environment.
3. Hours will be scheduled in advance for a mutually agreed upon date and time. If urgent help is needed
and cannot be scheduled in advance, Solutions II will engage on a "best effort" time frame.
4. Thirty (30) hours will be available for use under this contract for a period of one (1) year following the
date of signature in the Statement of Work. Unused hours will be forfeited.
S. All work will be done remotely during normal business hours (8 am — 5 pm local time) unless other
arrangements are negotiated.
a. Normal business hours work will be billed against the prepaid hours at $210/hour.
b. After hours work will be billed against the prepaid hours at $315/hour.
• Out of Scope
The following are not included in the scope of this SOW:
1. Remediation of the Client's environment needed to meet the minimum requirements to support the
services in scope.

Solutions II Responsibilities:
1. Project Coordination
a. Solutions II will provide a Project Coordinator to schedule work and assist with project support.
2. Implementation
a. Provide 30 hours of support for the counties Red Hat Linux virtual machine running the Spillman
application.
Client Responsibilities:
1. Facility Readiness - Client will provide the power, cooling, space, cabling, network infrastructure and
access required for the Service Provider to deliver the services in scope.
2. The Client will provide Solutions II technical resources with safe access, suitable office space, supplies,
furniture, high-speed connectivity to the Internet, and other facilities for Solutions II's personnel while
working at the location(s) specified in this SOW.
3. The Client will provide appropriate technical and management resources to participate in the
implementation, including an Authorized Contact who will obtain and provide applicable information,
data, consents, decisions and approvals as required by Solutions II to perform the services.
4. The Client will provide maintenance windows as required to perform services.
5. The Client will ensure that current maintenance and license agreements are in place with applicable
vendors for those products and services upon which Solutions II is relying to provide the services
described herein.
6. Solutions II's performance is dependent upon Client management and fulfillment of Client
responsibilities, at no charge to Solutions II. Any delay in performance of Client responsibilities may
result in additional charges and/or delay of the completion of the services. Such additional charges
and/or delay will be handled in accordance with the Project Change Control Procedure.
Project Change Control Procedure:
In the event it is necessary to change this Statement of Work, the following procedure will be used:
1. A Project Change Request document ("PCR") will be executed by the parties describing the nature of
the change, the reason for the change, and the effect the change will have on the scope of work,
which may include changes to the work product. Parties will determine the additional/subtraction
charges, if any, and they will be detailed in the PCR.
2. Either party may initiate a PCR. The requesting party will review the proposed change with the other
party, and the appropriate authorized representatives of the parties will sign the PCR, indicating the
acceptance of the changes by the parties.
3. Upon execution of the PCR, said PCR will be incorporated into and made a part of the applicable
scope of work.

Project Completion:
Solutions II shall have completed its obligations under this SOW upon the earliest to occur of:
1. Delivery to Client of the in -scope items included in this SOW;
2. Provision of Services for the project through the SOW Hours Expiration Date defined in the Payment
Section;
3. The Maximum Authorized Number of Hours defined in the Payment Section has been reached.
Payment:
Fees for services rendered pursuant to this SOW shall be paid by Client as follows:
1. A total fee of six thousand three hundred dollars, ($6,300) will be paid by the Client for a maximum of
30 hours of support during normal business hours (8 am to 5 pm local time).
a. $6,300 will be due upon execution of this SOW.
2. Additional hours may be purchased in blocks of 10 hours.
a. $2100 for each additional block of 10 hours
3. Maximum Authorized Number of hours equals 30 hours (at normal business hours rate)
4. SOW hours expiration date: April 1, 2018
5. Travel Expenses:
a. All work is anticipated to be performed remotely. Should travel be required, then travel
expenses will be responsibility of the client.
All fees and costs incurred under the terms of this Agreement shall be due 30 days after a statement has
been sent to Client by Solutions II. Any late payment is subject to an interest charge of 1.5% per month (18%
per annum) plus all costs of collection including attorney fees and costs.
Client is responsible to pay all applicable state and local sales and use taxes related to professional services.
