Bison Oil & Gas II, LLC ("Bison") is purchasing a certain oil and gas lease (the "Lease")
from Morning Gun Exploration, LLC ("MGE") in Weld County, Colorado to which Weld County,
Colorado, a political subdivision of the State of Colorado, acting by and through the Board of
County Commissioners of the County of Weld is named as "Lessor." The Lease is more
particularly described on Exhibit "A", attached hereto.
Pursuant to Paragraph 9.A. of the Lease, MGE respectfully requests Lessor's consent to
assignment of the Lease to Bison. Please indicate your agreement and consent to MGE's
assignment of the Lease to Bison by signing in the space provided below. Please return this fully
executed letter using the enclosed self-addressed and stamped envelope at your earliest
convenience.
