AGREEMENT WITH RESPECT TO LEGAL NON -CONFORMING USE
THIS AGREEMENT WITH RESPECT TO LEGAL NON -CONFORMING USE ("Agreement")
is dated December 4, 2017, and is between THE TOWN OF WINDSOR, a Colorado home rule
municipal corporation ("Town"), and BURNCO COLORADO, LLC, a foreign limited liability
company organized under the laws of the State of Texas, dba Bestway Concrete ("Bestway").
A. RECITALS.
1. Bestway is in the business of mining and processing sand and gravel at various locations
in and around the Town's corporate limits.
2. Bestway is currently and has been operating a gravel mining and processing site upon the
real property depicted in Exhibit A, attached hereto and incorporated herein by this
reference ("Bestway Property").
3. The parties recognize that, at the time a portion of the Bestway Property was annexed to
the Town, Bestway was operating its gravel mining and processing site at the same level
and character of intensity as is presently taking place.
4. Bestway has sought permits for an expansion of its gravel mining operations into what is
known as the Lee Property ("Lee Property"), which lies north of the Bestway Property
and south of State Highway 392.
5. The Lee Property does not lie within the Town's corporate limits, but is within the
Town's Growth Management Area and is, therefore, subject to the Town's Coordinated
Planning Agreement with Weld County dated August 10, 2015.
6. The parties desire to reach understandings regarding the future use of that portion of the
Bestway Property lying within the Town's corporate limits, and to further reach terms
with respect to related activity taking place inside the Town's corporate limits.
NOW, THEREFORE, the parties agree as follows:
B. AGREEMENT REGARDING LEGAL NON -CONFORMING USE.
The Town hereby reaffirms that the gravel mining and gravel processing activity presently taking
place on the Bestway Property is a legal non -conforming use as provided in and as subject to
Windsor Municipal Code Section 16-8-50, the terms of which are incorporated herein by this
reference.
C. AGREEMENT REGARDING TRUCK TRAFFIC.
(1) All inbound materials haulers shall enter the Bestway Property from Weld County Road
13, and shall not travel that portion State Highway 392 between its intersection with State
Highway 257 and its intersection with Weld County Road 13.

(2) Except for local deliveries of product processed within the Bestway Property or other
locations, Bestway's outbound materials haulers shall not travel that portion State
Highway 392 between its intersection with State Highway 257 and its intersection with
Weld County Road 13.
(3) Bestway shall use best management practices to prevent materials spills within the
Town's corporate limits. In the event of a spill, Bestway will promptly respond with
clean-up measures upon notification by the Town or by third parties. Nothing herein
shall require Bestway to respond to materials spills by haulers not affiliated with
Bestway, it being the parties' intention that Bestway's response to unaffiliated hauler
spills shall be at Bestway's sole election.
D. AGREEMENT REGARDING ENTRYWAY.
Bestway agrees that its entryway from Weld County Road 13 will be improved through
improved fencing and an upgraded pole gate structure. The general appearance of the entryway
will correspond to other facilities of like character in the vicinity of the Bestway Property.
Nothing herein shall require Bestway to install landscape plantings of a permanent nature, nor
require the installation of improvements that cannot later be removed.
E. AGREEMENT REGARDING GRAVEL PROCESSING FACILITY.
(1) To the extent reasonably practicable prior to processing of the material extracted from the
Lee Property, Bestway will store such material at an elevation below grade and within the
existing pit area to the south of the gravel processing facility. Nothing herein will be
deemed to prohibit material stockpiling up to State -permitted levels, but material will be
stockpiled below -grade to maintain a stockpile height at or below permitted levels.
(2) To the extent reasonably practicable and at such time as the material extracted from the
Lee Property is no longer within the existing pit area to the south of the gravel processing
facility, Bestway will take reasonable measures to store accumulated pre-processed
material at an elevation below grade and within the existing pit area to the south of the
gravel processing facility. Nothing herein will be deemed to prohibit material stockpiling
up to State -permitted levels, but material will be stockpiled below -grade to maintain a
stockpile height at or below permitted levels.
(3) The parties acknowledge that the Bestway gravel processing facility is operating under
one or more permits issued by the Division of Reclamation and Mine Safety ("DRMS
Permit"), and that Bestway intends to exercise the privileges granted by the DRMS
Permit until final reclamation is approved. Nonetheless, the parties agree that at such
time as the reclamation requirements under the DRMS Permit are finally approved,
Bestway will discontinue gravel processing within the Bestway Property.
(4) Nothing herein shall prevent the parties from reaching future understandings with respect
to alternative sites for the gravel processing facility, including relocation of the gravel
processing facility prior to the completion of reclamation requirements under the DRMS
Permit.
F. MISCELLANEOUS.
(1) Entire Agreement. The terms set forth herein represent the entire understanding of the
parties with respect to its subject matter. There are no enforceable representations,
promises or undertakings other than set forth herein.
(2) No Third -Party Beneficiaries. There are no third -party beneficiaries intended under this
Agreement. No person or entity other than the signatories below shall have any right to
enforce this Agreement.
(3) Severability. If any portion of this Agreement is declared unenforceable by a court of
competent jurisdiction, the remainder shall nonetheless be given full effect.
(4) Governing Law, Venue. This Agreement shall be construed in accordance with Colorado
law. Venue for any litigation between the parties arising out of this Agreement shall
exclusively lie in the state courts of Colorado, sitting in Weld County.
(5) Binding Effect. This Agreement shall inure to the benefit of and be binding upon the
parties and their respective successors and assigns.
(6) Assignment. Bestway shall not assign this Agreement without the Town's prior written
consent. No assignment shall be effective as to the Town unless the Town has given its
prior written consent. Consent to an assignment shall not be unreasonably conditioned or
withheld by the Town.
(7) Waiver. The waiver by any party of a breach of any term of this Agreement shall not be
construed as a waiver of any subsequent breach by any party.
(8) Amendments. This Agreement may only be modified in writing, bearing the signatures
of the parties signing below.
(9) Default, Remedies.
(a) Events of Default.
1. Bestway's failure to perform or observe any of its covenants, agreements,
or conditions set forth in this Agreement shall constitute a default by Bestway.
2. The Town's failure to perform or observe any of its covenants,
agreements, or conditions set forth in this Agreement shall constitute a default by
the Town.

3. Neither party may declare a default until written notice has been given to
the other party. Upon receipt of such written notice, the party so notified shall
have the right to initiate good -faith efforts to cure any default within 30 days.
(b) Remedies Upon Default
1. In the event of a breach or default of this Agreement by any party, the
non -defaulting party shall be entitled to exercise all remedies available at law or
in equity, specifically including suits for specific performance and/or monetary
damages.
2. Notwithstanding the generality of the foregoing, upon Bestway's default,
the Town shall have the right to terminate the legal non -conforming use status for
that portion of the Bestway Property located within the Town's corporate limits.
(10) Attorney fees. Except as limited and as permitted by Colorado law, the prevailing
party in any litigation arising out of this Agreement shall be entitled to an award of
reasonable attorney fees in addition to any other relief granted by a court of competent
jurisdiction.
