RE: APPROVE AGREEMENT FOR TRANSPORTATION ALTERNATIVES PROGRAM FOR
SOUTH PLATTE RIVER TRAIL AND AUTHORIZE CHAIR TO SIGN - CITY OF FORT
LUPTON
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for Transportation
Alternatives Program for South Platte River Trail between the County of Weld, State of Colorado,
by and through the Board of County Commissioners of Weld County, on behalf of the Department
of Human Services, Weld County Youth Conservation Corps, and the City of Fort Lupton,
commencing upon full execution of signatures, with further terms and conditions being as stated
in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Agreement for Transportation Alternatives Program for South Platte
River Trail Improvements between the County of Weld, State of Colorado, by and through the
Board of County Commissioners of Weld County, on behalf of the Department of Human Services,
Weld County Youth Conservation Corps, and the City of Fort Lupton, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 2nd day of May, A.D., 2018.

with the City of Fort Lupton
Please review and indicate if you would like a work session prior to placing these items on the Board's agenda.
Request Board Approval of the Departments' Employment Services of Weld County (ESWC) Weld
County Youth Conservation Corps (WCYCC) Public Works Agreement with the City of Fort Lupton.
The City of Fort Lupton was awarded a Colorado Department of Transportation (CDOT) Transportation
Alternatives Program (TAP) grant. The grant provides funding for transportation improvement projects that
expand travel choice, strengthen the local economy, improve quality of life and protect the environment.
WCYCC will assist with the creation of an Americans with Disabilities Act (ADA) compliant trail beginning at
State Highway 52, alongside the South Platte River, and ending at County Road 17 '/2. This grant allocates
$63,000 of funds to be earned by WCYCC.
There has been a nationwide focus to carry forward such project initiatives forward with the inclusion of Youth
Corps. WCYCC will be the first in the state of Colorado and one of the first nationally to be intimately
involved with a TAP Project.
I do not recommend a Work Session. I recommend approval of these Agreement.

PUBLIC WORKS AGREEMENT
This PUBLIC WORKS Agreement is entered into by and between the City of
Fort Lupton. Colorado (hereinafter "City") and the Weld County Youth Conservation
Corps (WCYCC) (hereinafter"CONTRACTOR").
WHEREAS, the parties hereto agree in consideration of the covenants, payments and
aureements set forth herein as follows:
1. SCOPE OF WORK. Contractor Nvill furnish all tools, equipment,
machinery, supplies, superintendence, insurance, transportation, labor and other
construction accessories. services and facilities specified or required to be incorporated in
and for a permanent part of the completed work. Contractor shall provide and perform all
necessary labor in a first class and workmanlike manner and in accordance with the
conditions and prices stated in the bid proposal and the requirements, stipulations,
provisions and conditions of the contract documents. Contractor shall perform, execute,
construct and complete all things mentioned to be done by the Contractor and all work
included in the scope of work and project documents set forth and incorporated herein.
2. CONTRACT DOCUMENTS. The executed Contract Documents shall
consist of the following:
a. Executed Agreement
b. Plans and specifications dated June13. 2016 prepared by Wohnrade Civil
Engineers, Inc.
This Agreement, together with other Documents enumerated above, which said other
Documents are as fully a part of the Contract as if hereto attached or herein repeated,
form the Contract between the parties hereto. In the event that any provisions in any
component part of this Contract conflicts with any provision of any other component part,
the conflict shall be resolved by the Engineer whose decision shall be final.
3. TIME OF COMPLETION. (a) The Contractor agrees to commence
work after project approvals receipt needed by both parties and to complete all work
within 20 weeks" time.
(b) Notwithstanding (a), neither party to this Agreement shall be liable to the other for delays in
delivery or failure to deliver or otherwise to perforce any obligation under this Agreement, where
such failure is due to any cause beyond its reasonable control, including but not limited to
inclement weather. other Acts of God. tires, strikes, war, flood, earthquakes or Governmental
actions.
4. CONTRACT SUM. The City shall pay to the Contractor for
performance and completion of the work encompassed by this Agreement, and the

Contractor will accept as full compensation therefore the sum of $ 63,000. subject to
confirmation by the City of completion of the scope of work in accordance with the,
contract documents attached hereto. Said amounts to be paid upon inspection and
acceptance of the work by the City, including completion by the Contractor of any
punch -list items as determined jointly by the Parties prior to completion of the project
and execution of any releases by Contractor deemed necessary by the City.
5. CONTRACT APPROPRIATIONS/NO CHANGE ORDERS. The City
states that the amount of money appropriated for this Agreement is equal to or in excess
of the contract amount. No change order to this Agreement requiring additional
compensable work to be performed, which work causes the aggregate amount payable
under this Agreement to exceed the amount appropriated for the original contract shall be
issued by the City unless the City notifies the Contractor in writing, that lawful
appropriations to cover the costs of this additional work has been made.
6. AMENDMENT/NO ASSIGNMENT. No modification or
amendment of this Agreement shall be valid unless in writing and signed by all parties to
this Agreement.
7. COMPLETE AGREEMENT. This Agreement, and the exhibits
hereto, shall constitute the entire agreement between the parties with respect to the
subject matter hereof and there are no agreements, representations or warranties other
than as set forth herein.
8. SEVERABIL1TY. In the event any portion of this Agreement is held to
be unenforceable, the unenforceable portion of this Agreement will be deleted and the
remaining provisions of the Agreement shall continue in full force and effect.
9. GOVERNMENTAL IMMUNITY. No term or condition of this contract shall
be construed or interpreted as a waiver, express or implied, of any of the immunities, rights,
benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-
101 et seq., as applicable now or hereafter amended.
10. GOVERNING LAW. This Agreement shall be governed by the
laws of the State of Colorado. All parties agree that any dispute regarding enforcement
of this Agreement shall be filed in Weld County District Court after first attempting in
good faith to submit the dispute to mediation. Submission of any dispute to mediation
shall be a condition precedent to filing litigation in this matter, other than the request for
injunctive relief
