SUBJECT: Accela, Inc. License Expansion Agreement
Accela, Inc. provides software to Weld County. The software is used by Public
Works, Planning & Zoning, and EHS departments to manage permits and workflow
for their areas. The attached agreement between the Board Of County
Commissioners and Accela, Inc. is for the expansion of the number of licenses for
their Land Management module. The requested amount is $20,577.60 for the
licenses. This agreement was reviewed and approved by Legal and the cost was
budgeted as a 2018 project.
We ask that the BOCC approve the agreement as submitted

Brief description of the problem/issue:
Accela, Inc. provides software to Weld County. The software is used by the Public Works, Planning & Zoning,
and EHS departments to manage permits and workflow for their areas.
The attached agreement between the Board of Weld County Commissioners and Accela, Inc. is for the
expansion of the number of licenses for their Land Management module. The requested amount for these
licenses is $20,577.60.
What options exist for the Board? (include consequences, impacts, costs, etc. of options):
This provider specializes in selling this software which is utilized by Public Works, Planning & Zoning, and
EHS to conduct their daily business.
Recommendation:
The agreement has been reviewed and approved by Legal. It is recommended that the BOCC approve the
agreement for the above specified amount.

2. Effective Date This Amendment is effective as of the date of last signature ("Amendment Effective Date").
3. Addition of New Licenses. Accela and Customer entered into a licensing agreement dated December 30, 2004, and a
Maintenance Agreement dated April 2, 2014 (No. 2014-1041), for Accela's performance of certain services and/or
delivery of software to Customer (the "Agreements"). The parties agree, as of the Amendment Effective Date, to
amend Exhibit A of the Agreements to add additional licenses as set out in the Exhibit A hereto.
4. Terms and Conditions
4.1 Unless specifically amended, modified, or supplemented by this document, all terms and conditions of prior written
agreements between the parties shall remain unchanged and in full force and effect. The parties expressly disclaim
any alternate terms and conditions accompanying drafts and/or purchase orders issued by Customer.
4.2 If any particular provision of this document is determined to be invalid or unenforceable, that determination shall
not affect the other provisions which shall be construed in all respects as if the invalid or unenforceable provision
were omitted.
