RE: APPROVE INTERGOVERNMENTAL AGREEMENT FOR TRANSFER OF
RIGHTS -OF -WAY AND EASEMENTS AND THE DISCONNECTION OF PROPERTY,
AND ACCEPT QUIT CLAIM DEED AND AUTHORIZE CHAIR TO SIGN ALL
NECESSARY DOCUMENTS - TOWN OF FIRESTONE
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Intergovernmental Agreement for
Transfer of Rights -of -Way and Easements and the Disconnection of Property and Quit Claim
Deed between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, and the Town of Firestone, commencing upon full execution of
signatures, with further terms and conditions being as stated in said Intergovernmental Agreement
and Quit Claim Deed, and
WHEREAS, after review, the Board deems it advisable to approve said intergovernmental
agreement and accept quit claim deed, copies of which are attached hereto and incorporated
herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Intergovernmental Agreement for Transfer of Rights -of -Way and
Easements and Disconnection of Property and Quit Claim Deed between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, and the
Town of Firestone, be, and hereby are, approved and accepted.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said necessary documents.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 16th day of April, A.D., 2018.

INTERGOVERNMENTAL AGREEMENT FOR
TRANSFER OF RIGHTS -OF -WAY AND EASEMENTS, AND THE DISCONNECTION
OF PROPERTY FROM THE TOWN OF FIRESTONE
THIS INTERGOVERNMENTAL AGREEMENT is made and entered into effective as
of the date set forth below, between the COUNTY OF WELD, a political subdivision of the State
of Colorado, whose address is P. O. Box 758, 1150 O Street, Greeley, CO 80632, hereinafter
referred to as "Weld County," and the TOWN OF FIRESTONE, a municipal corporation of the
State of Colorado, with address of 151 Grant Avenue, P.O. Box 100, Firestone, CO 80520,
hereinafter referred to as "Firestone."
WITNESSETH:
WHEREAS, Firestone is currently working with developers to plan for, annex, and
construct roadways and drainage improvements in and around the "Gateway" project, located east
of I-25 and south of Weld County Road ("WCR") 24.5, and
WHEREAS, Firestone seeks the transfer from Weld County of certain rights -of -way for
WCR 24.5, permanent easements for drainage and a temporary construction easement, all of which
are described and shown on the attached Exhibits "A -D," and
WHEREAS, Weld County desires the disconnection of a property located south and east
of the Southwest Weld County Service Center shown on the attached Exhibit "E;" said property
being described and shown on the attached Exhibit "F," and
WHEREAS, the transfer of the rights -of -way and easements shall be without cost to
Firestone, and
WHEREAS, the construction of the roads described herein and the drainage improvements
shall be without cost to Weld County, and
WHEREAS, Firestone agrees that the disconnection of the property described and shown
on Exhibit E is reasonable, necessary and appropriate, and
WHEREAS, all of the rights -of -way and easements to be conveyed, including agreed
upon access points, are shown on the map which is attached hereto as Exhibit "E," and
WHEREAS, in accordance with Section 29-1-203, C.R.S., political subdivisions may
cooperate or contract with one another to provide any function, service or facility lawfully
authorized to each of the corporations or contracting entities.
WITNESSETH:
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, the parties hereto agree as follows:

1. TERM: The term of this IGA shall be from the date of signature hereunder to and until the
date of final action on the disconnection from Firestone of the property described in Exhibit
F; however, the maintenance requirements set forth in Paragraph 4, below, for the drainage
improvements on the easements described and shown in Exhibits B and C shall continue
until such time as Firestone ceases to use such improvements. Timing for the transfer of
the rights -of -way and easements shall be commensurate with the commencement of the
process for disconnection by Firestone.
2. TRANSFER OF RIGHTS -OF -WAY FOR WCR 24.5: Weld County shall, by quit claim
deed, transfer to Firestone ownership of the rights -of -way for WCR 24.5 which are
described and shown on Exhibit A. Weld County shall reserve unto itself any minerals
thereunder currently owned by Weld County. The transfer of such rights -of -way shall be
without cost to Firestone. Firestone agrees that it will petition itself for the annexation of
the rights -of -way for WCR 24.5 described and shown on Exhibit A.
3. TRANSFER OF DRAINAGE EASEMENTS: Weld County shall, by Grants of Easement,
transfer to Firestone the permanent drainage easements described and shown in Exhibits B
and C. The transfer of such easements shall be without cost to Firestone.
4. MAINTENANCE OF DRAINAGE STRUCTURES AND PERMANENT DRAINAGE
EASEMENTS: Storm drainage from the Gateway project shall flow via pipeline across
the permanent drainage easement described and shown on Exhibit B into an existing pond
owned by Weld County and located immediately south and west of the Southwest Weld
Service Center. Flow from the pond to the St. Vrain River shall be via pipeline across the
permanent drainage easement described and shown on Exhibit C. Firestone, at its sole
cost, agrees to maintain said pipelines and their associated intake, outlet structures, and
emergency spillway in a manner which will ensure continued flow. Firestone will utilize
best management practices in such maintenance. Weld County shall be given the right to
review and comment on construction drawings and documents prior to the commencement
of construction. Design of the drainage pipeline described and shown on Exhibit B shall
include best management practices for ensuring the quality of the storm water drained into
said pond. Such design may require the installation of an interceptor or grease trap.
Firestone agrees to periodically dredge the pond to eliminate accumulated sediment, if
necessary, to ensure proper flows. The maintenance obligation required by this Paragraph
4, shall be in perpetuity. Firestone shall be responsible for any necessary repairs of the
drainage improvements if they are damaged. Firestone agrees to indemnify, defend and
hold harmless Weld County, its officers and employees, from any liability caused by the
negligent actions of Firestone's employees or agents in design, construction and/or
maintenance of said drainage improvements. The construction and maintenance of said
drainage improvements shall be without cost to Weld County.
5. ACCESSES GRANTED TO WELD COUNTY: Firestone agrees to the accesses shown
on Exhibit E. Such accesses shall be without limitation as to number or type of vehicles.
Such access shall be constructed and maintained by Weld County and/or the Ground Water
Management Subdistrict of the Central Colorado Water Conservancy District by and
Through its Water Activity Enterprise.

6. DISCONNECTION OF PROPERTY BY FIRESTONE: Firestone agrees to, at the time
of the transfers of rights -of -way and easements described herein, commence the process of
disconnecting the property described and shown on the attached Exhibit F. Such
disconnection shall be without cost to Weld County. Weld County shall provide any and
all consents and signatures necessary to accomplish such disconnection.
7. ENTIRE AGREEMENT: This writing constitutes the entire IGA between the parties
hereto with respect to the subject matter herein, and shall be binding upon said parties, their
officers, employees, agents and assigns and shall inure to the benefit of the respective
survivors, heirs, personal representatives, successors and assigns of said parties.
8. NO WAIVER OF IMMUNITY: No portion of this IGA shall be deemed to constitute a
waiver of any immunities the parties or their officers or employees may possess, nor shall
any portion of this IGA be deemed to have created a duty of care which did not previously
exist with respect to any person not a party to this IGA.
9. NO THIRD PARTY BENEFICIARY ENFORCEMENT: It is expressly understood and
agreed that the enforcement of the terms and conditions of this IGA, and all rights of action
relating to such enforcement, shall be strictly reserved to the undersigned parties and
nothing in this IGA shall give or allow any claim or right of action whatsoever by any other
person not included in this IGA. It is the express intention of the undersigned parties that
any entity other than the undersigned parties receiving services or benefits under this IGA
shall be an incidental beneficiary only.

AN ORDINANCE DISCONNECTING FROM THE TOWN OF FIRESTONE, COLORADO,
CERTAIN PROPERTY OWNED BY WELD COUNTY EAST OF THE MAIN ENTRANCE TO
THE SOUTHWEST WELD COUNTY SERVICE CENTER
WHEREAS, there has been filed with the Town of Firestone (the "Town") pursuant to
C.R.S. § 31-12-501, an application to disconnect certain real property from the corporate boundaries
of the Town; and
WHEREAS, the property subject to the application to disconnect consists of approximately
1.498 acres owned by Weld County located east of the main entrance to the Southwest Weld
County Service Center and is described and depicted more particularly in Exhibit A attached hereto
(the "Property"); and
WHEREAS, pursuant to C.R.S. § 31-12-501, the Board of Trustees has given due
consideration to the petition and proposed disconnection of the Property from the Town; and
WHEREAS, the Board of Trustees finds and determines that the best interests of the Town
and its citizens will not be prejudiced by the disconnection of the Property from the Town;
NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF 1RUS lLES OF THE
TOWN OF FIRESTONE, COLORADO:
Section 1. Pursuant to C.R.S. § 31-12-501, that certain real property described and
depicted in Exhibit A, attached hereto and incorporated herein by this reference (the "Property"), is
hereby disconnected from the Town of Firestone, Colorado, and is excluded from the corporate
boundaries of the Town.
Section 2. The disconnected Property shall not be exempt from the payment of any
taxes lawfully assessed against it, if applicable, as provided in C.R.S. § 31-12-502 and shall be
subject to any exercise by the Town of its rights under C.R.S. § 31-12-503.
Section 3. The Town Clerk shall file two certified copies of this ordinance in the office
of the Weld County Clerk and Recorder, and shall take such other actions as are necessary under
C.R.S. § 31-12-501 to effect the disconnection of the Property.
