RESOLUTION RE: ACTION OF THE BOARD CONCERNING DONATION FOR MISSILE SITE CONCRETE PROJECT AND AGREEMENT FOR CONSTRUCTION SERVICES - INTERSTATE HIGHWAY CONSTRUCTION, INC. WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, Interstate Highway Construction, Inc., volunteered to donate the labor and materials for concrete repairs at the Weld County Missile Site Park, in the amount of $50,000.00, and enter into an agreement for said construction services, a copy of which is attached hereto and incorporated herein by reference, and WHEREAS, it is the policy of Weld County to formally accept all donations via Resolution, and WHEREAS, after review, Commissioner Conway made a motion to accept said donation and approve said agreement, which was seconded by Commissioner Freeman for purposes of discussion, and WHEREAS, pursuant to the Weld County Home Rule Charter, Article III, Section 3-13, the concurrence of three of the members of the Board is required to approve a Resolution, and WHEREAS, the motion to accept said donation and approve said agreement received no supporting votes and therefore failed; and the effect of the failure to obtain a majority vote is a denial of the motion. Interstate Highway Construction has volunteered to donate the labor and materials to perform this repair valued at $50,000. Sincerely, Toby Taylor Director 2018-1882 "Eaa,c9-o AGREEMENT FOR CONSTRUCTION SERVICES THIS AGREEMENT is made by and between the County of Weld, State of Colorado, whose address is 1150 O Street, Greeley, Colorado, 80631 ("County"), and Interstate Highway Construction, 7153 South Tucson Way, PO Box 4356, Englewood, CO 80155, ("Contractor"). WHEREAS, County desires to retain Contractor as an independent contractor to perform services described in the attached Exhibits "A," "B," and "C;" and WHEREAS, Contractor is available to timely perform the services, and is willing to perform the services according to the terms of this Agreement without cost to the County. NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows: 1. Engagement of Contractor. County hereby retains Contractor, and Contractor hereby accepts engagement by County upon the terms and conditions set forth in this Agreement. 2. Term. The term of this Agreement shall be from the date of signature below, through and until completion of the services described in the attached Exhibits A, B, and C. 3. Services to be Performed. Contractor agrees to perform the services described in the attached Exhibits A, B, and C. County waives any subsurface compaction or conditions caused by needing to perform this project. 4. Compensation. Contractor has agreed to perform the services described in the attached Exhibits A, B, and C without compensation. Contractor will be donating all services, use of equipment, and materials necessary to complete said services. The parties hereto estimate the value of the services, equipment usage and materials to be $50,000.00. 5. Independent Contractor. Contractor agrees that it is an independent contractor and that neither Contractor nor Contractor's agents or employees are, or shall be deemed to be, agents or employees of the County for any purpose. Contractor shall have no authorization, express or implied, to bind the County to any agreement, liability, or understanding. The parties agree that Contractor will not become an employee of County, nor is Contractor entitled to any employee benefits from County as a result of the execution of this Agreement. 6. Warranty. Contractor warrants that services performed under this Agreement will be performed in a manner consistent with the professional standards governing such services and the provisions of this Agreement. 1 oZO`t' /fY� 7. Insurance. Contractor shall through the course of its performance of the services pursuant to this Agreement maintain and provide the following: a. Types of Insurance: Contractor shall obtain, and maintain at all times during the term of this Contract, insurance in the following kinds and amounts: i. Workers' Compensation Insurance as required by state statute, and Employer's Liability Insurance covering all of Contractor's employees acting within the course and scope of their employment. ii. Commercial General Liability Insurance written on ISO occurrence form CG 00 01 10/93 or equivalent, covering premises operations, fire damage, independent Contractors, products and completed operations, blanket contractual liability, personal injury, and advertising liability with minimum limits as follows: 1) $1,000,000 each occurrence; 2) $2,000,000 general aggregate; 3) $2,000,000 products and completed operations aggregate; 4) $50,000 any one fire; and 5) $500,000 errors and omissions. b. Certificate of Insurance: For general liability, Contractor shall provide to County a certificate of insurance showing Weld County, the Board of County Commissioners of Weld County, its officers and employees as additional named insureds. c. Waiver of Subrogation: For all coverages, Contractor's insurer shall waive subrogation rights against County. 8. Termination. Either party may terminate this Agreement at any time by providing the other party with a 60 -day written notice thereof. In the event of an early termination, Contractor shall be paid for work performed up to the time of termination and County shall be entitled the use of all material generated pursuant to this Agreement. 9. Non -Assignment. Contractor may not assign or transfer this Agreement, any interest therein or claim thereunder, without the prior written approval of County. 10. Time of Essence. Time is of the essence in each and all of the provisions of this Agreement. 11. Interruptions. Neither party to this Agreement shall be liable to the other for delays in delivery or failure to deliver or otherwise to perform any obligation under this Agreement, where such failure is due to any cause beyond its reasonable control, including but not limited to 2 Acts of God, fires, strikes, war, flood, earthquakes or Governmental actions. 12. Notices. Any notice required to be given under this Agreement shall be in writing and shall be mailed or delivered to the other party at that party's address as stated above. 13. Compliance. This Agreement and the provision of services hereunder shall be subject to the laws of Colorado and be in accordance with the policies, procedures, and practices of County. 14. Certification. Contractor certifies that Contractor is not an illegal immigrant, and further, Contractor represents, warrants, and agrees that it has verified that Contractor does not employ any illegal aliens. If it is discovered that Contractor is an illegal immigrant, employs illegal aliens or subcontracts with illegal aliens, County can terminate this Agreement and Contractor may be held liable for damages. 15. Entire Agreement/Modifications. This Agreement contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiation, representation, and understanding or agreements with respect to the subject matter contained in this Agreement. This Agreement may be changed or supplemented only by a written instrument signed by both parties. 16. Funding Contingency. No portion of this Agreement shall be deemed to create an obligation on the part of County to expend funds not otherwise appropriated or budgeted for. 17. No Conflict. No employee of Contractor nor any member of Contractor's family shall serve on a County Board, committee or hold any such position which either by rule, practice or action nominates, recommends, supervises Contractor's operations, or authorizes funding to Contractor. 18. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 19. Governmental Immunity. No portion of this Agreement shall be deemed to constitute a waiver of any immunities the parties or their officers or employees may possess. 20. No Third -Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. The following is a list of major scope activities. 1. Add a minimum 6" thick reinforced topping slab with 4,000psi entrained concrete to low areas, enabling positive drainage away from site. 2. Topping slab is roughly 80' x 40'. Field measurements and actual quantities will be the Contractor's responsibility. 3. Selective demolition of concrete may be required in some areas. 4. Build a reinforced wall, minimum 6" thick on all four sides of an existing RCP measuring 5' OD. 5. See attached site map & sketch for additional information. 6. Hours for construction may occur between 7:00am — 3:30pm, Monday — Friday. Off - hours work is permitted when coordinated with the Owner. 7. Asbestos abatement is not expected and should not be part of the contractor's bid. 8. A Weld County permit is not anticipated for this project. 9. Installation shall meet all applicable building codes. 10. Davis -Bacon and Buy American requirements are NOT required. 11. Bids over $50,000 will require a payment (100%) and performance (100%) bond. A Bid Bond is not required. 12. Contractor parking, waste removal and material laydown outside the structure is limited. Contractor to coordinate minimum needs with Owner. 13. Weld County is a tax-exempt entity. 14. Contractor will be required to enter into a contract for this service.
