HomeMy WebLinkAbout20180816.tiffRESOLUTION RE: APPROVE AGREEMENT FOR THE DEDICATION AND VACATION OF PUBLIC ROAD RIGHT-OF-WAY AND AUTHORIZE CHAIR TO SIGN - KELLY BERNDT WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for the Dedication and Vacation of Public Road Right -of -Way between the County of Weld, State of Colorado ("the Agreement"), by and through the Board of County Commissioners of the County of Weld and Kelly Berndt (also known as Kelly F. Berndt), 16058 CR 96, Nunn, Colorado, for the dedication and vacation of public road right-of-way, and WHEREAS, the road right-of-way dedicated to Weld County for use by the public is described and shown in Exhibit "A" attached to said Agreement; said right-of-way is known as that portion of Weld County Road (WCR) 96, between WCR's 33 and 55, and WHEREAS, the road right-of-way to be vacated is described and shown in Exhibit "B," attached to said Agreement, and WHEREAS, Kelly Berndt is the sole owner of the property immediately adjacent to and abutting the road right-of-way to be vacated, which is described and shown in said Exhibit B, and WHEREAS, by signing said Agreement, Kelly Berndt acknowledges he agrees with said vacation, waives the 10 -day notice requirement of Weld County Code Section 17-7-20 B., WHEREAS, the vacation of that portion of right-of-way described and shown in said Exhibit B will not leave any land adjoining the roadway without an established public road or private access easement connecting the adjacent and abutting lands with another established public road, and WHEREAS, after review, the Board deems it advisable to approve said Agreement and thereby accept the dedication of the road right-of-way described and shown in Exhibit A to the Agreement, and approve the vacation of the road right-of-way described and shown in Exhibit B to the Agreement, with said vacation to become effective upon recording as required below. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for the Dedication and Vacation of Public Road Right -of - Way between the County of Weld, State of Colorado, by and through the Board of County Commissioners of the County of Weld, and Kelly Berndt be and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said Agreement. BE IT FURTHER RESOLVED by the Board that any persons owning dedicated and recorded easements for the use of the vacated right-of-way, if any, shall not be affected by the right-of-way vacation authorized herein. BE IT FURTHER RESOLVED by the Board that Weld County shall retain any mineral interests it may possess in the area of the vacated right-of-way and that the vacation authorized herein shall in no away affect such mineral interests. BE IT FURTHER RESOLVED by the Board that the Clerk to the Board be, and hereby is, directed to record this Resolution and the Agreement with its attached Exhibits A and B in the records of the Weld County Clerk and Recorder. BERNDT) AND WELD COUNTY, COLORADO THIS AGREEMENT is made this day of` -n2,2018, by and between Kelly Berndt, also known Kelly F. Berndt, whose address is 16058 WCR 96, Nunn, Colorado, hereinafter referred to as "Owner," and the County of Weld, a body corporate and politic of the State of Colorado, by and through its Board of County Commissioners, whose address is 1150 'O' Street, Greeley, Colorado 80631, hereinafter referred to as "the Board of County Commissioners" or "County." Owner and County are referred to collectively herein as "Parties." WITNESSETH: WHEREAS, County has been continuously maintaining and operating road right-of-way known as Weld County Road 96, between WCR's 33 and 35 (hereinafter referred to as "WCR 96"), as a public highway for over twenty years, pursuant to C.R.S. §43-2-201(1)(c), on the property described and shown in the attached Exhibit "A," and WHEREAS, Owner owns the remainder of the fee interests of the property described in Exhibit "A," and WHEREAS, on March 7, 1908, County accepted a Road Viewers Report, ordered the laying out of the road described in the Report and described and shown in the attached Exhibit "B," and declared it to be a public highway (hereinafter referred to as "Road Viewers Report Road"); said action being recorded in the Office of the Weld County Clerk and Recorder on March 24, 1908, at Reception Number 127835, and WHEREAS, County intends to continue to maintain and operate WCR 96 to ensure the safety of the traveling public and define a public highway for utilities, and WHEREAS, County no longer needs the Road Viewers Report Road, and it does not provide access to anyone other than Owner because he owns all the property immediately adjacent thereto, and WHEREAS, Owner agrees to dedicate the right-of-way for WCR 96 in exchange for the vacation of the Road Viewers Report Road, and WHEREAS, pursuant to Weld County Code Section 17-7-20 B., Owner understands that because the Road Viewers Report Road has not been used for at least 21 years, there is no requirement of notice to him of the vacation hearing of the Board of County Commissioners to take place on March 21, 2018; however, to the extent such notice is required, Owner agrees to consider this Agreement as sufficient notice of the vacation hearing and waives the 10 -day notice requirement of Section 17-7-20 B., and Page 1 of 4 Pages 4386199 Pages: 3 of 20 03/28/2018 10:41 AM R Fee:$0.00 Carly Koppes, Clerk and Recorder, Weld County, CO VIII h��.rl:�fi���Ir�4Cli Rh ICIIh4k 1.'i ikliY h iI01 02 of - 0g/6, WHEREAS, the difference in area of property to be dedicated for WCR 96 and what will be vacated of the Road Viewers Report Road is 1.9 acres, for which County agrees to compensate Owner the sum of $2,800.00, and WHEREAS, Owner agrees to such compensation and to cooperate with County in said vacation and dedication according to the terms set forth herein. NOW, THEREFORE, the parties agree as follows: I. OWNER'S RIGHTS AND RESPONSIBILITIES: a. Owner agrees to dedicate to County, on a form provided by County, all the right -of way for WCR 96 which is described and shown on the attached Exhibit "A." Such dedication is in exchange for the payment of the sum of $2,800.00 by County to Owner and the vacation by the Board of County Commissioners of the Road Viewers Report Road described and shown on the attached Exhibit `B." The Parties acknowledge and agree that such exchange represents flail, fair and valuable consideration for the property to be dedicated by Owner. b. Owner agrees to grant the right-of-way for WCR 96 to County by Deed of Dedication, on a form provided by County, on the day of the Board of County Commissioner's hearing to vacate the Road Viewers Report Road. c. Owner shall retain the mineral estate under WCR 96 and shall also retain any water rights currently attached to or associated with WCR 96. d. Owner shall pay any encumbrance associated with WCR 96 and which is required to be paid, including, but not limited to, a prorated amount of the property taxes, and any past due property taxes, (and interest and penalties thereon), on or before the date when Owner delivers the Deed of Dedication to County. Owner is solely responsible for the payment of any amounts owed to a third party holding a security or other ownership interest in WCR 96. 2. COUNTY'S RIGHTS AND RESPONSIBILITIES: a. County shall at closing pay all fees associated with recording this Agreement and the Deed of Dedication. b. County shall pay for the cost of obtaining title insurance if County desires to obtain title insurance for WCR 96. c. The Board of County Commissioners shall consider the vacation of the Road Viewers Report Road at its 9:00 a.m. hearing on March 21, 2018, held at the address stated above. County shall pay for all costs associated with such vacation. To the extent notice of such vacation hearing is required, Owner agrees to consider this Agreement as sufficient notice thereof and waives the 10 -day requirement of Section 17-7-20 B. MISCELLANEOUS: a. This Agreement and the transfer of WCR 96, pursuant to the terms herein, shall be binding upon, all and inure to the benefit of and be enforceable by the parties and their heirs, executors, administrators, successors, and assigns. b. This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County, Colorado or its designee. c. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended. d. The Parties hereby agree that neither has made or authorized any agreement with respect to the subject matter of this instrument other than as expressly set forth herein, and no oral representation, promise, or consideration different from the terms herein contained shall be binding on either Party, or its agents or employees. e. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. f. This Agreement embodies all agreements between the parties hereto and there are no promises, terms, conditions, or obligations referring to the subject matter whereof other than as contained herein. g. This transaction shall be governed by and constructed in accordance with the laws of the State of Colorado. h. Neither Party to this agreement shall be liable to the other for delays in delivery or failure to deliver or otherwise to perform any obligation under this Agreement, where such failure is due to any cause beyond its reasonable control, including but not limited to Acts of God, fires, strikes, war, flood, earthquakes or Governmental actions.
