SUBJECT: Accela, Inc.
Accela provides software to Weld County for land management functions. The
software is used by the Public Works, Building & Planning, and EHS departments to
conduct their day to day work. We recently purchased a 5 pack of mobile licenses.
Accela is requesting that we sign this amendment to our agreement to include these
licenses. The amendment has been reviewed and approved by the Legal
Department.
We ask that the B0CC approve the agreement as submitted.

We recently purchased a 5 pack of mobile licenses. Accela is requesting that we sign this amendment to our
agreement to include these licenses.
What options exist for the Board? (Include consequences, impacts, costs, etc. of options)
This provider specializes in selling and supporting this software. Tying this purchase to our existing agreement
will keep our support consistent.
Recommendation:
Legal has reviewed and approved the amendment. We recommend proceeding with signing the Amendment.

2. Effective Date. This Amendment is effective as of the date of last signature ("Amendment Effective
Date").
3. Addition of New Licenses. Accela and Customer entered into a licensing agreement dated December
30, 2004, a Maintenance Agreement dated April 2, 2014 (No. 2014-1041), for Accela's performance
of certain services and/or delivery of software to Customer (the "Agreement"). The parties agree, as
of the Amendment Effective Date, to amend Exhibit A of the Agreements to include the addition of
Accela Mobile User License Packs and Accela Mobile Annual Maintenance and Support, as
highlighted in the Order attached hereto as Exhibit A.
4. Terms and Conditions
4.1 Unless specifically amended, modified, or supplemented by this document, all terms and
conditions, including those in Appendix A of prior written agreements between the parties shall
remain unchanged and in full force and effect. The parties expressly disclaim any alternate terms
and conditions accompanying drafts and/or purchase orders issued byCustomer.
4.2 If any particular provision of this document is determined to be invalid or unenforceable, that
determination shall not affect the other provisions which shall be construed in all respects as if
the invalid or unenforceable provision were omitted.
