This matter coming on to be heard this day upon the report of the sale
at private sale by Wallace W. Melton, the Administrator Cy T. A. of the
above entitled estate, to Nels A. Benson and Catherine E. Benson of the
following c ,escflbe& real estate located in the County of Weld Pra State of
Colorado:
The Northwest Quarter (N ) of Section Eight (8), in
Township Seven (7) North, Range Sixth -six (66) West of
the Sixth Principal Meridian, together with all ditch
rights and 831 water rights and all enlargements end
extensions of ditch and water rights pertaining to or
in any way belonging to said land or used thereon, and.
nartieularly One (l) share of the capital stock of The
Water Supply and Storage Company and One (1) share of
the capital stock of The Pierce Lateral Company,
for $17,55O.OO cash; and it appearing to the Court, and the Court finds:
that said sale was legally made and fairly conducted; that file sum bid was
not disproportionate to the value of the property sold, and was not lees
than the appraised value;
IT IS ORDERED: D, that said report and sale are confirmed and that the
said Wallace W. Melton at Administrator C. T. A. of laid estate execute a
conveyance of the premises sold end described in said report and herein to
the said purchasers thereof.

PERSONAL REPRESENTATIVE'S WARRANTY DEED
THIS Deed made this day oaloir A 2007 between Dee A. Benson
whose address is 40928 WCR 27, Ault, Colorado 80610, as Personal Representative of
the Estate of Catherine Edna Benson, Grantor, and Dee A. Benson, whose address is
40928 WCR 27, Ault, Colorado 80610, the Trustee under the provisions of Cling dated
of 20 Oa establishing the Trust known as The Dale ensodi'b
Trust, tee:
WITNESSETH, the Grantor, for and in consideration of the sum of TEN DOLLARS
($l0e00), the receipt and sufficiency of which is hereby acknowledged and received, and
for other good and valuable consideration, has granted, bargained, sold and conveyed,
and by these presents does grant, bargain, sell, convey and confirm unto the grantee, in
the real property, together with

improvements, if any, situate and being in the County of Weld, State of Colorado,
described as follows:

Weld County, Colorado, together with all water and water rights, ditches and
ditch rights used thereon or appurtenant thereto and containing 160 acres, more or
less, and all accretions thereto.
Also knows as street and number 40928 WCR 27, Ault, Colorado 80610.
WITNE SETA, that the Personal Representative by this deed does convey to Grantee all
of the estate and interest in the Property which the Decedent had immediately prior to
Decedent's death, and all of the estate and interest in the Property which the Personal
Representative has since acquired,
TOGETHER with all and singular the herditaments and appurtenances thereto belong, or
in anywise appertaining, and the reversion and reversions, remainder and remainders,
rents, issues and profits thereof, and all the estate, right, title, interest, claim and demand
whatsoever of the grantor, either in law or equity, of, in and to the above bargained
premises, with the hereditaments and appurtenances.
TO HAVE AMID TO HOLD the said premises above bargained and described, with the
appurtenances, unto the grantee, his/her successors and assigns forever. And the grantor,
for herself, her heirs and personal representatives, does covenant, grant, bargain and
agree to and with the grantee, grantee's successors and assigns, that at the time of
ensealing and delivery of these presents, she is well seized of the premises above,
covenant, has good, sure entitlement, absolute and indefeasible estate of inheritance, in
law, in fee simple, and has good will power and lawful authority to grant, bargain, sell
and convey the same in manner of form as aforesaid, and that the same are free and clear

THIS QUIT CLAIM DEED is made as of October 5 2016, by and between DEE A.
BENSON, THE TRUSTEE UNDER THE PROVISIONS OF A TRUST DATED THE 1ST DAY
OF MAY, 2000 ESTABLISHING THE TRUST KNOWN AS THE DALE N. BENSON TRUST
(Grantor") and NCL INVESTMENTS, LLC., a Colorado limited liability company ("Grantee"),
whose legal address is 1110 West Enclave Circle, Louisville, CO 80027.
WITNESS, that Grantor, for and in consideration of the sum of Ten Dollars ($10.00) and
other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, has sold and quit claimed and by these presents does sell and quit claim unto
Grantee, its successors and assigns forever, all the real property, together with improvements, if
any, situate, lying and being in the County of Weld, State of Colorado more particularly
described as follows:
The Northwest Quarter of Section 8, Township 7 North, Range 66 West of the 6th P.M., County
of Weld, State of Colorado, together with any and all of motor's water and water rights of
every kind, wells and well permits and rights, ground water and ground water rights,
ditches and ditch rights, reservoirs and reservoir rights, storage rights, springs and spring
rights and ditch and water company stock, whether decreed or un-decreed,appurtenant to
or historically used in connection with the Property, whether in the nature of tributary,
non -tributary or not non -tributary interest, excepting and reserving unto Grantor 100% of
the owned oil, gas, and mineral rights.
TOGETHER with all and singular the hereditaments and appurtenances thereto
belonging, or in anywise appertaining, and the reversion and reversions, remainder and
remainders, rents, issues and profits thereof; and all the estate, right, title, interest, claim and
demand whatsoever of the Grantor, either in law or equity, of, in and to the above bargained
premises.
TO RAVE AND TO HOLD the said premises above bargained and described with the
appurtenances unto the grantee, its successors and assigns forever in accordance with, and
subject t to real property taxes for 2016, a lien not yet due and payable, and covenants, restrictions,
easements and rights of way of record, if any.
IN WFI'NESS WHEREOF, the Grantor has executed this deed on the date set forth
above.

KNOWN AS THE DALE N. BENSON TRUST (Grantor") and NCL INVESTMENTS,
LLC., a Colorado limited liability company ("Grantee"), whose legal address is 1110

WITNESS, that Grantor, for and in consideration of the sum of One Million
Fourteen Thousand Five Hundred Dollars ($1,014,500.00) and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, has sold and
conveyed and by these presents does sell and convey unto Grantee, its successors and
assigns forever, all the real property, together with improvements, if any, situate, lying
and being in the County of Weld, State of Colorado more particularly described as
follows:

66 West of the 6th P.M., County of Weld, State of Colorado; except that portion described
in deed recorded February 4, 1971 at Reception No. 1561646 (the `property"), together
with the wells, pets, and underground water rights associated with Well Permit Nos.
298189 and 298190, excepting and reserving unto Grantor 100% of the owned oil, gas,
and mineral rights.
TO ETh HER with all and singular the hereditaments and appurtenances thereto
