RE: APPROVE AMENDMENT #1 TO AGREEMENT FOR SERVICES (RFP 16-53) FOR
MOTOR VEHICLE SELF-SERVICE KIOSKS AND AUTHORIZE CHAIR TO SIGN -
INTELLECTUAL TECHNOLOGY, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, on February 5, 2018, the Board was presented with an Amendment #1 to
Agreement for Services for Motor Vehicle Self -Service Kiosks, between the County of Weld, State
of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of
the Clerk and Recorder's Office, and Intellectual Technology, Inc., commencing upon full
execution of signatures, and ending May 31, 2020, with further terms and conditions being as
stated in said amendment, at which time the Board deemed it advisable to continue the matter to
February 12, 2018, to allow adequate time for a work session and receipt of the correct
Amendment #1 to Agreement, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Amendment #1 to Agreement for Services for Motor Vehicle Self -
Service Kiosks, between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Clerk and Recorder's Office, and
Intellectual Technology, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair, be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 12th day of February, A.D., 2018.

Here is the agreement that should have been on Monday's Agenda. Please swap it out before you list it on next
Monday's 2/12 Agenda (and update with new contractor name, etc.). I think the other one that we had still needs a PA
or Work Session and will come back at a later date.

AMENDMENT #1 TO AGREEMENT FOR SERVICES BETWEEN BOARD OF COUNTY
COMMISSIONERS OF WELD COUNTY
COLORADO ("WELD COUNTY") AND
INTELLECTUAL TECHNOLOGY, INC. ("CONTRACTOR" OR "ITI")
DATED AS OF MAY 23, 2017.
1. This is Amendment #1 (this "Amendment #1") to the Agreement For Services dated May 23, 2017 by
and between Weld County and ITI; capitalized terms used but not defined herein shall have the meanings
provided in the Service Agreement. Except as expressly set forth in this Amendment #1, the terms and
conditions of the Service Agreement shall continue unmodified and in full force and effect. In the event of
any conflict between this Amendment #1 and the Service Agreement, this Amendment #1 shall control.
2. The parties desire to amend the Service Agreement to enable customers who do not reside in Weld
County, but are residents of a Colorado county that has a motor vehicle self-service kiosk or a Participation
Agreement with ITI, to process vehicle registration renewal transactions in Weld County.
3. Section D of Exhibit A entitled "Payment Options" is hereby amended to insert a new Subsection 11
as follows:
"11. The County hereby agrees to allow customers of other counties (each, a "Non -County
Customer") to process transactions on County motor vehicle self-service kiosks, if such Non -
County Customers are residents of a Colorado county that has a Contractor installed motor
vehicle self-service kiosk or such county has entered into a valid participation agreement with
Contractor (each, a "Participating County"). Notwithstanding anything to the contrary herein,
such Non -County Customer transactions shall only be processed using credit or debit cards
for payment. All funds received from such Non -County Customer transactions will be directly
deposited by Contractor's payment processing vendor(s) in the applicable Participating
County's designated account."
4. This Amendment #1 may be executed and delivered in counterpart signature pages via facsimile
transmission or via email with scan or email attachment, and any such counterpart will be deemed an original.
This Amendment # 1 shall be governed by, and construed in accordance with, the laws of the state of Colorado,
without regard to its conflict of laws rules.
