TERMINOLOGY Except as specifically modified by this Grant Change Letter, all terms used in this Grant Change Letter that are defined in the Grant Agreement shall be construed and interpreted in accordance with the Grant Agreement. 2. AMENDMENT EFFECTIVE DATE AND TERM A. Grant Change Letter Effective Date This Grant Change Letter shall not be valid or enforceable until the signed Effective Date as shown on the Signature Page of this Grant Change Letter. The State shall not be bound by any provision of this Grant Change Letter before that Grant Change Letter Effective Date, and shall have no obligation to pay Sub -recipient for any Work performed or expense incurred under this Grant Change Letter either before or after of the Grant Change Letter term shown in §2.B of this Grant Change Letter. B. Grant Change Letter Term The Parties' respective performances under this Grant Change Letter and the changes to the Grant Agreement contained herein shall commence on the Grant Change Letter Effective Date shown on the Signature Page for this Grant Change Letter and shall terminate upon the termination of the Grant Agreement. 3. LIMITS OF EFFECT AND ORDER OF PRECEDENCE This Grant Change Letter is incorporated by reference into the Grant Agreement, and the Grant Agreement and all prior amendments or other modifications to the Grant Agreement, if any, remain &nirytwri; Cc�.hons cc t O f rj C RR), OCTC SO 3/90/C1 2017-0813 Page 1 of 3 — Forml EmooI7 in full force and effect except as specifically modified in this Grant Change Letter. Except for the Special Provisions contained in the Grant Agreement, in the event of any conflict, inconsistency, variance, or contradiction between the provisions of this Grant Change Letter and any of the provisions of the Grant Agreement or any prior modification to the Grant Agreement, the provisions of this Grant Change Letter shall in all respects supersede, govern, and control. The provisions of this Grant Change Letter shall only supersede, govern, and control over the Special Provisions contained in the Grant Agreement to the extent that this Grant Change Letter specifically modifies those Special Provisions. 4. PROJECT DESCRIPTION. The Project description remains the same. 5. PRICE/COST. The maximum amount payable by the State for performance of this Award remains the same as in the original grant agreement. Payments. The estimated amount payable by the State to the Grantee during each State fiscal year of this Agreement shall be: State Fiscal Year 2017 $42,481.69 State Fiscal Year 2018 $42,481.69 6.
