The evidence discloses that the applicants have sustained the burden of proof as to the desires of the inhabitants. 2. The applicants are of good character and reputation. 3. The applicants have proven the reasonable requirements of the neighborhood. RESOLUTION WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has considered the application of Collision Brewing Company, LLC, dba Collision Brewing Company, 1436 Skyway Drive, Longmont, Colorado 80504, for a Brew Pub (County) Liquor License, for the sale of malt, vinous, and spirituous liquors, the manufacture of malt or fermented liquors, and for consumption by the drink on the premises, or for off -site consumption as long as it is sold in sealed and labeled containers, in compliance with all applicable rules and regulations found in Article 47, Title 12, C.R.S., and WHEREAS, pursuant to Exhibit 5-H of the Weld County Code, said applicant has paid to the County of Weld the sum of $1,625.00 for the hearing fee, in addition to the other required fees, and WHEREAS, due to the Findings of the Board of County Commissioners in this matter as stated herein, the Board deems it advisable to approve said application for a Brew Pub (County) Liquor License for Collision Brewing Company, LLC, dba Collision Brewing Company, and WHEREAS, the Licensee shall host "responsible vendor" training every six (6) months as agreeable to the Colorado Department of Revenue Liquor Enforcement Division, and this training shall be open to other area licensees. Each employee shall be "responsible vendor" trained, and the Licensee shall provide documentary evidence that each employee has been "responsible vendor" trained to the Weld County Sheriff's Office within thirty (30) days of the fist available "responsible vendor" class after hiring. While there, I made an on -site inspection regarding the Liquor License application filed. The Liquor License application is for a Brew Pub (County) Liquor License. These items will be heard by the Board of County Commissioners as the Liquor Licensing Authority for Weld County on Monday, August 27, 2018, at 9:00 a.m. My inspection revealed the following: 1. The proposed licensed premises is not directly connected to a different licensed premises, pursuant to C.R.S. §12-47-301(3)(a). 2. The diagram of the proposed licensed premises is not correct. The diagram depicts a wall on the west side of the property; however, there currently are not clear and defined boundaries of the premises for the two (2) patios on the west side of the property. The applicant has agreed to make the premises distinct and provide photographic evidence prior to the liquor hearing. The applicant will also need to update the diagram of the premises prior to the liquor hearing. 3. There is one (1) other Brew Pub (County) Liquor Licensed establishment located in the immediate area, operated by Tappist Munks, LLC, dba Outworld Brewing. 4. There are no public or parochial schools, or principal campus of any college, university, or seminary within 500 feet of the proposed licensed premises, pursuant to C.R.S. §12-47-313(1)(d)(l). No Member shall be an agent of any other Member of the Company solely by reason of being a Member. 4.3 POWERS OF MANAGERS. The Managers are authorized on the Company's behalf to make all decisions as to (a) the sale, development lease or other disposition of the Company's assets; (b) the purchase or other acquisition of other assets of all kinds; (c) the management of all or any part of the Company's assets; (d) the borrowing of money and the granting of security interests in the Company's assets; (e) the pre -payment, refinancing or extension of any loan affecting the Company's assets; (f ) the compromise or release of any of the Company's claims or debts; and, (g) the employment of persons, firms or corporations for the operation and management of the company's business. In the exercise of their management powers, the Managers are authorized to execute and deliver (a) all contracts, conveyances, assignments leases, sub -leases, franchise agreements, licensing agreements, management contracts and maintenance contracts covering or affecting the Company's assets; (b) all checks, drafts and other orders for the payment of the Company's funds; (c) all promissory notes, loans, security agreements and other similar documents; and, (d) all other instruments of any other kind relating to the Company's affairs, whether like or unlike the foregoing. The Chief Executive Manager shall have primary responsibility for managing the operations of the Company and for effectuating the decisions of the Managers. 4.5 NOMINEE. Title to the Company's assets shall be held in the Company's name or in the name of any nominee that the Managers may designate. The Managers shall have power to enter into a nominee agreement with any such person, and such agreement may contain provisions indemnifying the nominee, except for his willful misconduct. 4.6 COMPANY INFORMATION. Upon request, the Managers shall supply to any member information regarding the Company or its activities. Each Member or his authorized representative shall have access to and may inspect and copy all books, records and materials in the Manager's possession regarding the Company or its activities. The exercise of the rights contained in this ARTICLE 4.6 shall be at the requesting Member's expense. 4.7 EXCULPATION. Any act or omission of the Managers, the effect of which may cause or result in loss or damage to the Company or the Members if done in good faith to promote the best interests of the Company, shall not subject the Managers to any liability to the Members. 4.8 INDEMNIFICATION. The Company shall indemnify any person who was or is a party defendant or is threatened to be made a party defendant, pending or completed action, suit or proceeding, whether civil, criminal, administrative, or investigative (other than an action by or in the right of the Company) by reason of the fact that he is or was a Member of the Company, Manager, employee or agent of the Company, or is or was serving at the request of the Company, for instant expenses (including attorney's fees), judgments, fines, and amounts paid in settlement actually and reasonably incurred in connection with such action, suit or proceeding if the Members determine that he acted in good faith and in a manner he reasonably believed to be in or not opposed to the best interest of the Company, and with respect to any criminal action proceeding, has no reasonable cause to believe his/her conduct was unlawful. The termination of any action, suit, or proceeding by judgment, order, settlement, conviction, or upon a plea of "no lo Contendere" or its equivalent, shall not in itself create a presumption that the person did or did not act in good faith and in a manner which he reasonably believed to be in the best interest of the Company, and, with respect to any criminal action or proceeding, had reasonable cause to believe that his/her conduct was lawful. 4.9 RECORDS. The Managers shall cause the Company to keep at its principal place of business the following: (a) a current list in alphabetical order of the full name and the last known street address of each Member; (b) a copy of the Certificate of Formation and the Company Operating Agreement and all amendments; Operating Agreement - 4 www.northwestregisteredagent.com (c) copies of the Company's federal, state and local income tax returns and reports, if any, for the three most recent years; (d) copies of any financial statements of the limited liability company for the three most recent years. ARTICLE V Compensation 5.1 MANAGEMENT FEE. Any Manager rendering services to the Company shall be entitled to compensation commensurate with the value of such services. 5.2 REIMBURSEMENT. The Company shall reimburse the Managers or Members for all direct out-of-pocket expenses incurred by them in managing the Company. ARTICLE VI Bookkeeping 6.1 BOOKS. The Managers shall maintain complete and accurate books of account of the Company's affairs at the Company's principal place of business. Such books shall be kept on such method of accounting as the Managers shall select. The company's accounting period shall be the calendar year. 6.2 MEMBER'S ACCOUNTS. As a very frequent customer, I have watched the day to day functioning of Nicolo's, I have observed that they are very customer service oriented, employee satisfaction driven and rule abiding. I have watched them training staff regarding the best way to work with customers, proper kitchen etiquette and requiring identification for customers purchasing alcohol. On a personal level, I have gotten to know the entire Blythe family. I have found them to be of high moral character, values driven and having a strong sense of family. Gap between the type 1 hood and wall in the kitchen needs to be filled. 6. If hose sprayer is left on mop sink add a pressurized backflow valve (i.e. Watts LFN9 CD or ASSE std.1052 device). 7. Hot water (95-102 F) at 3 compartment sink needs to be turned up to at least 120F. 8. Glass washers in front bar area need backflow preventers (dual check valve). 9. Have soap and paper towels at each hand sink. 10. Have thin mass food probe thermometer available. 11. Have signed water, sewer, zoning, building and fire department sign offs. According to the below statute. a Brew Pub (County) Liquor License authorizes (1) the manufacture of fermented malt beverages that can be consumed on -premises, (2) sold to wholesalers (who would then distribute it to retailers), (3) sold to the public in the Brew Pub for off -premises consumption as long as the containers are sealed and the malt beverages are manufactured and packaged on the licensed premises. and (4) sold at wholesale to retailers in an amount up to 300,000 gallons per calendar year C.R.S. 12-47-415. Brew Pub License. (1) (a) A brew pub license may be issued to any person operating a brew pub and also selling alcohol beverages for consumption on the premises. (b) A brew pub licensed pursuant to this section to manufacture malt liquors or fermented malt beverages upon its licensed premises may; upon approval of the state licensing authority, manufacture malt liquors or fermented malt beverages upon alternating proprietor licensed premises within the restrictions specified in section 12-47-103 (4). (2) (a) Except as provided in paragraph (b) of this subsection (2), during the hours established in section 12-47-901 (5) (b), malt liquors or fermented malt beverages manufactured by a brew pub licensee on the licensed premises or alternating proprietor licensed premises may be: (I) Furnished for consumption on the premises; (II) Sold to independent wholesalers for distribution to licensed retailers; (III) Sold to the public in sealed containers for off -premises consumption. Only malt liquors or fermented malt beverages manufactured and packaged on the licensed premises or alternating proprietor licensed premises by the licensee shall be sold in sealed containers. (IV) Sold at wholesale to licensed retailers in an amount up to three hundred thousand gallons per calendar year. (b) A brew pub authorized to manufacture malt liquors or fermented malt beverages upon alternating proprietor licensed premises shall not conduct retail sales of malt liquors or fermented malt beverages from an area licensed or defined as an alternating proprietor licensed premises. (a) Every person selling alcohol beverages pursuant to this section shall purchase alcohol beverages, other than those that are manufactured at the licensed brew pub, from a wholesaler licensed pursuant to this article or article 46 of this title; except that. during a calendar year. a person selling alcohol beverages as provided in this section may purchase not more than two thousand dollars' worth of: (I) Malt. vinous. and spirituous liquors from a retailer licensed pursuant to section 12-47-407 or 12- 47-408; and (II) Fermented malt beverages from a retailer licensed pursuant to section 12-46-104 (1) (c). (b) The brew pub licensee shall retain evidence of each purchase of malt, vinous, and spirituous liquors from a retailer licensed pursuant to section 12-47-407 or 12-47-408 and each purchase of fermented malt beverages from a retailer licensed pursuant to section 12-46-104 (1) (c), in the form of a purchase receipt showing the name of the licensed retailer, the date of purchase; a description of the alcohol beverages purchased, and the price paid for the alcohol beverages The licensee shall retain the receipt and make it available to state and local licensing authorities at all times during business hours. (4) A brew pub licensee shall sell alcohol beverages for on -premises consumption only if at least fifteen percent of the gross on -premises food and drink income of the business of the licensed premises is (3) 1 (5) from the sale of food. For purposes of this subsection (4), "food" means a quantity of foodstuffs of such nature as is ordinarily consumed by an individual at regular intervals for the purpose of sustenance (a) It is unlawful for any owner, part owner, shareholder, or person interested directly or indirectly in a brew pub license to conduct, own either in whole or in part, or be directly or indirectly interested in any other business licensed pursuant to this article or article 46 of this title (b) Notwithstanding paragraph (a) of this subsection (5), a person interested directly or indirectly in a brew pub license may conduct own either in whole or in part, or be directly or indirectly interested in a license described in section 12-46-104 (1) (c), 12-47-401 (1) 0) to (1) (t), (1) (v), or (1) (w), or 12-47-410 (1) or in a financial institution referred to in section 12-47-308 (4).
