ENERGY SERVICES, LLC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, by Resolution dated October 28, 2009, the Board approved the application
of Lone Star, LLC, c/o Jim Lee, 1701 North Highway 385, Andrews, Texas 70714, for an Oil and
Gas Support Facility (Class II — oilfield waste disposal facility) in the A (Agricultural) Zone District
on the following described real estate, to wit:
Part of the N1/2 N1/2 NW1/4 of Section 18,
Township 3 North, Range 64 West of the 6th P.M.,
Weld County, Colorado, and
WHEREAS, on October 24, 2011, the Board of County Commissioners of Weld County,
Colorado, approved an Improvements Agreement According to Policy Regarding Collateral for
Improvements, between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, and Lone Star, LLC, with terms and conditions being as
stated in said agreement, and accepted Performance Bond #K08480291 from Westchester Fire
Insurance Company, 436 Walnut Street, P.O. Box 1000, Philadelphia, Pennsylvania 19106, in
the amount of $520,000.00, and
WHEREAS, on February 26, 2014, the Board approved a partial release of said collateral
in the amount of $442,000.00, and accepted a Surety Rider from Westchester Fire Insurance
Company, in the amount of $78,000.00, to serve as warranty collateral, and
WHEREAS, the Use by Special Review Permit was administratively approved for Minor
Amendments by the Director of Planning Services, and
WHEREAS, the Board has been presented with a First Amended Improvements
Agreement According to Policy Regarding Collateral For Improvements and a Bond Rider, from
Westchester Fire Insurance Company, increasing the Bond amount and obligating Select Energy
Services, LLC, in the amount of $142,087.00, to construct a deceleration lane into the facility, as
determined by said Amended Improvements Agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement and
accept said Bond Rider, as stated above, copies of which are attached hereto and incorporated
herein by reference.

NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld

Company, increasing the Bond amount and obligating Select Energy Services, LLC, in the amount
of $142,087.00, to construct a deceleration lane into the facility, be, and hereby are, approved
and accepted.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.

REGARDING COLLATERAL FOR IMPROVEMENTS

THIS FIRST AMENDMENT TO IMPROVEMENTS AGREEMENT ACCORDING TO
POLICY REGARDING COLLATERAL FO IMPROVEMENTS (this "First Amendment") is
made and entered into this '7' nn day of , 2018, by and between Lone Star, LLC
"Property Owner", Select Energy Services, LLC "Lessee", and the COUNTY OF WELD, a body
corporate and politic of the State of Colorado, by and through its Board of County Commissioners
"County".
WINES SETH:
WHEREAS, the County and Select Energy Services, LLC, a Delaware limited liability
company entered into an IMPROVEMENTS AGREEMENT ACCORDING TO POLICY
REGARDING COLLATERAL FOR IMPROVEMENTS FOR USR-1708 dated October 14,
2011, recorded December 22, 2011, at reception number 3813701 of the Weld County, Colorado
records (the "Improvements Agreement").
WHEREAS, the parties hereto desire to amend and modify certain terms and provisions of
the Improvements Agreement to include the obligation of the Property Owner to complete certain
improvements to County Road 34 ("CR 34") under this Improvements Agreement amendment.
WHEREAS, the County has approved the construction plans for a right deceleration lane
on CR 34. The Cost Sheet for the CR 34 Improvements is attached hereto as Exhibit A-2 (the
"Cost Sheet") and the Construction Schedule for the CR 34 Improvements is attached hereto as
Exhibit B-2 (the "Construction Schedule").
NOW THEREFORE, for and in consideration of the mutual promises and covenants herein
contained and other good and valuable consideration, the receipt and adequacy of which are hereby
confessed and acknowledged, the parties agree to amend and modify the Improvements Agreement
as follows:
1. The foregoing recitals are hereby incorporated as if fully restated in this Section 1.
2. The Exhibits attached to this First Amendment are hereby attached to and made a
part of the Improvements Agreement.
3. Select Energy Services, LLC shall complete the CR 34 Improvements in
accordance with the Approved Plans and the Construction Schedule. The CR 34 Improvements
shall be completed on or before June 29, 2018 (the "Completion Date"). If the CR 34
Improvements are not completed by that date the County will draw on the LOC [as hereinafter
defined] immediately.
4. Select Energy Services, LLC has delivered to the County an Irrevocable Letter of
Credit in the amount of $142,087.00 issued by Westchester Fire Insurance Company (the "LOC")
as the Project Collateral to guarantee completion of the CR 34 Improvements. If the CR 34

Improvements are not finally completed by the Association on or before the Completion Date, the
County will draw on the LOC to the extent necessary to complete the CR 34 Improvements. Select
Energy Services, LLC agrees that it is responsible to ensure that the CR 34 Improvements are
completed by the Completion Date. The County expressly acknowledges and agrees that Select
Energy Services, LLC obligations under the Improvements Agreement and this First Amendment
are expressly and absolutely limited to completion of the CR 34 Improvements as shown on the
Approved Plans.
6. Except as expressly amended or modified herein all terms and provisions of the
Improvements Agreement shall remain the same. In the event of any conflict between the terms
and provisions of this First Amendment and the terms and provisions of the Improvements
Agreement, the terms and provisions of this First Amendment shall control and supersede over the
terms and provisions of the Improvements Agreement.

Brief description of the issue:
The Department of Public Works received a request from the applicant, Select Energy Services, LLC, requesting
that the Board of County Commissioners release the currently held collateral in the amount of $78,000.00,
associated with 2MUSR17-09-1708. The applicant is also requesting that the Board of County Commissioners
accept $142,087.00, for collateral associated with the construction of a deceleration lane into the facility.
Assistant County Attorney Frank Haug has reviewed the Improvements Agreement and Collateral requirements
and recommends acceptance of the collateral.
What options exist for the Board?
