Please find enclosed a copy of that certain Weld County Oil and Gas Lease dated December 7,
2015 from Weld County, Colorado, a political subdivision of the State of Colorado, to Petro -
Canada Resources (USA) Inc covering the above -captioned lands, deemed to contain 80 net acres,
more or less, and recorded in Weld County at Reception No. 3354719 (the "Lease").
Per Paragraph 9 of the Lease, Lessee may assign the Lease in its entirety with prior written consent
of Lessor and payment of an assignment charge. Appendix 5-D of the current Charter and County
Code of Weld County, Colorado sets the assignment charge at $100.
Bayswater Resources LLC and Bayswater Fund III -A, LLC (the "Bayswater Entities") have
entered into an Agreement with PDC Energy, Inc. ("PDC"), whereby the Bayswater Entities intend
to assign the Lease to PDC. The Bayswater Entities respectfully request consent to this assignment
from Weld County, Colorado and enclose a check in the amount of $100 to cover the assignment
charge associated therewith.
To indicate consent, please have this letter executed on behalf of Weld County, Colorado and
return the same to me. A copy of this letter is also enclosed for your records.
