Please find enclosed copies of the above identified Weld County Large — Tract Oil and Gas Leases from
Weld County, Colorado, a political subdivision of the State of Colorado [Lessor], to Rocky Mountain
Hydrocarbon LLC [Lessee].
Per Paragraph 9 of the Lease, Lessee may assign the Lease in its entirety with prior written consent of
Lessor and payment of an assignment charge. Appendix 5-D of the current Charter and County Code of
Weld County, Colorado sets the assignment charge at $100.
Rocky Mountain Hydrocarbon LLC [RMH] entered into an Agreement with 8 North, LLC. ("8"), whereby
the RMH intends to assign the Leases to 8. RMH respectfully requests consent to this assignment from
Weld County.
Enclosed is RMH Check # I(19 in the amount of $200 to cover the assignment charge associated
therewith.
To indicate consent, please have this letter executed on behalf of Weld County, Colorado and return the
same to RMH. A copy of this letter is also enclosed for your records.
