6 CHAIR COZAD: Alright. Old Business. Item number one: Consider First Amendment to
7 Improvements Agreement According to Policy Regarding Collateral for Improvements, authorize Chair to
8 sign, Cancel and Release Collateral and accept Warranty Collateral for MINF12-0001 - Weld County
9 Industrial Park / Peckham Development Corporation, c/o Mark Goldstein. Good morning Evan.
10 EVAN PINKHAM: Good morning, Commissioners. Evan Pinkham, Department of Public
11 Works. The Department of Public Works has received a request from the developer, Mark Goldstein, to
12 release collateral associated with the Weld County Industrial Park. The County would retain 15 percent
13 of this collateral for a warranty period of two years. That amount would be $105,942.90. Weld County is
14 currently holding $706,286 for the on -site improvements associated with the site. A new Letter of Credit
15 has been submitted for this warranty period, as well as another Letter of Credit for the Improvements
16 associated with County Road 44 and the connection with Niobrara Boulevard. An Improvements
17 Agreement has also been drafted to include a Maintenance Plan for County Road 33, south of the entrance
18 of the facility and would allow for access to Lots 5 and 8 of the subdivision. I'd be happy to answer any
19 questions that you may have about this, but the Department of Public Works is requesting approval of the
20 release.
21 CHAIR COZAD: Okay, questions of Evan?
22 BRUCE BARKER: Madame Chair, you may want to ask Mr. Martel and Mr. Goldstein to
23 come up to the table, um —
24 CHAIR COZAD: Okay, come on up.

1 BRUCE BARKER: -- because really this and the next two items are related, and I think it's
2 important to deal with the Improvements Agreement first, then the Deed, and then the third thing would
3 be the Appeal.
4 CHAIR COZAD: Okay, good morning.
5 JIM MARTEL: Good morning, Commissioners.
6 CHAIR COZAD: Do you want to introduce yourselves?
7 JIM MARTEL: My name is Jim Martel. I'm an attorney in Fort Collins and I represent
8 Peckham Development Corporation and the Weld County Industrial Park Association.
9 MARK GOLDSTEIN: Good morning, Commissioners. My name's Mark Goldstein. I'm the
10 President of Peckham Development Corporation.
11 CHAIR COZAD: Okay. Do you have any further comments?
12 JIM MARTEL: Well, I think the issue that Mr. Barker just raised — we are willing to sign the
13 Amended Improvements Agreement, as written, as negotiated between us and the County Attorney's
14 Office, uh, with one caveat that we discussed with Mr. Barker this morning. We believe that the
15 maintenance obligation should commence when we have the ability to enter upon the lots with truck
16 traffic, and it's not clear when the language says: 'When the SPR's are approved.' If our interpretation of
17 that is the same as everyone else's, then we're fine. We believe that it may require more than just
18 approval of the SPR, but also recording of the plat and issuance of the access permits by the Public Works.
19 So, maybe Mr. Barker can address his understanding of that.
20 CHAIR COZAD: Okay that — go ahead Bruce.
21 BRUCE BARKER: The issue, I think, is the timing of when the approval actually takes place
22 for the SPR. I think Tom Parko can address that.
23 CHAIR COZAD: Okay. Tom, you want to come on up?

1 TOM PARKO: Good morning, Commissioners. Tom Parko with the Department of
2 Planning Services. So, you know, a Site Plan Review — the approval happens when staff goes through and
3 approves the Site Plan Review. Similar to a Use by Special Review. Site Plan Reviews are approved
4 conditionally, and so that approval, since it's administrative, happens when staff produces the staff report,
5 makes a recommendation and approves it with conditions. So, the actual approval of that Site Plan Review
6 happens when staff brings forth that Site Plan Review to me and then we sign off on that. So, it happens
7 prior to recording the Site Plan Review map.
8 CHAIR COZAD: That's the actual approval?
9 TOM PARKO: That's the actual approval.
10 CHAIR COZAD: Can you restate the question that Mr. Goldstein asked you, on the record,
11 please?
12 TOM PARKO: So, when do access permits get approved, I believe is the question.
13 ELIZABETH RELFORD: Elizabeth Relford, Public Works. As soon as the Board directs us to
14 issue the access permit, we can issue it. It's actually — we've already got it in the system, it's just a matter
15 of getting processed.
16 COMMISSIONER KIRKMEYER: A decision today.
17 ELIZABETH RELFORD: Correct.
18 CHAIR COZAD: Okay.
19 COMMISSIONER KIRKMEYER: May I?
20 CHAIR COZAD: Sure, go ahead.
21 COMMISSIONER KIRKMEYER: Again, I'm sorry. As you all know I was out of town last
22 week on vacation and I didn't get in until really late, late, late last night. So, I know the three items under
23 Old Business all go together. So, my general question is this — and if it's out of line, sorry — but all three of
24 these get us to the point of where we want to get to and everybody's happy with it?

1 BRUCE BARKER: That, I think, is going to be further discussion that we're going to get into
2 next.
3 COMMISSIONER KIRKMEYER: Because we were trying to get to a resolution the last time
4 we were here ten days ago. Right? Ten days ago?

CHAIR COZAD: Yes.
BRUCE BARKER: We're close.
JIM MARTEL: We have no further issues with the agreement, as drafted.
COMMISSIONER KIRKMEYER: And so the improvements at County Road 44 and Niobrara
9 Boulevard are going to be completed by when, if all of these get approved todady?
10 JIM MARTEL: The outside date is August 31st, but clearly as soon as the asphalt plants
11 open in the spring, Peckham intends to commence construction and get it done as fast as possible.
12 COMMISSIONER KIRKMEYER: Is that all in the agreement?
13 JIM MARTEL: Yes.
14 BRUCE BARKER: August 31st of 2018.
15 COMMISSIONER KIRKMEYER: But the "as soon as possible or as soon as practical" is in the
16 agreement as well?
17 BRUCE BARKER: It basically gives them until then. That's when the collateral would be
18 executed upon if it's not done by that date. I think the intent is that they do it as soon as possible. That
19 gives them the ability then to ask that the collateral be released. And the collateral that you're taking is
2 0 $706,000, I think, uh for that work. And then also as part of this that you're releasing the collateral for
21 on -site improvements at $740,000 — you're reducing that down to $105,000. So, really there are three
22 things that are happening in this agreement. One is, the collateral for the on -site is being reduced to the
2 3 15%; second thing is the collateral for --taking new collateral for the improvements to Niobrara Boulevard,
24 and that's $706,000; and the third thing is an agreement as to improvements that need to be made on

1 Weld County Road 33 to accept that traffic until such time as Niobrara and 44 are open. That I think is
2 probably what Elizabeth may want to address.
3 CHAIR COZAD: Commissioner Kirkmeyer.
4 COMMISSIONER KIRKMEYER: Okay, and so maybe my question will help get us there. So,
5 I thought ten days ago we were talking about that the improvements would be done by late spring, or
6 something. So, can someone explain to me how we got to August 31st.
7 JIM MARTEL: Commissioner Kirkmeyer, in the Exhibit for the Improvements Agreement,
8 August 31st is our drop -dead date. It's our intent — we have a contractor ready to go. We're waiting on
9 Xcel to relocate the power lines. They're telling us sometime in February at the latest. It's our intent then,
10 once the asphalt plants open, to commence construction. So, we're dedicating right-of-way, we're
11 dedicating the letter of credit, getting all the paperwork ready to go now, and then it's our intent to start
12 once the power lines have been relocated and the weather permits.
13 CHAIR COZAD: Any other questions?
14 COMMISSIONER KIRKMEYER: Did Elizabeth have any comments?
15 CHAIR COZAD: Did you have anything additional?
16 ELIZABETH: You know I think, Commissioners, that the only clarification that I think we're
17 identifying —and I think what you should be made aware of is that I think we're good with the Maintenance
18 Plan and everything that has been identified. I think we feel comfortable with the agreement in general.
19 As soon as 44 is opened up, my understanding is that, obviously, the developer and Mr. Goldstein will be
20 out of the subdivision and so then the improvements fall to the Association to be able to maintain and
21 take up responsibility. Right now, the way the original IA that was previously adopted, which this is an
22 addendum to, recognizes 33 north as the haul route and we know in the future that 33 is going to be
23 closed. And so it's one of those where I know we're just addressing the interim right now for their
24 improvements to help with their safety issues that they're creating on 44. I think it behooves the

1 Association to be aware that essentially their haul route, by default, will become 33 south out of the
2 subdivision. And so they could be on the hook for similar maintenance types of plans, even though I know
3 that this is being looked at as an interim. So, they essentially will have to amend their Improvements
4 Agreement to identify their haul route to the south at that time when that occurs. So, it is just more of a
5 heads up for the Association that they're aware.
6 CHAIR COZAD: Okay, are there questions for Elizabeth, or Evan, or the applicant? Go
7 ahead, Commissioner Conway.
8 COMMISSIONER CONWAY: So are you looking — I guess this is for Mr. Goldstein or his
9 attorney, whoever wants to take this — are you looking for us to just clarify today in terms of the
10 agreement that is before us in terms of what Mr. Parko just outlined, or are we looking at some
11 modification here in terms of the agreement? I'm just trying to figure out what your ask is. Is it just
12 clarification here at this hearing in terms of the process, or are you looking for some change here?
13 JIM MARTEL: It sounds like they just clarified exactly what we were not understanding on
14 our part. Public Works has indicated that as soon as you direct, they will release the access permits, and
15 Planning has indicated that it's their administration approval that counts, so — and that's what the
16 agreement says, so we're good with it.
17 CHAIR COZAD: Okay. Any other questions from the Board? Are you ready to make a
18 motion? Commissioner Kirkmeyer.
19 COMMISSIONER KIRKMEYER: So, urn, I would just first say that I appreciate everybody
20 coming to the table and getting it done. I think the Board's whole goal is to ensure that improvements
21 that were agreed upon back in 2012 actually happen and that we get things — get Niobrara connected to
22 44 like it was supposed to have been done and what we talked about all the way back in that hearing in
23 2012, which is by the time this is done will be about six years. You know, it's five years now so if it's not
24 done for sure until August we're giving them basically six years to get something accomplished. I do

1 appreciate everybody coming to the table and getting it figured out. Again, that's been our goal is to get
2 those improvements done and get that connect made and I appreciate Public Works giving everybody a
3 heads up — appreciate all the work you've done, including our County Attorney staff. So, with that, I mean
4 I'm not exactly happy with August 31st, I don't think that what we implied ten days ago, but it's probably
5 the best we're going to get and it sounds like they're going to do their due diligence and do everything
6 they possibly can to ensure the that the connection gets made as soon as practical — as soon as asphalt
7 plants get open and that type of thing.
8 So, I'm going to take you for our word on that and, with that, I would move that we
9 approve the First Amendment to Improvements Agreement According to Policy Regarding Collateral for
10 Improvements, authorize Chair to sign, Cancel and Release Collateral and Accept Warranty Collateral for
11 MINF12-0001— Weld County Industrial Park / Peckham Development Corporation, c/o Mark Goldstein.
12 COMMISSIONER CONWAY: Second.
13 CHAIR COZAD: Motion by Commissioner Kirkmeyer; second by Commissioner Conway, to
14 approve everything that was just stated in the motion {laughter}. Any further discussion? Commissioner

16 COMMISSIONER CONWAY: Urn, I would just like to second what Commissioner Kirkmeyer
17 said. The goal here was to get this fixed and make sure that — and I really appreciate everybody coming
18 together and getting this done in terms of that.
19 CHAIR COZAD: I agree. And the other thing I just wanted to say is while it would be nice
20 to get the improvements done sooner than August, we all know because we do our own projects, there
21 are things that can happen, especially when you have utilities that need to be relocated, um and whether
22 because we don't have control over that either. So, I would hope that these things get done. It's on the
23 record that you all are going to do the best you can to get these things done as quickly as possible. So, I

1 really appreciate that and everybody coming to the table, as my fellow Commissioners have said. All in
2 favor say 'Aye.'

8 Department {coughing) of Public Works to Deny Access Permits, AP17-00493 and AP17-00494, for Site
9 Plan Review, SPR17-0014 (Lot 5) and SPR17-0015 (Lot 8) — Peckham Development Corporation / Weld
10 County Industrial Park, c/o Mark Goldstein. This was continued from October 18th, 2017. Do we need to
11 consider this, or urn —
12 BRUCE BARKER: You'll want to go ahead and hear from Elizabeth.
13 CHAIR COZAD: Okay, go ahead. Elizabeth, you want to go ahead?
14 ELIZABETH RELFORD: Thanks Commissioners. Just to kind of reiterate what happened
15 from the last hearing. The Board gave us direction to try and help work with the developer to address the
16 safety issues. Obviously, Public Works had denied the access permits for Lots 5 and 8 because of the 97%
17 increase in traffic that was previously identified. I know we went over all of the traffic for the subdivision
18 and even though they were not meeting all of their — urn, were not generating the amount of traffic that
19 was identified with the Site Plan Reviews, they were still generating enough traffic that triggered the
20 safety improvements that were needed. And so, to help assist them with dispersing their traffic to help
21 not meet those safety issues is how we came up with this maintenance plan. Essentially, this would be to
22 — right now, as you can see a 2014 Improvements Agreement it had recognized that their haul route was
23 County Road 33 to the north. I think, originally, in all of the interim versions it included 33, but then when
24 it got changed to 33 to the north it triggered them for paving. But, it also triggered the way their traffic
25 was just solely coming in a making left-hand turn lanes into the subdivision and right-hand turn lanes
26 coming out. So, to help assist with those safety improvements they are going to be using traffic to the

1 south on 33 to 42. That has been identified as what they would be using for a haul route until the time
2 that County Road 44 is improved, or Niobrara is connected to 44. So, we did come and put together a
3 Maintenance Plan for what the County needs to see as far as that. You have included, with your materials
4 — urn, Public Works feels comfortable that this Maintenance Plan will help reduce our needing to maintain
5 33 with additional chemicals or frequency of blading. So, we do support the Maintenance Plan that's
6 included. Obviously, Curtis Hall and Don Dunker are here if you have specific questions about that. We
7 have done this on other projects. Essentially, where we have milled our reclaimed RAP into the
8 substructure of the road. That's also included — that list of projects is also included for your review.
9 Basically, I just want to reiterate that it would be good for us to get a point of contact for the Weld County
10 Industrial Park Association, so at the time when this obviously is completed and the connection to
11 Niobrara occurs, we see this probably being a similar Maintenance Plan that will need to occur on behalf
12 of the Association. I know it's not necessarily a part of this agreement at this time, but based on the
13 Maintenance Plan that we have come into an agreement, Public Works would obviously recommend
14 approval of the Resolution with what is before you today. We're okay with going ahead, and at your
15 direction, reissuing the access permits.
16 CHAIR COZAD: Questions? Actually, I have a question for Elizabeth. So, you've sat down
17 with the applicant on this Maintenance Agreement, and is everybody in agreement on it?
18 JIM MARTEL: The Maintenance Agreement is the item that you previously approved
19 that's incorporated into the First Amendment, and all the negotiations took place through the attorneys.
2 0 CHAIR COZAD: Okay. That's what I was thinking. Normally the Improvements Agreement
21 includes the Maintenance Agreement and I think maybe I was confused because it sounded like this was
22 a separate Maintenance Agreement that was connect with the access permits.
23 ELIZABETH RELFORD: No, we went ahead and just mirrored, basically, the two.

COMMISSIONER FREEMAN: So, really what we're talking about here is just the appeal on
ELIZABETH RELFORD: Correct.
CHAIR COZAD: Okay.
BRUCE BARKER: You can go about it a number of ways. You can either approve the —
6 grant the appeal, or I think what Elizabeth is saying is — with the approval of the Amendment to the
7 Maintenance Agreement, she is willing now to go ahead and approve the two access permits. So, you
8 could dismiss the appeal because — and that's based upon the understanding that Public Works will, in
9 their administrative capacity, approve those two access permits.

CHAIR COZAD: Or, we could approve them today.
BRUCE BARKER: You could approve them today, that's granting the appeal.
CHAIR COZAD: Okay. Commissioner Kirkmeyer?
COMMISSIONER KIRKMEYER: I just have a question and then I'm prepared to make a
14 motion. So, -- and it's for Mr. Goldstein or your attorney — So, as previously mentioned, does the
15 Association understand that once the improvements are made and things are done, that maintenance
16 then will fall to them at some point? Is everybody clear on that?

JIM MARTEL: The Association understands what the Improvements Agreement requires
COMMISSIONER KIRKMEYER: Perfect, great. With that, Madame Chairwoman, I would
20 move that we Grant the Appeal and approve the Access Permits, AP17-00493 and AP17-00494, for the
21 Site Plans for Lot 5 and Lot 8.

11 which — so after these two there would be three remaining lots that have not been developed in the Weld
12 County Industrial Park.
13 COMMISSIONER CONWAY: Okay. As part of our process, he'll have to go back through
14 and get individual approval for each of those accesses, correct?
15 ELIZABETH RELFORD: Correct.
