RE: APPROVE RESCINDING DOCUMENT #2018-0639, DATED FEBRUARY 28, 2018,
CONCERNING LARGE TRACT OIL AND GAS LEASE - AZTEC EXPLORATION, LLC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, on February 28, 2018, by Resolution #2018-0639, the Board approved a
Large Tract Oil and Gas Lease with Aztec Exploration, LLC, for a bonus amount of eighteen
thousand two hundred thirty-two and 50/100 Dollars ($18,232.50), and a rental amount of fifty-five
and 25/100 Dollars ($55.25), and
WHEREAS, the Lessee, Aztec Exploration, LLC later determined that the mineral rights
for said parcel, the Right -of -Way of the W1/2 E1/2 of Section 8, Township 7 North, Range 63
West of the 6th P.M., Weld County, Colorado, had been declared to be owned by the Union Pacific
Railroad Company in a Quiet Title recorded at Reception No. 908805, dated November 10, 1942,
and
WHEREAS, after review, the Board deems it advisable to rescind Document #2018-0639,
and refund the bonus and rental amounts of $18,287.75.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Large Tract Oil and Gas Lease with Aztec Exploration, LLC, be, and
be hereby is, rescinded, and staff is directed to issue a refund of the bonus payment, in the amount
of $18,287.75.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 2nd day of July, A.D., 2018.

Brief description of the problem/issue:
On February 28, 2018 the Board of Commissioners executed an Oil and Gas lease for 22.10 acres to Aztec
exploration. The total cost to Aztec was $18,398.25, which they paid us for. Aztec later did additional title
work and discovered that pursuant to a 1942 court order in a quiet title decree, the mineral rights for this parcel
had been declared to be owned by the Union Pacific Railroad Company. In following up with Aztec and asking
for their title work, and reviewing the title history, it appears that Aztec is likely right in their determination. As
a result, Aztec is requesting the refund of the $18,398.25 and the cancellation of the lease. There are hold
harmless provisions in the lease protecting the county from such title mistakes on the part of the oil and gas
companies, and it is clear that the title work is to be done by the Oil and Gas companies. However, there are
also provisions for terminating the lease, and in this instance that appears appropriate.

Aztec Exploration, LLC (Aztec) has executed an Oil and Gas Lease with Weld County on 2/28/2018 and
recorded at Reception No. 4382387 covering the following lands:
Township 7 North, Range 63 West, 6t`' P.M.
Section 8: RR Right -of -Way, W1/2 E1/2
Containing 22.10 acres, more or less
After title examination, it has come to our attention that Weld County does not claim ownership to the
minerals. A Decree in Quiet Title recorded at Reception No. 908805 and dated 11/10/1942 states on
page 12, Tract 14, "excepting therefrom all coal, oil and other minerals, together with the right to enter
upon said lands to prospect for and remove such minerals, title to which is vested in Union Pacific
Railroad Company."
Aztec requests that Weld County voids the lease and the initial Bonus amount and first year rentals
totaling $18,287.75 be refunded. Should you have any questions, please do not hesitate to contact me at
