SUBJECT: Northwoods consulting Partners, Inc. SOW
Northwoods Consulting Partners, Inc. provides software to Human Services. The
software is used by the Human Services department to scan and manage
documents that are used to conduct their daily business. The attached agreement
between the Board Of County commissioners and Northwoods Consulting Partners,
Inc. is for assistance with the migration of the applicatin to a new server
environment. The requested amount is $21,600.00. The cost was budgeted for in
the 2019 project budget.

Recommendation:
This agreement was reviewed by legal and the requested amount was budgeted for in the 2019 project

CONTRACT AMENDMENT BETWEEN
WELD COUNTY AND NORTH WOODS CONSULTING PARTNERS, INC.
This Amendment ("Amendment") is made to the Agreement between Weld County ("County") and Northwoods Consulting
Partners, Inc. ("Contractor") on December 10th, 2018 ("Agreement").
WHEREAS the parties hereby agree to amend the Agreement, which is incorporated by reference herein, as well as the
terms provided herein.
NOW THEREFORE, in consideration of the premises, the parties hereto covenant and agree as follows:
* The parties agree to add the attached Statement of Work to the scope of services provided under the Agreement, and
increase the compensation to be paid under the Agreement by $21,600.00.
• This Amendment, together with the Agreement, constitutes the entire understanding between the parties. All other terms
and conditions of the Original Agreement remain unchanged.

Objectives and Scope
Weld County, Colorado Department of Human Services (Weld) is seeking assistance with migrating Compass
software and OnBase by Hyland Software from the county's existing servers to new servers featurinc Windows
Server 2016 and Microsoft SQL Server 2016.
To accomplish this objective, Northwoods will provide Weld with server mic ration services, software upgrades,
and system testing.

General Assumptions
The following assumptions are made regarding the project:
a Weld will identify a single point of contact within the agency and provide Northwoods with the
appropriate contact information.
• All project participants will provide adequate resources (people and equipment) to complete all tasks
based within time frames established in a mutually agreed -upon work plan.
Weld will provide Northwoods with the appropriate security and network access levels to all support
systems related to the project.
• Weld will be responsible for provisioning applicable Windows Server 2016 and Microsoft SQL Server
2016 licenses for the agency's new servers.
• Northwoods will provide server migration and system testing services for the following new Weta
servers:
o Onbase-Pilot (production server)
o OnBase-Sched (production server)
o OnBase-App (production server)
o OnBase-Pilot (test server)
o OnBase-Sched (test server)
o OnBase-App (test server)
Time and Materials Cost
Northwoods' time and materials cost estimate consists of 96 remote professional services hours necessary to
migrate Weld's 0nBase-Pilot (production server), OnBase-Sched (production server), and OnBase-App
(production server) servers to the following new virtuaUized servers:

Northwoods will bill for actual hours worked at a rate of S225 per nour and will invoice Weld at the end of each
